ORDINANCE NO. 2012-32�
AN ORDINANCE OF THE CITY OF DENTON, TEXAS AMENDING A PROFESSIONAL
SERVICES AGREEMENT (PSA) WITH CONNOLLY ARCHITECTS AND CONSULTANTS
FOR DESIGN SERVICES AND CONSTRUCTION OVERSIGHT FOR THE L1NDA
MCNATT ANIMAL CARE AND ADOPTION FACILITY ENTERED INTO ON JANUARY
10, 2012; AND PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, The City of Denton and Connolly Architects and Consultants have entered
into an agreement for the provision of professional services excluding from the scope of services
the provision of Leadership in Energy and Environmental Design (LEED) Certification Services;
and
WHEREAS, The City Council has determined that it is in the best interest of the City of
Denton to amend the said agreement to include within the scope of services the provision of
LEED services; NOW, THEREFORE,
THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS:
SECTION 1. The agreement described hereinabove is hereby amended to include in the
scope of services the provision of LEED Certification Services as set forth in Attachment "A"
hereto.
SECTION 2. The City Manager, or his designee, is hereby authorized and directed to
execute all documents required to accomplish the said amendment.
SECTION 3. This ordinance shall become effective immediately upon its passage and
approval.

BILLING AND PAYMENT
Billing will be monthly based on the pexcentage of design completion �lus reimbursable expenses.
Payment is due within 30 days of the invoice.
LEED CERTIFICATION
1. The Architect agrees to endeavox to assist the City of Denton, subject to the scope of
services, terins and piovisions of this Agreement, in obtainzng ceitification undei the U.S.
Gieen Building Council's (CJSGBC) Leadership in Energy and Environmental Design
(LEED) iating as indicated in the agxeement. The Aichitect cannot, however, guaiantee
LEED certification oi the actual peifoimance of the building based on the Engineei's design
diawings, specifications, oi resouice use oi consutnption modeling for the Project, nor can it
gua�antee certain perforinance levels anticipated through the LEED ceYtification process.
The City of Denton understands that the Pioject cannot achieve LEED certification until
after substantial completion of construction and will be subject to certification piocesses and
proceduies as detexmined by the authority that has juxisdiction. These pxoceduies aYe
outside the control of the Architect, may not be unifoxmly implemented and may be subject
to change at any time. The City of Denton agrees that submission foY LEED Certificarion
foi the Project in no way shall constitute a waxranty or guarantee of such rating.
Fuxthermore; the City of Denton agiees that LEED ratixig is subject to obtaining points or
xattngs, which are outside the scope of the Aichitect's paxt of the Project, are subject to third
paYty inteipietation, performance by third party con�iz�issioning agent, iequiie enfoxcement
of mateiials and methods outside the design scope and contiol of the Architect, any of
which may cause the Pioject to obtain a lessei iating than the City of Denton expected, oi
may cause the Pioject to lose its abilit�� to obtain a iating.
2. Provide one (1) Trane Tiace building eneigy analysis (energy modeling) for baseline code
minimuin building and actual building and systems.
3. The LEED teain will woik with the City of Denton to identify and pu�sue the available
points that cost the least to iealize.
4. Should additional travel be necessary, a change to this contract will be iequired.
