2013-007ORDINANCE NO. 2O 13-007 AN ORDINANCE OF THE CITY OF DENTON, TEXAS PROVIDING FOR, AUTHORIZING, AND APPROVING THE EXPENDITURE OF FUNDS FOR THE PURCHASE OF CERTIFIED SOFTBALL OFFICIATING SERVICES FROM THE NORTH TEXAS UMPIRE ASSOCIATION (NTUA), WHICH ARE AVAILABLE FROM ONLY ONE SOURCE AND IN ACCORDANCE WITH CHAPTER 252.022 OF THE TEXAS LOCAL GOVERNMENT CODE SUCH PURCHASES ARE EXEMPT FROM THE REQUIREMENTS OF COMPETITIVE BIDDING; AND PROVIDING AN EFFECTIVE DATE (FILE 5152-AGREEMENT WITH NTUA 1N THE AMOUNT PER GAME AS SPECIFIED 1N THE AGREEMENT IN THE ESTIMATED ANNUAL AWARD OF $85,000 FOR A THREE YEAR ESTIMATED EXPENDITURE OF $255,000). WHEREAS, Section 252.022 of the Loca1 Government Code provides that procurement of items that are only available from one source, including; items that are only available from one source because of patents, copyrights, secret processes or natural monopolies; films, manuscripts or boolcs; electricity, gas, water and other utility purchases; captive replacement parts or components for equipment; and library materials for a public library that axe available only from the persons holding exclusive distribution rights to the materials; need not be submitted to competitive bids; and WHEREAS, the City Council wishes to procure one or more of the items mentioned in the above paragraph; NOW, THEREFORE, THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAlNS: SECTION 1. CONTEST A. The NTUA agrees to afficiate and provide scorekeepers for the 2013 Adult Slow- Pitch Seasons for.Men, Women and Coed ASA so#tball games and �iris SoftbalE Seasons for 94U, 12U, and 10U Fast-Pftch, 8li Coach Pitcl�, and 6U T-ball games that are scheduled by PARD at North Lakes and Denia Soffball Com�lex, Denton, Texas. B, The start dat� is Marci� 20�3 and runs through November 2Q13. C. PARD will provide NTUA with a schedufe of games depicting leagues and their field assignments for the season. NTUA will receive this information at leasi one (1) �eek before #he season begins, PARD wif� also provide NTUA with the league's current rules and regulations fhat are modified from the current Amateur Sof#ball Assaciation (ASA) rul�s. D. NTUA will scttedule officials so tha# the abi}ity level of the official will match or exceed the level of league play on eactt feld. Payment Determination Both parties will determine fhe payment to be the calculated number of games scheduled for each particular league fimes the specified rate of $72.00, $46.00, $48.00, or $39.00. fn instances when umpires or scorekeepers only receive (1) game in a night, the rate wiN be multiplied by 1.5. _ C, Schedule of Payment PARD wilf make the fufl payment for the total expected amount for estimated services net 3Q �ays receipt of invoica from NTUA. D. If NTUA provides only one (9 } official for a game that requires two {2), then PARD will be credited $8.00 for each game tnat has one (9) official working alone. This credi# can be used during fhe current season or during fhe nexi season. E. If PARD gives not[ce of fo�feifs in advance and this reduces the amounf of time an umpire is required to be at the fietds, then N7UA will provide a full credif for fhat parficular game. For example, if fhe fiirst game of the day or the last game of the day is canceled for a particular umpire, then PARD will be entitled to a credit. if a m�ddle game is canceled, which resuits in the umpire still needing to stay an the fields the enfire time, PARD will not be entitled to a crec�it, PARQ wilf give notice of for�eits by 3;00 pm for the same day for evening games. 3, OFF1ClAL.S NTUA represents officials that are, ar will be by the date of tha contest, a duly registered umpire who is a member in good standing of the ASA. 4, INTERPRETATI�N The Cansfitution, By-laws and rules and regulations of ASA and of NTUA are consicfered a part of this agreement and shall govern, except as rrlodifec� by this Agreement, anydispufes arising out of thfs Agreement. Both parties to the Agreement agree to be so bound. A. When PARD offers a"coaches meeting", PARD wi[I not[fy NTUA of fhe date, fime, and piace o# the coaches meetir�g. A representative frorn NTUA will be required to attend the meeting to explain new rules, game procedures fo the coaches, and discuss how on-fie[d disagreert�ents will be handle�. 5. V4IDING �F AGREEMENT This agreement shall become null and vaid upon the demise of eiiher organizatiort. This agreement may be canceled a� any t€me by the mutual written consenf of both parties upon 30 days written notice. 7his agreement #s void if either party cannot comply with its terms.
