FOR PHASES IV AND V OF THE ADVANCED METERING 1NFRASTRUCTURE SYSTEM (AMI); PROVIDING FOR THE EXPENDITURE OF FUNDS THEREFOR; AND PROVIDING AN EFFECTIVE DATE (RFSP 4485-SECOND AMENDMENT TO AGREEMENT FOR ADVANCED METERING SYSTEM INFRASTRUCTURE AWARDED TO TRILLIANT NETWORKS,INC. 1N THE ESTIMATED AMOUNT OF $2,867,738.87). WHEREAS, on July 20, 2010 by Ordinance No. 2010-80, the City awarded a contract to Trilliant Networks, Inc., in the amount of $1,391,307.04 for the Advanced Metering Infrastructure System; and WHEREAS, on May 17, 2011 by Ordinance No. 2011-086, the City awarded a First Amendment to the contract with Trilliant Networks, Inc., in the amount of $2,562,991 for the Advanced Metering Infrastructure System; and WHEREAS, the Staff having recommended, and the City Manager having recommended to the Council that a Second Amendment be authorized to amend such contract agreement with respect to the scope of worlc and an increase in the payment amount, and said fees under the proposed contract are fair and reasonable and are consistent with and not higher than the recommended practices and fees published by the professional associations applicable to the Provider's profession and such fees do not exceed the maximum provided by law; NOW, THEREFORE, THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAlNS: SECTION 1. The Second Amendment, increasing the amount of the contract between the City and Trilliant Networks, Inc., which is on file in the office of the Purchasing Agent, in the estimated of Two Million Eight Hundred Sixty Seven Thousand Seven Hundred Thirty Eight and 87/00 ($2,867,738.87) Dollars, is hereby approved and the expenditure of funds therefore is hereby authorized in accordance with said Second Amendment. The document includes responsibilities for both Trilliant and Customer. Any exceptions outside of this statement of work require change order documentation and a mutual agreement by all parties. Project Objective This Statement of Work document is focused on Phase 4 and 5 of the project that is expected to be completed during the Denton Fiscal year of 2013-2014. The objectives of Phase 4 and 5, which will run from the date of contract signing to December 31, 2014, will be: 1. Continued installation of network infrastructure and electric meters as delivered tluough SOWs in DME seivice territory. 2. Provide operational monitoring and support services to help Denton manage perfoimance of system. Scope of Work Overview Specifically, Trilliant will provide the following services during Phase 4 and 5: 1. Project Management Services 2. Operate the Trilliant solution on a daily basis with a system performance target of reading a minimum of 98% of ineters under network by 9 AM Pacific Time the following day. 3. Implement security on the SecureMesh communications network Project Deliverables To meet the above obj ectives Trilliant shall provide the following deliverables: 1. Hardware Trilliant will provide the SecureMesh Communication Networlc infi•astructure, metering and other end- point products as listed in the pricing tables. 2. Program Managemen.t a��d Deploynzent SuppoNt Services Trilliant shall provide services to support the delivery and deployment of the solution at Customer. Following is a description of the included seivices as outlined in the Price section following. Proiect Mana�ement: The project director shall be responsible for Trilliant's portion of the project acting as the lead for overall project management services including: • Ensure collaboration as needed for a successful delivery of Phase 4 and 5 • Submit Trilliant deliverables based on the most-current, approved Denton project plan with authorization to provide approvals and escalation as required � Request information necessary to order and configure networlc and meter products for Denton • Attend status calls with Denton including networlc and meter perfortnance debriefs • Create with client success criteria for Phase 4 and 5 • Provide weekly status reports including o Tracking of time and expenses o Status of deliverables per the most-cunent, approved project plan • Coordinate and escalate with Trilliant executives and resources as appropriate • Assist in tracking and managing issues • Support change conh•ol • Develop and maintain the detailed project plan, which will be reviewed at weekly status meetings to ensure the schedule is achieve Network Tunin� Services —Trilliant will provide Network Design, Planning and Tuning Services to support the deployment of the Secure Mesh infrastructure. Repeater locations and quantity requirements may be determined in the network design but will not be finalized until after network tuning has been completed. The network tuning phase will take place after the installation of all WAN equipment and meters. Trilliant Network Services will provide Secure Mesh infrastructure tuning services to be supported with local resources provided by Customer or Customer's network installation vendor. Trilliant tuning services shall include validation of connectivity of Secure Mesh Repeaters to Extender Bridges, identification of any connectivity or perFormance limitations, recommending final infrastructure requirements. Training Services — based on a mutually agreed upon number of individuals to be trained. Ti711iant can provide refreshment training for the below items upon request. No training is currently scheduled or included in pricing for phase 4 and 5. 3. Services Assurance and other Support Services The Trilliant System Integration team will provide system operations support as the head-end system and network is being deployed. Tlu•ough the duration of the Deployment Phase these services will provide head-end system and network performance monitoring services to quickly identify, troubleshoot and resolve any system issues that affect overall performance. 4. Roles and Responsibilities The following table outlines Trilliant resources proposed for Phase 4 and 5 of the Denton project. Final determination of resources will be determined following contract signature based on availability of Trilliant resources. Custonte�° Responsibilities Customer will provide the following: Data/Resources Denton will provide the followin� to Trilliant during Phase 4 and 5: • Resources including field and office personnel to meet the Denton Detailed Project Plan Project Management Denton will provide the following project management resources: • Designated project manager with authorization to provide approvals on Trilliant work and assist Trilliant in facilitating and escalating as required across Denton to ensure successful delivery of project. • Weekly status meetings with project participants, and monthly executive reviews, • Training site to conduct training as applicable. • Prompt review and management of approval process within Denton for SOW requests that rnay be submitted to support mutually identified areas of additional work for Trilliant. • Development and maintenance of the project plan, with input from Trilliant. • Create trouble tickets for all field devices during the project • Request RMA using the Foot Prints application Impacted Procedure/Process Assessment DME will: • Develop the network and meter equipment installation/re�noval procedures with support from Trilliant. Final standards and procedures will be approved jointly between Denton and Trilliant. • Develop asset management processes associated with the NIC/infrastructure equipment tracicing. • Update call center processes to address customer questions. Documentation DME will, as required, document: • Updates of the mapping system with installed network equipment • Installation standards for field devices General Assumptions 1. DME will provide appropriate contact points and support for program management, systerns integration, IT, and data center. 2. DME will provide access to facilities (desks, internet access, meeting rooms, etc.) at the data center location(s) for working sessions duiing tlus project. DME will define access procedures. 3. DME will provide Trilliant remote access (e.g., VPN) for the duration of the project to DME environments for named engineering and technical staff. 4. Unless specifically identified in this document, no custom UnitySuite development has been included in the scope of this Statement of Work. 5. For its internal systems, DME is responsible for procuring, setup and conf'igui�ation of seivers and all associated hardware, UnitySuite and network connections for all environments to support this project including, but not limited to, development and production servers, in accordance with Trilliant recommendations and specifications. 7. Scl:edule A detailed schedule shall be delivered within 30 days of execution of this Statement of Work and receipt of purchase order. Tl�e expense for UnitySuite Software Maintenance and Support listed in the Phase 4 and 5 Pricing Summary is included in the total amount allocated for Phase 4 and Phase 5 but is identified as part of DME's operating budget. It is not included in the Capital Budget. 2. The services total is based on estimated resource requirements and will be billed monthly based on actual time. Pricing does not include Project expenses which shall be reimbuised by DME as defined in section 6.1.3 of the Agreement for Advanced Metering Infrastructure ("AMI") Project dated 063010. 3. The quantities shown are estimates and may be increased or decreased based upon actual needs, with no iiicrease in price. 4, Meter mix and quantities are not finalized for Phase 5. 5. The City of Denton may release pw•chase orders for quantities as needed. 6. Phase 4 pricing is firm for shipments through calendar year end 2013. 7, Phase 5 pricing will be finalized using the Sept 2012 to Sept 2013 Producer Price Index Series ID: 334515 when a�ailable, with a inaximum escalation not to exceed to 3%. Percentage will be inultiplied against Phase 4 pricing to determine final Phase 5 pricing. 8. The Unit Price of the SecureMesh Extender Bridge indicated in the Phase 5 Pricing Summary includes the PSU and Mounting Kit. 9. For new network equipment purchased pursuant to this SOW, the warranty set forth at section 9.1 of the Master Agreement is replaced by the following: Hardware: Trilliant warrants to Customer for a period of five (5) years from the date of installation of the hardware, that hardware designed and or manufactured by and provided by Trilliant ar its Subcontractors, shall be free from defects in material, workmanship and title, and seivices shall be performed in a competent, diligent manner in accordance with any mutually agreed specifications. Repairs of replacements of Iiardware made during the warranty period ar thereafter will be warranted for ninety (90) days after date of first use, or the remainder of the warranty period, whichever is longer. For purposes of the preceding, Date of First Use shall mean the date that a pai�ticular device is installed. 10. For network equipinent previously piuchased pursuant to the Master Agreement, the warranty provided at section 9.1 of the Master Agreement is extended for an additional five (5) years. Payment for this extended wairanty is due and payable by Customer on October 1, 2013. 11. Pricing for kV2c meter. Actual meter type is TBD.
