WHEREAS, the City Council of the City of Dentan hereby finds that the Agreement between
the City and the American Heart Association, attached hereto and made a part hereaf by reference
(the 66Agreement99), serve a municipal and public purpose and is in the public interest; NOW,
THEREFORE,
THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS:
SECTION 1. The findings set forth in the preamble of this Ordinance are incorporated by
reference into the body of this Ordinance as if fully set forth herein.
SECTION 2. The City Manager, or his designee, is hereby authorized to execute the
Agreement and to exercise all rights and duties of the City under the Agreement, including
authorizing and ratifying the expenditure af funds.
SECTION 3. This Ordinance shall become effective immediately upon its passage and
appraval.

for profit corporat�on, hereinaftex refezx°ed io as '°Heart".
VJHEREAS, City has determined thai the proposal for services merits assistance a.nd can
pro�ride needed servYCes to cxtizens of City and has pi•o�vided funds in its budget for the purpose of a
iit-fi�iendly event spansored hy the Heart which pa°ovides a benefit to the cit�zens by supporting,
exnpowering, and teaching the basics of staying �t; and
WHEREAS, this Agreement serves a valid municipal and public purpose and is in the public
znterasf;
NOW, THEREFORE, the pai�ties hei•eto zn.utually agree as follows:
i, SCOPE OF SERVZCES
�][eart shall, in a satisfactory and proper manner, perfoi�rn the following tasks, far wh.zch the
monies pz°ovided by City may be used: the funds be�ng pzavided sha11 be used by Heart for setup,
breakdown, and cleanup foz• tlae event.
II. OBLIGATIONS OF HEART

conditions:
A. Three Hundred Thirty-five Dollars/100 ($33 5.00) shall be paid to Heart by City to be
utilized for the purposes set forth in Article I. �
B, Hea�°t will maintain adequate records to establish that the City funds are used foi° the
purposes authorized by f.his Agreement.
C. Heart will permit autlzorized officials of City to xeview its books at any time.
D. Upon request, Heart vv�ll provide to City its By Laws and any of its rules and
xegulations that may be relevant to this Agz�eennent.
E. Heart will not enter into any contracts that would encumber City funds for a period
that would extend beyond the term of this Agreement.
F. Heart wA1i a�paznt a representative wha will be available to meet with City of£'iczals
when requested.

The sex�vices fun.ded by City shall be undertalcen and cnmpleted by Heart within the following
time frame:
The term ofthis Agreement sha11 comm.ence o�. tlae effectzve date and tez�runate Apri11, 2014,
unless the cantract is sooner terrninated under Section VII "Suspension or TermanatXOn".

A. PAYMENTS TO HEA1tT. Czty shall pay to Heart the sum speci�ied in Article II after the
effective date af th�s Agreement.
B. Exc�ss PA�NT. Heart shall z°efund to Czty v�.thin ten (10) worl�ing days of City`s
request, any sum of money which has been paid by City and �uvhich City at any time thez°eafter
detez°�x�znes:
1) has resulted xn overpayment to Heart; or
2) has nat been spent strictly in accordance �vith the terrns of this Agreement; or
3) is not supported by adequate dacumentation. to fully justi�y t�e expenditure.

Heart agrees to participate in an implernentation and maintenance system whereby tkae
services can be continuously monitored. Heart agrees to rnake avazlable zts bank statements for
review by City at City's discretion. Tn addition, Heari agrees to provide City the fallowing data and
reports, or copies thereof:
A. An explanatzon of any major changes in pi°o�ram services.
B. To conn.ply w�th this section, Heart agrees io ma.intain records that will pi°ovide
accurate, current, separate, and complete disclosure of 1:he status of funds xecezved and the services
per�oz°rned under thzs Agi•eem.ent. Heart's record system shall contaun sufficient documentaYion to
provide in deia.il full support and j ustification for each expendzture. Heai°t agi°ees to retain all books,
recoz�ds, documents, reports, and wxztten accounting procedures pei°ta.ining to the services pi°avzded
and �xpenditure af funds under this Agreement foi° five years.
C. NQthing in the above subsectzons shall be const�ued to z•elieve Heart af respdnsibility
for retaining accurate and current records that clearly reflect the level and benefit of services
provided under thrs Agreement.

VI. MEETTNGS
Mznutes of all m.eetings of Heart`s gaverning body shall be available to City within ten (10}
working days of approval.

The City rnay terminate this Agreeinent for cause if T3eai�t violates any covenants,
agz°eements, oi° guarantees of thzs Ag1°eement, the Heart's insolvency oz° fzling of bankruptcy,
clissolution, or receivership, or the Heart's violat�on of any law or regulation to whzch zt zs bound
under the term.s of this Agreement. The City may terminate this Agz°eement for oiher reasons not
specifically enumerated in this paragt°aph.

A. Heart shall comply with al1 applicable equal employment oppo 'ty and affirm;ative
action laws or regulations.
B. Heart will fuxnxsh all znformation and reports requested by Czty, and will pernnit
access to its books, recards, and aocounts for purposes of xnvestigation to ascertain compliance with
local, State and k'edez•al zules and regulations.
C, In the eveni of Heai°t's noncompliance wzth the nondiscrimination requiremen.is, the
Agreement may be canceled, texnainafied, or suspended in whole ar in pa�t, and Heaxt may be barred
from furtl�er conhacts with City.
