Closing shall be held at the City of Denton Materials Management/Purchasing Office located at the City of Denton Service Center, 901-B Texas St., Denton, Texas 76209, no later than tllirty (30) days from tlie �ffective Date. The Closing will be scheduled by the City. 5.2. At Closing, Seller shall: a. Deliver to Buyer the duly executed and acknowledged Deed Without Warranty attached as Exhibit "B". b. Deliver possession of the Property to Buyer; and 5.3. At Closing, Buyer shall: a. Pay the Sales Price in good funds acceptable to the Selier; b. Pay al1 costs attributable to the Buyer as part of the transaction; and c, Execute and deliver to Seller any notices, statements, certificates, affdavits, releases and other documents required by this Contract or the Seller necessary for tl�e Closing of the sale. Article 6. Default 6.1. In the event Buyer fails to fully and timely perform any of its obligations under ihis Contract or fails to close for any reason except Seller's prior material default, Seller may; as its sole and exclusive remedy, terminate this Contract and receive the Earnest Money as liquidated damages. 6.2. In the event Seller fails to fully and timely perform any of its obligations under this Contract or fails to close for any reason except Buyer's prior material default, Buyer may, as its sole and exclusive remedy, terminate this Contract and receive the return ofthe Earnest Money. Grantor, at Grantor's sole cost and expense, shall have the right to install gates in existing or future fences built by Grantee within such Electric Distribution and Communication Easement.
