2016-099ORDINANCE NO. 2016-099 AN ORDINANCE OF THE CITY OF DENTON, TEXAS AUTHORIZING T�IE CITY MANAGER TO EXECUTE A SECOND AMENDMENT TO A PROFESSIONAL SERVICES AGREEMENT FOR ELECTRICAL SUBSTATION DESIGN AND OTHER ENGINEERING RELATED CONSULTING SERVICES FOR CAPITAL IMPROVEMENT PLAN PROJECTS AND OTHER TECHNICAL SUPPORT FOR DENTON MUNICIPAL ELECTRIC, BY AND BETWEEN BLACK & VEATCH CORPORATION AND THE CITY OF DENTON, TEXAS; PROVIDING FOR THE EXPENDITURE OF FUNDS THEREFOR; AND PROVIDING AN EFFECTIVE DATE (FILE 5089 IN THE ADDITIONAL AMOUNT NOT-TO-EXCEED $2,220,000; AGGREGATING A TOTAL NOT-TO-EXCEED $3,565.400). WHEREAS, on November 6, 2012 by Ordinance No. 2012-303, the City Council awarded a Professional Services Agreement for Architect or Engineer (hereafter the "Agreement") for electrical substation design and other engineering related consulting services for Capital Improvement Plan projects and other technical support to Black & Veatch Corporation (Black and Veatch) in the amount of $564,000; and WHEREAS, on December 17, 2013 by Ordinance No. 2013-340, the Council awarded an amended Professional Services Agreement for Architect or Engineer to Black & Veatch (hereafter the "First Amendment") in the further amount of $781,400 aggregating a not-to- exceed amount of $1,345,400 for additional services to be rendered; and WHEREAS, the City Council deems it necessary and appropriate and in the public interest to continue to engage the firm of Black & Veatch, a Kansas Corporation, located in Overland Park, Kansas to provide the City with professional services pertaining to electrical substation design; and WHEREAS, the City staff has reported to the City Council that there is a substantial need for the hereinabove described professional services by the City of Denton, and that limited City staff cannot adequately perform the specialized engineering and other professional services and tasks, with its own personnel; and WHEREAS, Chapter 2254 of the Texas Government Code, known as the "Professional Services Procurement Act," generally provides that a city may not select a provider of professional services on the basis of competitive bids, but must select the provider of professional services on the basis of demonstrated competence, knowledge, and qualifications, and for a fair and reasonable price; and WHEREAS, the City Council hereby finds and concludes that Black & Veatch is appropriately qualiiied under the provisions of the law, to be retained as a firm for the City, respecting this engagement; and WHEREAS, the City Council has provided in the City budget for the appropriation of funds to be used for the procurement of the foregoing professional services, as set forth in the "Second Amendment to Agreement for Professional Services;" NOW, THEREFORE, 1 THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS: SECTION 1. The recitations contained in the preamble hereto are true and correct and are incorporated herewith as a part of this Ordinance. SECTION 2 . The City Manager is hereby authorized to execute a"Second Amendment to a Professional Services Agreement with the firm of Black & Veatch, in the additional amount of not-to-exceed $2,200,000, for professional services pertaining to the interests of the City as hereinabove described, in substantially the form of the Second Amendment which is attached hereto as Exhibit "A" which is incorporated herewith by reference. SECTION 3. The award of this Second Amendment is on the basis of the demonstrated competence and qualifications of the firm of Black & Veatch, and the ability of Black and Veatch to perform the professional services needed by the City for a fair and reasonable price. SECTION 4. The expenditure of funds as provided for in the attached Second Amendment is hereby authorized. SECTION 5. This ordinance shall become effective upon its passage and approval. Previously, on November 6, 2012, the City of Denton, Texas engaged the firm of Black & Veatch Corporation, Engineering Services Incident , in order to perform professional services related to the Denton Municipal Electric Transmission System. The Agreement provided for an expenditure of not-to-exceed $564,000 for such professional services and particularly described the services to be rendered therein; the City Council, by Ordinance No. 2012-303, enacted on November 6, 2012, approved said Agreement; and As work progressed with B&V under the Agreement, it became necessary for the expansion of scope of services under the original Agreement because of the necessity to include services for engineering and design services for the ARCO Substation and other related projects of Denton Municipal Electric, resulting in an increased amount of not-to-exceed $781,400, and a total price for services of not-to-exceed $1,345,400; these expanded services were set forth and described in a fifteen (15 which document is appended to said First Amendment; the Council th approved the First Amendment on the 17 day of December, 2013, and enacted Ordinance No. 2013-340; and The OWNER and B&V Second Amendment to a Professional Services Agreement Second Second Amendment provides for additional professional services fees for engineering services in an amount not-to-exceed $2,220,000, aggregating a total of not-to-exceed $3,565,400; and request that this Second Amendment be approved in order to continue and provide the necessary additional and expanded services by B&V on the DME System; and WITNESSETH, that in consideration of the covenants and agreements herein contained, the parties hereto do mutually agree to amend the terms of the original Agreement relating to the Project for the second time Second Amendment DocuSign Envelope ID: 52566703-F876-4E26-9342-11A4DE18B7A3 ARTICLE I INCREASE OF COMPENSATION AMOUNT The amount to be paid for professional services in this Second Amendment is not-to- exceed $2,220,000.
