2016-144s:\fegal\our documents\ordinances\16\p�terbilt tax abatement agreement ordittance.dac ORDINANCE NO. 2016-144 AN ORDINANCE AUTHORIZING THE CITY MANAGER TO EXECUTE A FIRST AMENDED TAX ABATEMENT AGREEMENT WITH PETERBILT MOTORS COMPANY; SETTING FORTH ALL THE REQUIRED TERMS OF THE TAX ABATEMENT AGREE- MENT 1N ACCORDANCE WITH THE TERMS OF CHAPTER 312 OF THE TEXAS TAX CODE; SETTING FORTH THE VARIOUS CONDITIONS PRECEDENT TO PETERBILT MOTORS COMPANY LP, RECEIVING THE TAX ABATEMENT; PROVIDING FOR A SEVERABILITY CLAUSE; AND PROVIDING AN EFFECTIVE DATE. WHEREAS, on the 17th day of February, 2015, after a public hearing duly held in ac- cordance with §201 of Chapter 312, Texas Tax Code (the "Act"), the City Council passed Ordi- nance No. 2015-048 (the "Ordinance") establishing Reinvestment Zone No. XII, City of Denton, Texas as a commercial/industrial reinvestment zone for tax abatement (the "Zone"), as author- ized by Title 3, Chapter 312, Subchapter B of the Act; and WHEREAS, on the 9th day of December, 2014, Peterbilt Motors Company, a division of PACCAR Inc, a Delaware Corporation ("Peterbilt Motors Company"), submitted an application for tax abatement with various attachments to the City concerning the contemplated use of cer- tain property located within the Zone; and WHEREA5, the City entered into a Tax Abatement Agreement with Peterbilt Motors Company on February 17, 2015 under Ordinance No. 2015-049, which included one phase of development; and WHEREAS, Peterbilt Motors Company desires to include a second phase of development and amend the Tax Abatement Agreement accordingly as herein described; and WHEREAS, the City Council finds that the contemplated use of the premises and the real property improvements to the premises, as indicated by Peterbilt Motors Company, are con- sistent with encouraging the development of the Zone in accordance with the purposes for its creation and are in compliance with the Denton Tax Abatement Policy; and WHEREAS, the City Council deems it in the public interest to enter into a First Amended Tax Abatement Agreement with Peterbilt Motors Company; NOW, THEREFORE, THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS: SECTION 1. The findings contained in the preamble to this Ordinance are true and cor- rect and are adopted as a part of the whole Ordinance. SECTION 2. The City Council finds and determines the following: A. The contemplated use of the premises and the contemplated improvements of the premises, as indicated by Peterbilt Motors Company, are consistent with encouraging s:\legal\our documents\ordinances\16\peterbih tax abatement agreement ordinance.doc the development of the Zone in accordance with the purposes of its creation and are in compliance with the Denton Tax Abatement Policy. B. The City Council finds that the improvements sought by Peterbilt Motors Company within the Zone are feasible and practical and would be a benefit to the land to be in- cluded in the Zone and to the City after the expiration of this First Amended Tax Abatement Agreement. C. The City Council finds that the First Amended Tax Abatement Agreement contains all the terms which are mandatorily required to be included in any tax abatement agreement under §312.205 of the Act. D. In accordance with §312.2041 of the Act, the City Council finds that not later than the date on which the City Council considered this ordinance, and not later than the sev- enth day before the date the City enters into the First Amended Tax Abatement Agreement with Peterbilt Motors Company, that the City Manager, through the Di- rector of Planning and Development, who are hereby designated and authorized by the City Council to give such notice, delivered to the presiding officer of the Denton Independent School District and Denton County a written notice that the City intends to enter into this First Amended Tax Abatement Agreement with Peterbilt Motors Company, and that this notice included a copy of the proposed First Amended Tax Abatement Agreement in substantially the form of the First Amended Tax Abatement Agreement attached to this ordinance. E. Before the passage of this Ordinance, the City Council held a public hearing in ac- cordance with §312.201 of the Act and created Reinvestment Zone No. XII. F. The City Council finds that the project within Reinvestment Zone No. XII is a rede- velopment and expansion of an existing business as defined in the Tax Abatement Policy and requires additional incentives to promote economic development that gen- erally satisfies the requirements of the policy and the City Council hereby authorizes a tax abatement as more particularly described in the First Amended Tax Abatement Agreement attached hereto and made a part hereof by reference as Exhibit "A" (the "First Amended Tax Abatement Agreement"). SECTION 3. The City Manager, or his designee, is hereby authorized to execute the First Amended Tax Abatement Agreement with Peterbilt Motors Company in substantially the same form as the First Amended Tax Abatement Agreement attached as Exhibit "A". SECTION 4. The City Council hereby instructs and authorizes the City Manager or his designee to inspect, audit, and evaluate the progress of Peterbilt Motors Company to determine if it has met all of the conditions of the attached First Amended Tax Abatement Agreement prior to the tax abatement going into effect. SECTION 5, If any section, subsection, paragraph, sentence, clause, phrase, or word in this ordinance, or application thereof to any person or circumstance is held invalid by any court Page 2 of 3 s:\legal\our documents\ordinances\16\peterbilt tax abatement agreement ordinance.doc of competent jurisdiction, such holding shall not affect the validity of the remaining portions of this Ordinance, and the City Council of the City of Denton hereby declares that it would have enacted such remaining portions despite any such validity. WHEREAS, Chapter 312 of the Tex. Tax Code (the "Act") authorizes the City to enter into a tax abatement agreement if the City elects to become eligible to participate in tax abatements through a resolution; and WHEREAS, on the Sth day of April, 2016, the City Council of Denton, Texas (the "City Council") adopted via resolution the Amended Denton Tax Abatement and Incentive Policy (the "Policy"), a copy of which is on iile in the City of Denton Economic Development Office and which is incorporated herein by reference, to satisfy the Act and adopt guidelines and criteria governing tax abatement agreements; and WHEREAS, on the 17th day of February 2015, the City Council passed Ordinance no. 2015-048 (the "Ordinance") establishing Reinvestment Zone No. XII, City of Denton, Texas, as a commercial/ industrial reinvestment zone for tax abatement (the "Zone"), as authorized by Title 3, Chapter 312, Subchapter B of the Tex. Tax Code; and WHEREAS, on the 9th day of December 2014, Owner submitted an Application for Tax Abatement with various attachments to the City concerning the contemplated use of the Premises as defined herein, and the City then entered into a Tax Abatement Agreement with Owner on February 17, 2015, pursuant to Ordinance No, 2015-049 ("Original Agreement"); and WHEREAS, the Original Agreement consists of Phase I Eligible Improvements only, and the Owner and City desire to include Phase II Eligible Improvements in this Amended Agreement for the same term, which term is within the limits of the Act; and WHEREAS, the City Council finds that the contemplated use of the Premises, the Real Property Improvements (as hereinafter defined) to the Premises as set forth in this Amended Agreement, and the other terms hereof are consistent with encouraging development of the Zone in accordance with the purposes for its creation and are in compliance with the Ordinance and Policy and similar guidelines and criteria adopted by the City and all applicable law; and WHEREAS, notice has been published in accordance with Chapter 312 of the Tex. Tax Code and written notice that the City intends to enter into this Amended Agreement, along with a copy of this Amended Agreement, has been furnished by the City, in the manner and by the time prescribed by the Code, to the presiding officers of the governing bodies of each of the taxing units in which the Premises is located; s:\legal\our documents\contractsU6\amended taa�eterbilt-clean_final_050316.docx NOW, THEREFORE, the City and Owner for and in consideration of the premises and the promises contained herein do hereby contract, covenant, and agree as follows: I. DEFINITIONS "Added Taxable Value" is defined as the value of the Real Property Improvements above the Base Year Value, as appraised by Denton Central Appraisal District. "Application for Tax Abatement" means that certain application for incentives made by Owner to the City and dated December 9, 2014, attached as Exhibit B and incorporated herein. "Appraised Value or Value" means the value certified as of January 1 of each year of this Amended Agreement regarding the property within the Zone. "Phase I Base Year" means January 1, 2015. "Phase II Base Year" means January l, 2016. "Base Year Value" means the tax year 2015, in the case of the Phase I Base Year, and 2016, in the case of the Phase II Base Year, taxable value of Owner's real property located at the Premises in the Zone on January 1, excluding land value, as finally determined by the Denton Central Appraisal District, and in the case of Phase II Base Year, excluding Phase I Base Year Value. "City" means City of Denton, Texas. "District" means Denton Central Appraisal District. "Ineligible Property" means real property, existing improvements, or tangible personal property that the District classifies as inventory, vehicles, or supplies, real property used primarily to provide retail sales or services to the public, real property used for residential purposes, tangible personal property located in the Zone prior to the execution date of the Original Agreement, real property with a productive life of less than 10 years, or any other property for which abatement is not allowed by the Act. "Owner" means Peterbilt Motors Company, a division of PACCAR Inc., a Delaware Corporation. "Phase I Eligible Improvements" means the construction, renovation, and equipping of real property improvements erected or afiixed to the Premises following the Phase I Base Year to include costs related to the development and improvement of approximately 17,500 square foot expansion of the current manufacturing facility increasing dock doors by approximately 56%, expansion of the metering center on the East side of the plant, expansion on the West side of the plant, and a storage and retrieval system for painted parts, cabs, hoods and sleepers on the second level of the building at the Premises or as otherwise approved by the City, including without limitation, construction costs, design and engineering costs, and tangible personal property located on or at the Premises by the Owner, excluding inventory, vehicles, and supplies, and which is not Page 2 of 24 s:\iegal\our doc�amenis\contracts\I6\° eerded taa�eterbilt-cleara_final_050316.dacx Ineligible Property, having a taxable value of at least $10,000,000 upon completion and eligible for tax abatement only if completed and operational on or before December 31, 2016. Phase I Eligible Improvements are more particularly described in the Application for Tax Abatement detailed in Exhibit B, attached hereto and incorporated by reference. "Phase II Eligible Improvements" means the construction, renovation, and equipping of real property improvements erected or affixed to the Premises following completion of the Phase I Eligible Improvements and as of the Phase II Base Year to include costs related to the development and improvement of a new stand-alone approximately102,000 square foot building north of the existing heavy duty truck manufacturing plant at the Premises, including without limitation construction costs, design and engineering costs, and tangible personal property located on or at the Premises by the Owner, excluding inventory, vehicles, and supplies, and which is not Ineligible Property, having a taxable value of at least $8,500,000.00 upon completion and eligible for tax abatement only if completed and operational on or before December 31, 2017. Phase II Eligible Improvements are more particularly described in the Application for Tax Abatement and detailed in a letter from Owner to City attached as Exhibit C and incorporated by reference. "Premises" is defined as the real property (land and improvements) located at 3200 Airport Road, as described by metes and bounds in Exhibit A, which existed on January 1, 2015, entirely within the Zone, and which is owned and operated by Owner. "Real Property Improvements" are defined as improvements to the Premises and shall include buildings, structures, or fixtures erected or affixed to the land and consist of both Phase I Eligible Improvements and Phase II Eligible Improvements and exclude Ineligible Property. "Reinvestment Zone No. XII" or "Zone" is defined as the real property located in the City of Denton, Texas and described by City of Denton Ordinance No. 2015-048, attached hereto as Exhibit D and incorporated by reference. II. TERMS AND CONDITIONS OF ABATEMENT A. In consideration of and subject to the Owner meeting all the terms of abatement set forth herein, the City hereby grants the following tax abatement(s) ("Abatement(s)"): 1. 1NCENTIVE FOR PHASE I ELIGIBLE IMPROVEMENTS a. An Abatement equal to 70% of City ad valorem taxes attributable to new Phase I Eligible Improvements resulting in an Added Taxable Value (excluding land value), determined by the District, of real property improvements to and tangible personal property (excluding inventory, vehicles and supplies) located on the Premises, excluding the Base Year Value. The Abatement is subject to the conditions as set forth in this Amended Agreement. b. Such Added Taxable Value shall be at least $10,000,000.00 over the Base Year Value, as determined by the District, of the Premises and tangible personal property (excluding inventory, vehicles, and supplies) located on the Premises, excluding the Phase I Base Page 3 of 24 s:\legal\our dociirr�ents\cor�tracts\16\amended taa�eterbilt-clean_final_050316.docx Year Value. If such increase in assessed value, determined by the Denton Central Appraisal District, is less than $10,000,000.00, then there shall be no Abatement. The incentive shall be for a period of eight (8) years commencing on January 1 of the year following the Owner's receipt of a certificate of occupancy ("C.O.") for the Premises. d. The construction or placement of the Phase I Eligible Improvements shall be completed on or before December 31, 2016, subject to force majeure delays not to exceed 180 days. For the purposes of this paragraph, the term force majeure shall mean any circumstances or any condition beyond the control of Owner as set forth in Art. XXI, "Force Majeure" which makes it impossible to meet the above-mentioned threshold. e. The appraised value of the Phase I Eligible Improvements on each and every January 1 St thereafter during the term of this Amended Agreement shall not be less than $10,000,000.00 over the Base Year Value. Owner may from time to time during this Amended Agreement, install additional improvements and modify, remove or replace improvements in Owner's discretion provided that Owner shall not modify the minimum value requirements hereunder. Failure to meet the requirements of this section will invalidate this Amended Agreement as herein described. £ The Abatement shall not apply to the Base Year Value, Ineligible Property, inventory, vehicles, or supplies. 2. 1NCENTIVE FOR PHASE II ELIGIBLE IMPROVEMENTS a. An Abatement equal to 70% of City ad valorem taxes attributable to new Phase II Eligible Improvements resulting in an Added Taxable Value (excluding land value), as determined by the District, of real property improvements to and tangible personal property (excluding inventory, vehicles and supplies) located on the Premises, excluding the Phase II Base Year Value and any Added Taxable Value of Phase I Eligible Improvements after the Phase II Base Year, The Abatement is subject to the conditions as set forth in this Amended Agreement. b. Such Added Taxable Value shall be at least $8,500,000.00 over the Phase II Base Year Value, as determined by the District, of the Premises and tangible personal property (excluding inventory, vehicles, and supplies) located on the Premises, excluding Phase II Base Year Value and any Added Taxable Value of Phase I Eligible Improvements after the Phase II Base Year. If such Added Taxable Value of Phase II Eligible Improvements, as determined by the District, is less than $8,500,000.00, then there shall be no Abatement. c. The incentive shall be for a period of eight (8) years commencing on January 1 of the year following the Owner's receipt of a certificate of occupancy ("C.O. ") for the Premises. The appraised value of the Phase II Eligible Improvements on each and every January 1 St thereafter during the term thereafter of this Amended Agreement shall not be less than $8,500,000.00, excluding Phase II Base Year Valuation, and any Added Taxable Value of Phase I Eligible Improvements after the Phase II Base Year. Owner may from time to time during this Amended Agreement, install additional improvements and modify, remove or replace improvements in Owner's discretion provided that Owner shall not modify the minimum value requirements hereunder. Failure to meet the requirements of this section will invalidate this Amended Agreement as herein described. f. The Abatement shall not apply to the Phase II Base Year Value, Phase I Eligible Improvements, Ineligible Property, inventory, vehicles, or supplies. B. In order to receive any Abatements under this Amended Agreement, the Owner shall meet and maintain the following conditions: Real Property Improvements shall be constructed and the Premises shall be used substantially in accordance with the description of the project set forth in the Application for Tax Abatement. All Real Property Improvements shall be placed and/or installed in accordance with applicable laws, ordinances, rules, or regulations in effect at the time such Real Property Improvements are placed and/or installed. The City is not obligated in any way to payment of costs and fees for the Real Property Improvements and is only agreeing to Abatements as herein described. For the construction of Real Property Improvements, Owner shall comply with all applicable City of Denton Code of Ordinances, the Policy, Texas Department of Transportation Regulations and any other applicable federal, state, and local law. 2. Real Property Improvements shall be operated and maintained for the purposes set forth herein so that the uses of the Premises shall be consistent with the general purpose of encouraging development or redevelopment of the Zone, except as otherwise authorized or modified by this Agreement. 3. The City shall have the right to terrninate the Abatements if the �wner does not occupy the Premises continuously for the term of the Abatements for the purposes set forth in the Tax Abatement Application. 4. Owner agrees to comply with all the terms and conditions set forth in this Amended Agreement. Page 5 of 24 s:Uegaiiour doci�rnents\contracts\16\amea�ded taa�seterbilt-cfe�an_fnal_050316.docx If Owner protests the District's value of the property subject to this Amended Agreement, the valuation placed on the property after the protest is resolved under State law shall be used. 6. On or before February 28th of each year for the term of this Amended Agreement, the Owner shall certify in writing to the City, Owner's compliance with each term of this Agreement as indicated herein. Contract Year No. 1 begins January 1 St, following the year ending December 31St, in which a Certificate of Occupancy is issued, and subsequent Contract Years shall be numbered sequentially up to Contract Year No. 8 for the purposes of compliance as described in Article IV of this Amended Agreement. 7. Owner shall be responsible for notifying the District of the Abatements, including filing with the District any application or other forms necessary to qualify for or receive the Abatements granted. 8. Owner has the financial resources to meet the conditions of this Amended Agreement. 9. This paragraph is required by Chapter 2264, Tex. Gov't Code and governs over any conflicting provisions of this Amended Agreement. Owner is prohibited from knowingly employing undocumented workers as that term is defined in Section 2264.001, Tex. Gov't Code. If Owner is convicted of a violation under 8 U.S.C. Section 1324a (�, the conviction shall be considered a default of this Agreement, from which no cure provisions shall apply. In such event, the City shall provide written notice to Owner of the default and this Amended Agreement shall automatically terminate on the 30cn day after the date of the notice of default from the City to Owner. In the event of termination under this paragraph, Owner shall repay to the City the amount of all property taxes abated under this Amended Agreement, plus interest on the abated amount at the rate provided for in the Tex. Tax Code for delinquent taxes. 10. Owner shall use a good faith effort to hire local Denton contractors and suppliers in constructing the Real Property Improvements where qualified and available. III. EVENT OF DEFAULT A. The City may declare the Owner in default of this Amended Agreement on th� following events: 1. Owner fails to comply with any term of this Agreement. 2. Owner allows its ad valorem real property taxes with respect to the real property on the Premises, or its ad valorem taxes with respect to any tangible personal property, if any, on the Premises, owed the City to become delinquent and fails to timely and properly follow the legal procedures for protest and/ or contest of any such ad valorem real property or tangible personal property taxes. Owner ceases operations on the Premises for a continuous period during the term of this Amended Agreement as stated in Article II herein, without prior written consent of the City, except that (a) a shutdown of a facility, with assurance of the resumption of operations, for the purpose of facility modification, expansion, improvement, retooling, or similar purpose, (b) in the event the facility is being actively marketed, the city shall not unreasonably withhold consent to a reasonable extension to such period to permit the sale of the facility to another operator, (c) the closure of the facility pending settlement of insurance, casualty or condemnation claims, (d) or the closure due to inadequate or unacceptable raw water supply shall not constitute a cessation of operations on the Premises. 4. Any warranty, representation or statement made or furnished to the City by or on behalf of Owner, under this Amended Agreement that is false or misleading in any material respect, either now or at the time made or furnished, and Owner fails to cure same within thirty (30) days after written notice from the City to the Owner describing the violation, or if such violation cannot be cured within such 30-day period in the exercise of all due diligence, then if Owner fails to commence such cure within such 30-day period or fail to continuously thereafter diligently prosecute the cure of such violation, or if Owner learns that any such warranty, representation or statement has become false or misleading at the time that it was made, and Owner fails to provide written notice to the City of the false and misleading nature of such warranty, representation or statement within ten (10) days after confirmed written notice to Owner. 5. The dissolution or termination of Owner's existence as an ongoing business, Owner's insolvency, appointment of receiver for any part of the Premises, any assignment of all or substantially all of the assets of Owner for the benefit of creditors of Owner, any type of creditor workout for Owner, or the commencement of any proceeding under any bankruptcy or insolvency laws by or against Owners, unless, in the case of involuntary proceedings, such proceedings are discharged within sixty (60) days after filing. 6. City shall notify Owner of any default in writing specifying the default. Owner shall have sixty (60) days from the date of the notice to cure any default. If Owner fails to cure the default within ninety (90) days from receipt of notice, the City may terminate this agreement by written notice, modify this agreement, or request a partial or total recapture of the Abatements as stated herein. B. If Owner is in default of this Amended Agreement or fails to meet the conditions hereof, the following terms apply: If this Amended Agreement is terminated by the City for any reason other than as described in Sec. III.A.8. herein, the Abatements shall be terminated with respect to the year in which notice of Default is given and all future years thereafter. Owner shall refund to the City any Abatements amounts received for the year in which the Amended Agreement was terminated and Interest on that abated amount at the rate provided for in the Texas Tax Code for delinquent taxes within thirty (30) days from the date of termination. The Abatements with respect to any year prior to the year in which notice of the default is given shall not be forfeited or recaptured unless the Owner fails to construct any Real Property Improvements or fails to install business personal property on the Premises by the time it is due, or if the assessed value, determined by the District, falls below the minimum thresholds' as stated herein during the term of this Amended Agreement. In such case, the Owner shall refund to the City all tax Abatements amounts previously received during the term of this Amended Agreement and Interest on the abated amount at the rate provided for in the Texas Tax code for delinquent taxes within thirty (30) days from the date of termination. 3. City shall have a lien against the Real Property Improvements and any Ineligible Property on the Premises for the taxes and interest owed due to the recapture of taxes under this section during the time period beginning on the date such payment obligation accrues and continuing until the date it is paid. IV. RECORDS AND EVALUATION OF PROJECT A. The Owner shall provide access and authorize inspection of the Premises by City employees and allow sufficient inspection of financial information to insure that the Real Property Improvements are made and the thresholds are met according to the specifications and conditions of this Amended Agreement. Such inspections shall be in addition to, and not in place of, any inspections required by ordinance for construction of the Real Property Improvements and the like. Such inspections shall be done in a way that will not interfere with Owner's business operations. City shall annually (or such other times deemed appropriate by the City) evaluate the project to ensure compliance with this Amended Agreement. Upon request, the Owner shall provide information to the City on a form provided by the City for the evaluation. The information shall include inventory listing the kind, number, and location of and the total assessed value, determined by the District, of all Real Property Improvements to the Premises, including, without limitation, the assessed value, determined by the District, of all structures and all tangible personal property installed or located on the Premises. B. Owner shall deliver to the City before February 28t" of each year a Certiiicate of Compliance utilizing the form attached as Exhibit E to begin the year following the first anniversary of the Abatements in Contract Year 1 and each year thereafter during the term of this Amended Agreement. Said Certificate shall reflect all relevant information from the previous calendar year. The form is subject to revision by the City provided that such revision does not materially change Owner's rights or obligations under this Amended Agreement. In the Certificate of Compliance, Owner shall warrant to the City that it is in full compliance with each of its obligations under this Amended Agreement for the preceding year. C. The City Manager shall make a decision and rule on the eligibility of the project for tax abatement based on the information furnished each year by the Owner on or before August 1 of the taxable year and shall so notify Owner and the City Council. During normal office hours throughout the term of this Amended Agreement, providing reasonable notice is given to Owner, the City shall have access to the Premises by City employees for the purpose of inspecting the Premises and the Real Property Improvements to ensure that the Real Property Improvements are being made in accordance with the specifications and conditions of this Amended Agreement and to verify that the conditions of this Amended Agreement are being complied with, provided that such inspection shall not interfere with Owner' s normal business operations. E. The City is not obligated to continue this Amended Agreement if the Owner fails to timely submit its Certificate of Compliance after receiving written notice of such failure from the City and having the opportunity to cure such deficiency within a three (3) business day period. If the City is unable to confirm the Owner's compliance for its obligations in any year of the Amended Agreement due to Owner not providing proof of compliance within one year from the due date of the Certificate of Compliance, then there will be no Abatements for that year. V. GENERAL PROVISIONS A. The City has determined that it has adopted guidelines and criteria governing tax abatement agreements for the City to allow it to enter into this Agreement containing the terms set forth herein. B. The City has determined that procedures followed by the City conform to the requirements of the Code and the Policy, and have been and will be undertaken in coordination with Owner's corporate, public employee, and business relations requirements. C. The Premises are not in an improvement project financed by tax increment bonds. D. Neither the Premises nor any of the Improvements covered by this Agreement are owned or leased by any member of the City Council, any member of the City Planning and Zoning Commission of the City, or any member of the governing body of any taxing units joining in or adopting this Agreement. E. In the event of any conflict between the City zoning ordinances, or other City ordinances or regulations, and this Amended Agreement, such ordinances or regulations shall control. F. The City, its past and future officers, elected officials, employees, and agents expressly do not assume any responsibilities or liabilities to any third party in connection with the project or the design, construction, or operation of any portion of the Real Property Improvements. VI. EFFECT OF SALE, ASSIGNMENT, OR LEASE OF PROPERTY A. The Abatements with respect to the Premises, including any tangible personal property located on the Premises owned by Owner, shall vest in Owner and shall be assignable, with City approval, which shall not be unreasonably withheld, to any individual, partnership, joint venture, corporation, trust or other entity (irrespective of whether or not such assignee is related to or affiliated with Owner) which acquires title to the Premises. Nor shall the consent of the City be necessary if the assignee agrees to fully comply with the terms and conditions of this Amended Agreement in writing. B. Owner shall be responsible for requesting approval of an assignment of this Amended Agreement in the event that the Premises is sold, transferred, or assigned within a reasonable time after such sale, transfer or assignment. Any assignment is not effective until approved in writing by the City. VII. CHIEF EXECUTIVE OFFICER AUTHORIZATION This Amended Agreement was entered into by Owner, pursuant to authority granted by the Chief Executive Officer of its ultimate parent, Peterbilt Motors Company, a division of PACCAR Inc., a Delaware Corporation. Evidence, which must be satisfactory to the City, that the person signing this Amended Agreement is authorized to bind Owner to all of the terms and conditions of the Amended Agreement is attached hereto and incorporated herein as Exhibit G as if written word for word herein. X. SEVERABIILTY In the event any section, subsection, paragraph, sentence, phrase or word is held invalid, illegal or unconstitutional, the balance of this Amended Agreement shall stand, shall be enforceable and shall be read as if the parties intended at all times to delete said invalid section, subsection, paragraph, sentence, phrase, or word. In the event that (i) the term of the Abatement with respect to any property is longer than allowed by law, or (ii) the Abatement applies to a broader classification of property than is allowed by law, then the Abatement shall be valid with respect to the classification of property abated hereunder, and the portion of the term, that is allowed by law. XI. ESTOPPEL CERTIFICATE Any party hereto may request an estoppel certificate from the other party hereto so long as the certificate is requested in connection with a bona fide business purpose. The certificate, which if requested will be addressed to the Owner, shall include, but not necessarily be limited to, statements that this Amended Agreement is in full force and effect without default (or if default exists the.nature of default and curative action, which should be undertaken to cure same), the remaining term of this Amended Agreement, the levels and remaining term of the Abatements in effect, and such other matters reasonably requested by the party(ies) to receive the certificates. XII. OWNER STANDING Owner, as a party to this Amended Agreement, shall be deemed a proper and necessary party in any litigation questioning or challenging the validity of this Amended Agreement or any of the underlying ordinances, resolutions, or City Council actions authorizing same and Owner shall be entitled to intervene in said litigation. MUTUAL ASSISTANCE City and Owner agree to do all things reasonably necessary or appropriate to carry out the terms and provisions of this Amended Agreement and to aid and assist each other in carrying out such terms and provisions. Owner and City agree at any time, and from time to time, to execute any and all documents reasonably requested by the other party to carry out the intent of this Amended Agreement. XV. ENTIRE AGREEMENT This instrument with the attached exhibits contains the entire agreement between the parties with respect to the transaction contemplated in this Amended Agreement. XVI. BINDING This Amended Agreement shall be binding on the parties and the respective successors, assigns, heirs, and legal representatives. XVII. COUNTERPARTS This Amended Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. XVIII. "� �t� �ca�� �.�1�. :� 1 � �a'�1:�;a`�'c�� t� �� t�� "Property Redevelopment and Tax Abatement Act" or the "Act"); and WHEREAS, an industry or business known as Peterbilt Motors Company, a division of PACCAR Inc, a Delaware Corporation has requested tax abatement to expand their current fa- cility located at 3200 Airport Road, in Denton, Texas and build improvements within the area to be designated as Reinvestment Zone XII; and WHEREAS, the City Council desires to create a proper economic and social environment to induce investment of private resources and productive business enterprises in this area of the City, which meets the criteria established under §312.202 of the Act, and to expand primary em- ployment or to attract znaj or investment; and WHEREAS, a public hearing before the City Council was held at or after 6:30 p.m. on February 17, 2015, in the City Council Chambers of the City of Denton at 215 East McKinney Street in the City of Denton, such date being at least seven days after the date of publication of notice of such public hearing and the receipt of written notices of such public hearing by the pre- siding ofiicer of each taxing unit that includes in its boundaries real property that is to be includ- ed in the proposed reinvestment zone, in accordance with §312.201 of the Act; and WHEREAS, such public hearing was held before the consideration and adoption of this ordinance; and WHEREAS, the City, at that hearing, invited any interested citizen ox his representative to appear and offer testimony or evidence for or against the creation of the reinvestment zone, the boundaries of the proposed reinvestment zone, whether all or part of the territory described in the notice calling the public hearing should be included in the proposed reinvestment zone, and the concept of tax abateraent; and WHEREAS, in accordance with such public notice, all owners of property within the proposed reinvestment zone and all other taxing units and other interested persons were given the opportunity at such public hearing to protest the creation of the proposed reinvestment zone or the inclusion of their property in such reinvestment zone; and . WHEREAS, on the 6th day of May, 2014, on or before the holding o� the above- mentioned public hearing, the City Council passed Resolution No. 2014-016 establishing guide- lines and criteria governing tax abatement and incentive agreements and stating that the City of Denton elects to become eligible to participate in tax abatement, in accordance with Tex. Tax Code §312.002and such Policy is now in effect and was in effect prior to the public hearing; and WHEREAS, at the public hearing proponents and opponents of the reinvestment zone of- fered evidence in £avor and against all matters relating to the creation of the reinvestment zone, and, after hearing this testimony and evidence, the City Council deems it in the public interest to create this reinvestment zone; NOW, THEREFORE, THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS: SECTION 1. The facts and recitations contained in the preamble of this ordinance are hereby found and d eclared to be true and correct, SECTION 2. For the purposes of this ordinance, the following terms and phrases shall have the following meaniiags ascribed to them: A. Improvements.— Improvements shall include, for the purpose of establishing elzgibility under the Act, any activity at the location, including, but not limited to, new construction, recon- struction, renovation and repairs. B, Taxable Real Property — Taxable real property shall be as deiined in the Texas Property Tax Code and shall not include personal property as defined in the Code. C. Tangible Personal Property — Tangible Personal Property shall be defined as business per- sonal property, excluding inventory and supplies. D. Base Year — The base year for determining increased value shall be the taxable real property value assessed the year in which the Tax Abatement Agreement is executed. SECTION 3. The City, through its City Council, after conducting the above-mentioned public hearing and having heard such evidence and testimony, makes the following findings and determinations based on the evidence and testimony presented to it: A. The public hearing on the adoption of the reinvestment zone has been properly called, held, and conducted in accordance with §312,201 of the Act and all other applicable laws, and that notice of such hearing has been published as required by law and delivered to the presiding officer of the governing body of each taxing unit that includes in its boundaries real property that is to be included in the proposed reinvestment zone as required by law; and Page2of6 B. Prior to holding the public hearing, the City has adopted, by resolution, the guidelines and oriteria governing tax abatement agreements by adopting a City of Denton Tax Abatennent Policy, as amended, and the City has elected to participate in tax abatement; and C. The City had jurisdiction to hold and conduct the public hearing on the creation of the pro- posed the reinvestment zone, pursuant to chapter 312 of the Act; and D. The boundaries of the reinvestment zone shall be the area described in the metes and bounds description attached hereto as Exhibit "A" and as shown on the diagram as the outlined area attached hereto as Exhibit "B" and being approximately 100 acres situated on the north side of Airport Road and in the corporate limits of the City of Denton, Texas, such Exhibits "A" and "B" being incorporated and made a part of this ordinance as if written word for word herein; and E. The creation of the reinvestment zone for commercial/industrial tax abatement with the im- proveznents expected to be developed by Peterbilt Motors Connpany would be of beneft to the City and fo the land to be included 'in the zone, with the boundaries as described in Exhib- it "A," after the expiration of the tax abatement agreez�nent entered into under §312.204 of tYze Act, and the improvements sought are feasible and practical; and F. The reinvestment zone as defined in Exhibit "A" and shown on Exhibit "B" meets the criteria for the creation of a reinvestment zone, as set forth in §312.202 of the Act, since it is, "rea- sonably likely, as a result of the designation, to contribute to the retention or expansion of primary employment or to attract major investment in the zone that would be a benefit to the property and that would contribute to the economic development of the Municipality;" and G. The reinvestment zone as defined in Exhibit "A" and shown on Exhibit "B" meets the criteria for the creation of a reinvestment zone as set forth in the Denton Policy for Tax Abatement and the expected improvements in the boundaries of the zone are expected to enhance signif- icantly the value of all taxable real property and tangible personal property located within the reinvestment zone. SECTION 4. Pursuant to §312.201 of the Act, the City, through its City Council, hereby creates a reinvestment zone for commercial/industrial tax abatement encompassing only the area described by the metes and bounds description in Exhibit "A" attached hereto and as shown on Exhibit "B" attached hereto and such reinvestment zone is hereby designated and shall hereinaf- ter be designated as Reinvestment Zone No. XII, City of Denton, Texas. SECTION 5. Reinvestment Zone No. XII shall be effective as oi March 1, 2015, and shall terminate eight years from that date, on February 17, 2023, unless extended for an addition- al five-year term or unless earlier terminated by action of the City Council in accordance with §312.203 of the Act. SECTION 6. To be eligible for tax abatement, a commercial/industrial project shall: Page 3 of 6 A. Be located wholly within the zone established herein; B, Meet the requirements of the Denton Tax Abatement Policy; C. Not include property that is owned or leased by a member of the City Council of the City of Denton, or by a member of the Planning & Zoning Commission; D. Conform to the requirements of the City's zoning ordinance and all other applicable laws and regulations; and E. Have and maintain all land located within the designated zone, appraised at nnarket value for tax purposes. SECTION 7. Written tax abatement agreements with property owners located within the zone shall provide the terms regarding duration of exemption and share of taxable real property and/or tangible personal property located on the real property for taxation as approved hereunder, as shown below: ' ' � A. Duration of exemption from two years to ten years depending on the value of the structures and real property in accordance with the Denton Tax Abatement Policy, beginning with and including January 1, 2017; and B. Share of taxes abated - in the maximum of 70% of taxes on the total value of appraised real property improvements and tangible personal property, excluding inventory and supplies, as more particularly described in the Tax Abatement Agreetnent between the City of Denton and Peterbilt Motors Company, which are added, provided, however, nothing herein shall prevent any other taxing unit that includes in its boundaries real property that is included in the reinvestment zone from entering into a tax abatement agreement with a different share of taxes abated on the total value oi appraised improvements which are added, in accordance with the requirements of chapter 312 of the Act, SECTION 8. Any written agreements authorized under this ordinance must include pro- visions for: A. Listing the kind, number, and location of all proposed improvements of the property; B. Access to and authorizing the inspection of the property by municipal employees to ensure that the improvements or repairs are made in accoxdance with the specifications and condi- tions of the agreements; C. Limiting the uses of the property, consistent with the general purpose of encouraging devel- opment or redevelopment of the zone during the period that property tax exemptions are in effect; Page 4 of 6 D. Recapturing of property tax revenues lost as a result of the agreement zf the owner of the propert�y fails to make the improvements or repairs as provided by the agreement; . E. Containing each term agreed to by the owner o£ the property; F. Requiring the owner of the property to certify annually to the governing body of each taxing unit that the owner is in compliance with each applicable term of the agreement; G. Providing that the gover�iing body of the municipality may cancel or modify the agreement if the property owner fails to coznply with the agreement; H. Contain any additional terms and conditions which the City Council deems are necessary, in accordance with §312.205 of the Act, and that are negotiated with the owner of the property. Provided, however, nothing herein shall prevent other taxing units, who include in their boundaries real property within the reinvestment zone, from negotiating terms and conditions that are different from any municipal tax abatement agreement, so long as the mandatory terms and conditions required by §312.205 of the Act are included. SECTION 9, The City Council further directs and designates the City Manager and the Director of Economic Development as liaisons for communication with regard to all matters per- taining to the Zone, including, without limitation, the development of the amendment of the cur- rent Denton Tax Abatement Policy if necessary, the negotiation of tax abatement agreements with industries, commercial enterprises, and other businesses eligible for tax abatement under the Tax Abatement Policy and for comzn.unication with other taxing entities and the Economic De- velopment Partnership Board. SECTION 10, All ordinances or parts of ordinances in force when the provisions of this ordinance became effective which are inconsistent or in conflict with the terms or provisions contained in this ordinance are hereby repealed to the extent of any such conflict. SECTION 11. If any section, paragraph, clause, or provision in this ordinance, or appli- cation thereof to any person or circumstance is held invalid or unenforceable, the invalidity or unenforceability of such section, paragraph, clause, or provision shall not affect any of the re- maining portions of this ordinance. SECTION 12, Tt is hereby found, determined, and declared that a sufficient written no- tice of the date, place, hour, and subject of the meeting of the City Council at which this ordi- nance was adopted was posted and placed and conveniently accessible at all times to the general public at the City Hall of the City for the time required by law, preceding this meeting, as re- quired by the Open Meetings Act, Tex. Gov't Code Ch. 551, and that this meeting was open to the public as required by law at all tim.es during which this ordinance and the subject matter thereof has been discussed, considered, and formally acted upon.
