[NORT LAKES TO ENTON NORT T LINE] W EREAS, the City Council of the City of Denton (66City Council") after consideration of this matter, has determined that a public use and necessity exists far, and that the public welfare and convenience requires, the acquisition of the Property Interests by the City of Denton, Texas /66C1ty99) The City Council iinds that the acquisition of the Property Interests is a valid public use � necessary for the expansion, constructian, maintenance, and operation of an electric iransmission line, ancillary facilities and structures, including drainage and access, approved by ordinance of the City Council on December 8, 2015; WHEREAS, the City is required to make an initial offer as defined by, and in compliance with, Texas Property Code §21.0111 (66Initial Offer"), and a bona fide offer, as defined by, and in compliance with, Texas Property Code §21.4113 (66Fina1 Offer") to acquire the Property Interests far public use, voluntarily, from the owner(s) before beginning the acquisitian of the Property Interests by eminent domain; and W E AS, the City Council deems it necessary ta authorize the City Attorney to initiate condemnation proceedings in order to acquire the Property Interests if an agreement cannot be reached with the owner(s) for the purchase of the Property Interests; NOW, THEREFORE, �, ' 1 � ! The City Council ratifies, confirms and adopts the finding and recitals contained in the preamble to this Ordinance and further iinds that the recitals made in the Preamble of this Ordinance are true and correct, and incorporates such recitals into the body of this Ordinance as if copied in their entirety. Sectio_n II. For the reasons and purposes set forth above, the City Council authorizes acquisition of fee interests to the real property more particularly described in the attached Exhibits 66 ^ 99 _ 66D 999 together with all necessary appurtenances, additions and improvements on, aver, under, � � �� and through the same real property and including a waiver of surface use ta the mineral estate (all, along with the easement interests considered in Section III, being referred to in this Ordinance as 66Property Interests") Sc�#:r�a�� l�i. For the reasons and purposes set forth above, the City Council authorizes acquisition of easement interests to the real property more particularly described in the attached Exhibits 66('�99 _ 66F999 together with all necessary appurtenances, additions and impravements on, over, under, and through the same real property and including a waiver of surface use to the mineral estate (all, along with the fee interest considered in Section II, being referred to in this Ordinance as 66Property Interests") �c-�tic�a� � V. R.R. Survey, Abstract Number 186, Denton County, Texas, being affected by the public improvement Project called the North Lakes to Denton North Transmission Line Project ("Project"); and WHE AS, City is in need of certain real estate and easements in, along, over, upon, under and across the Land described above related to the Project; and WHE AS, it is desirous of both parties to stipulate and agree to the terms and conditions associated with the purchase of the necessary interests for the Project; NOW, THEREFO , for good and valuable consideratian, the receipt and adequacy of which is hereby acknowledged, the parties agree as follows: � 1. At Closing, the Owner shall grant, execute, and deliver to the City (i) a Special Warranty Deed, attached hereto as Attachment 1, conveying a certain 1.851 acre tract of land in Denton County, Texas being more particularly described and depicted in Exhibits "A" and "B" to Attachment 1(the "Fee TracY9); (ii) an Electric Utility Easement, attached hereto as Attachment 2, conveying an easement in, along, over, upon, under and across an approximately 0.851 acre tract of land being described and depicted in Exhibit "A" and Exhibit "B" to Attachment 2(the "Electric Utility Easement Lands"); and (iii) an Utility and Drainage Easement, attached hereto as Attachment 3, conveying an easement in, along, over, upan, under and across a 0.086 acre tract of land being depicted and described in Exhibit "A" and Exhibit "B" ta Attachment 3(the "Utility and Drainage Easement Lands"). (The Electric Utility Easement Lands and the Utility Drainage Easement Lands are collectively referred to herein as the "Easement Lands")(the Electric Utility Easement and the Utility and Drainage Easement are callectively referred to herein as the "Easements„) 2. As consideration for the granting of the Special Warranty Deed and Easements, the City shall pay to Owner at Closing the sum of Two Hundred Twenty-Five Thousand and no/1000 �/ ($225,000.00 )as compensation. The monetary compensation prescribed in this Section 2 is herein referred to as the "Total Monetary Compensation". 3. During the Project Construction Period, City will not prevent Owner's access to its property, inventory, stock and equipment for greater than a 24 hour period, and Owner will be given at least a 24 hour notice, by telephone at �'�� ���� ���� or telephonic facsimile at z �� :��`` , prior to any construction activities that would prevent access to any of Owner's property, stock or equipment. 4. Owner shall be responsible for operation and maintenance of any temporary electronic security systems or any measures desired during the Project Construction Period. Notwithstanding the duty of City to Owner to secure Owner's Land, as provided herein, City shall not be responsible for loss of property of Owner or damage to the Property, except as may be specifically otherwise provided by this Agreement. 5. Owner's existing sewer and electrical connections, if any, shall remain operable during the Project Construction Period. 6. Owner stipulates that the Total Manetary Compensation payment constitutes and includes all compensation due Owner by City related to the Project, including without limitation, any damage to or diminution in the value of the remainder of Owner's property caused by, incident to, or related to the Project, damage to and/or costs of repair, replacement and/or relocation of any improvements, turf, landscape, vegetation, or any other structure or facility of any kind located within the Easement Lands related to activities conducted pursuant to the Easements, and interference with Owner's activities on the Easement Lands or other property interests of Owner caused by or related to activities within the scope of the rights granted by the Easements, whether accruing now or hereafter, and Owner hereby releases for itself, its successors and assigns, City, it's offacers, employees, elected officials, agents and contractors from and against any and all claims they may have now or in the future, related to the herein described matters, events and/or damages. 3 � 7. The Closing (herein so called) shall occur in and through the office of Republic Title, 2626 Howell Street, lOth Floor, Dallas, Texas 75204 ("Title Company"), with said Title Company acting as escrow agent, on the date which is 60 days after the Effective Date, unless the Owner and the City mutually agree, in writing, to an earlier or later date ("Closing Date"). In the event the Closing Date, as described above, occurs on a Saturday, Sunday or Denton County holiday, the Closing Date shall be the next resulting business day. The Owner shall convey the Easements free and clear of all debts, liens and encumbrances (the "Encumbrances"). The Owner shall assist and support satisfaction of all closing requirements in relation to solicitation of release or subordination of liens and encumbrances and other curative efforts affecting the Fee Tract and Easements, if necessary in the discretion of the City. In the event that all Encumbrances are not cured to the satisfaction of City prior to Closing, such shall not be a default hereunder, although Owner may otherwise be in default under Section 15, below. However, if the Encumbrances are not cured as provided herein, City has the option of either (i) waiving the defects related to the remaining Encumbrances by notice in writing to Owner on or prior to the Closing Date, upon which the remaining Encumbrances shall become Permitted Exceptions (herein so called), and proceed to close the transaction contemplated by this Agreement; or (ii} terminating this Agreement by notice in writing to Owner, in which latter event Owner and City shall have no further obligations under this Agreement. 8. The stipulated Total Monetary Compensation amount shall be paid by the City at Closing to the Owner through the Title Company. All other typical customary and standard closing costs associated with this transaction shall be paid specifically by the City, except for Owner's attorney's fees, if any, which shall be paid by Owner. a 9. The date on which this Agreement is executed by the City shall be the "Effective Date" of this Agreement. 10.A. In the event Owner shall default in the performance of any covenant or term provided herein, and such default shall be continuing after ten (10) days written notice of such default and opportunity to cure, City may exercise any right or remedy available to it by law, contract, equity or otherwise, including without limitation, the remedy of specific performance or termination of this Agreement. B. In the event City shall default in the performance of any covenant or term provided herein, and such default shall be continuing after ten (10) days written notice of default and opportunity to cure, Owner may, as its sole and exclusive remedy, either (i) terminate this Agreement prior to Closing by written notice of such election to City; or (ii) enforce specific performance of this Agreement. 11.
