AN ORDINANCE OF THE CITY OF DENTON, TEXAS, AUTHORIZING THE CITY
MANAGER TO EXECUTE A PROFESSIONAL SERVICES AGREEMENT WITH TEAGUE
NALL, AND PERKINS, INC,, FOR ENGINEERING SERVICES RELATED TO THE
MAGNOLIA DRAINAGE PHASE II PROJECT; AND ESTABLISHING AN EFFECTIVE DATE
(FILE - 6405 IN THE NOT -TO -EXCEED AMOUNT OF $118,000),
WHEREAS, the professional services provider (the "Provider) mentioned in this ordinance is
being selected as the most highly qualified on the basis of its demonstrated competence, and
qualifications to perform the proposed professional services; and
WHEREAS, the fees under the proposed contract are fair and reasonable, and are consistent
with and not higher than the recommended practices and fees published by the professional
associations applicable to the Provider's profession, and such fees do not exceed the maximum
provided by law; NOW, THEREFORE,
SECTION 1, That the City Manager is hereby authorized to enter into a professional service
contract with Teague Nall and Perkins, Inc., to provide professional engineering services for the
Magnolia Phase II Drainage project, a copy of which is attached hereto and incorporated by reference
herein.
SECTION 2. The City Manager is authorized to expend funds as required by the attached
contract,
SECTION 3. The City Council of the City of Denton, Texas hereby expressly delegates the
authority to take any actions that may be required or permitted to be performed by the City of Denton
under File 6405 to the City Manager of the City of Denton, Texas, or his designee,
SECTION 4. The findings in the preamble of this ordinance are incorporated herein by
reference.
SECTION 5. This ordinance shall become effective immediately upon its passage and
approval.

BID/FILE INFORMATION
The Magnolia Drainage project was conceived in order to improve storm water drainage
conditions and prevent flooding in Hinkle Drive and in the adjacent neighborhoods between
West Windsor Drive to the north and University Drive to the south.
Phase I of the project consisted of design and construction of a storm water detention basin north
of West Windsor Drive between Windsor and North Elm Street. Phase II of the project consists
of design of storm drain improvements to address flooding in portions of the Headlee Addition.
Teague Nall and Perkins, Inc. was selected to perform design of Phase II of the project.
This Amendment #1 to the Professional Services Agreement increases the scope of the project to
include surveying and engineering necessary to provide construction plans for reconstruction of
Hinkle Drive from University Drive to Windsor Drive and reconstruction of Windsor Drive from
200 feet west of Hinkle Drive to US 377. This Amendment #1 also includes design of the
replacement of approximately 870 feet of sanitary sewer line in Windsor Drive not originally
anticipated to be necessary as part of the original scope of the project.
PRIOR ACTION/VIEW (COUNCIL, BOARDS, COMMISSIONS)
The contract was approved by the City Council on March 21, 2017 in the amount of $118,000
with Amendment #1 for $90,000 making the total amount not-to-exceed $208,000.
RECOMMENDATION
Staff recommends approval of Amendment #1 to the Professional Services Agreement between
the City of Denton and Teague Nall and Perkins, Inc. in the amount of $90,000.00 for street
reconstruction plans, design survey, sanitary sewer replacement and subsurface utility
engineering services associated with the Magnolia Drainage Phase II Project.

STAFF ESTIMATE
The proposed engineering fee of $90,000 for professional services associated with this
Amendment #1 includes $50,000 for street reconstruction plans, $7,800 for design survey,
$12,400 for Level B subsurface utility engineering and $14,800 for Level A subsurface utility
engineering. It is believed this agreement should be sufficient for guaranteeing completion of the
work described in this Amendment #1.
ESTIMATED SCHEDULE OF PROJECT
The original design contract is currently underway and is on schedule. Amendment #1 is
expected to extend completion of the original schedule by approximately four weeks. Services
will commence immediately upon execution of this Amendment #1.

THIS FIRST AMENDMENT TO CONTRACT 6405 (by and
between the City of Denton, and Teague Nall and Perkins, Inc.
Contractor);
The original Agreement provided for Teague Nall and Perkins, Inc., services related to
design of the Magnolia Drainage Phase II Project as is contained in Contract #6405 (on file
in the Purchasing Office). The initial agreement for the Basic Services was approved on
March 21, 2017, in the not-to-exceed amount of $118,000.
The CITY deems it necessary to further expand the goods/services provided by
CONTRACTOR to the CITY;
NOW THEREFORE,
Section 2 Compensationis modified to include Exhibit A. This modification
includes Design of the Magnolia Drainage Phase II Project in the amount of
$118,000 with a revised not-to-exceed total of $208,000.

This amendmentis to add surveying and engineering necessary to provide construction
plans for partial reconstruction of Hinkle Drive from University Drive to Windsor Drive
(approximately 4,550 linear feet), and reconstruction of Windsor Drive from200' west of
HinkleDrive to US 77(approximately 2,550 linear feet), as well as for replacement of
870-feet of sanitary sewer line in Windsor Drive. The construction plansfor the street
and sanitary sewer reconstruction will be packaged with the construction plans for the
storm drain project that comprises the original scope of work of this contract.The
intendedpartial streetreconstructionwill consist of removal and replacement of
selected curbs, ramps, walks and other features, while leaving the bulk of the curb in
place. After replacement of curb, etc., the existing asphalt will be removed and
replaced per current City of Denton pavement criteria at existing grades.The western
limit of the Windsor Drive reconstruction is the eastern end of the existing concrete
pavement.

3.Accessible ramp layouts with spot elevations, at street and driveway

7.Specifications will be incorporated into the Bid documentsthat are already part of
the original contract, including the City of Denton front end documents, with a
proposal section and technical specifications.
Design Survey
1.Limits of additional design survey:
Approximately 775 linear feet of Hinkle Drive from approximately 190 south of
Bryn Mawr Place to the north curb line of University Drive and extending to the
approximate ROW on each side of Hinkle.

Approximately 200 linear feet of Windsor Drive from the West line of Hinkle Drive
and extending to the approximate ROW on each side of Windsor.
Approximately 1000 linear feet of Windsor Drive from approximately 325 east of
Mesquite Street to the West curb line of N. Elm Street (US 77) and extending to
the approximate ROW on each side of Windsor.
2.TNP survey field crews will perform an As-Built design survey with spot
elevations locating all above ground visibleimprovements within the limits listed
above, including buildings, fences, curbs, sidewalks, paved areas, visible utilities,
trees 6 DBH and larger, landscaped areas and other pertinent features within
the project area.
3.All survey data collected will be processed drafted and created within Autodesk
Civil 3d. An electronic cadd file will be prepared according to the City of Dentons
standards showing all improvements located. All vertical data will be based on
the City of Dentons benchmark datum.
4.No boundary or right-of-way data will be acquired, lot corners will not be tied, and
no property research will be conducted.
5.Thisdesign survey will be combined with the survey already completed for use
on the drainage project currently underway. It is the intentthat the survey under
this amendment will extend the previous survey to the street reconstruction limits
listed above.
Sanitary Sewer Replacement
1.General notes.
2.Overall Sewer Layout and Control Sheets. The sewer layout sheet shall identify
the proposed sewer main improvement/ existing sewer mains in the vicinity and
all sewer appurtenances.
3.Coordinateson all P.C.s, P.T.s, P.I.s, manholes, valves, mainline fittings, etc.,
in the same coordinate system as the Control Points.
4.Sewer Plan and profile sheetsat 1=40 which show the following: proposed
sewer plan/profile and proposed pipe size, manhole locations, existing service
lines, existing utilities and utility easements, and all pertinent information needed
to construct the project. Street addressesshall be provided on the plan view. It
is anticipated that all of the existing sewer lines will be reconstructed in place to
the ROW line. Right-of-way lines will be approximate and nominal, based on GIS
data and/or readily available plat data. The field survey effort will not include
locating lot corners or ownership research.
5.The ENGINEER shall make provisions for reconnecting all identifiable sewer
service lines which connect directly to any main being replaced, including
replacement of existing service lines within City right-of-way or utility easement.
When the existing alignment of a water and sanitary sewer main or lateral is
changed, provisions will be made in the final plans and/or specifications by the

ENGINEER to relocate all service lines which are connected to the existing main
and connect said service lines to the relocated main.
6.The ENGINEER will prepare special details for water and sewer line installation
and/or replacement that are not already included CITYs standard details.
Subsurface Utility Engineering (SUE)
The following represents the general understanding between the City and Consultant
regarding the basis and/or limitations under which these subsurface utility designating
and/or locating services are provided:
1.These services will be conducted and provided in general compliance with
CI/ASCE 38-02 (Standard Guidelines for the Collection and Depiction of Existing
Subsurface Utility Data). This standard establishes and defines four quality
levels for data collection that are briefly described as:
Quality Level D (QL-D) Generally QL-D indicates information collected or
derived from research of existing records and/or oral discussions.
Quality Level C ( QL-C) -Generally QL-C indicates information obtained
by surveying andplotting visible above-ground utility features and by using
professional judgment in correlating this information to QL-D information.
Incorporates QL-D information.
Quality Level B (QL-B) Generally QL-B, also known as designating
indicates information obtained through the application of appropriate surface
geophysical methods to determine the existence and approximate horizontal
position of subsurface utilities. Quality level B data should be reproducible by
surface geophysics at any point of their depiction. This information is
surveyed to applicable tolerances defined by the project and reduced onto
plan documents. Incorporates QL-D & QL-C information.
Quality Level A (QL-A) - Generally QL-A, also known as locating,
indicates the precise horizontal and vertical location of utilities obtained by the
actual exposure (or verification of previously exposed and surveyed utilities)
using test holes and subsequent measurement of subsurface utilities, at a
specific point. IncorporatesQL-D QL-C & QL-B information.
2.These services are for the purpose of aiding the design of the subject project by
providing information related to subsurface utilities in order to allow potential
utility conflicts to be minimized or eliminated.
3.The Consultant will provide services that meet the standard of care for existing
subsurface utility location and mapping as established in CI/ASCE 38-02 by
exercising due diligence with regard to records research and acquisition of utility
information, including visually inspecting the work area for evidence of utilities
and reviewing the available utility record information from the various utility
owners. However, the Consultant makes no guarantee that all utilities can or will

be identified and shown as there still may be utilities within the project area that
are undetectable or unknown.
4.Facilities that are discovered through field investigative efforts by the Consultant
but for which no plan records or ownership data can be identified will be hereafter
referred to as unknown utilities. As part of these services, the Consultant will
provide QL-C information in the project deliverables for all unknown utilities that
may be identified in the field investigation of the project. Designating and/or
locating unknown utilities will typically not be part of the initial scope of work but
depending on the clients needs can be added as additional work to address
concerns of the project impacts of unknown facilities.
5.Ground penetrating radar will not be used as apart of the field investigation of
the project site unless that use has been specifically addressed with the scope of
services described herein.
6.Test holes are very limited in size or diameter (typically 12 inches by 12 inches,
or approximately 144 squareinches). Given this limited size, some subsurface
conditions may prevent the completion of test holes, including rock(s),
groundwater, large roots, other utilities & structures, etc. Test Hole attempts
which cannot be completed due to site conditions will be documented and noted
on the plans.
7.When test holes are used to locate utilities, the nominal pipe sizes of the targeted
utility will be documented and reported by using field measurements of the
outside diameter (OD) of the pipe (to the nearest inch). Based upon this field
measured OD, the nominal pipe size will be determined using typical pipe wall
thickness data and other available data including record information. Pipe
diameters that are too large for measurement, encased or non-encased conduit
duct banks and other concrete encased systems which cannot be adequately
measured will be reported based upon the best available information.
8.The documented results produced by these services represent a professional
opinion and interpretation based upon record information and/or field evidence.
These results may be affected by a variety of existing site conditions, including
soil content, depth of the utility, density of utility clusters, and electro-magnetic
characteristics of the targeted utilities. Also, the lack of and/or poor condition of a
trace wire for non-conductive materials such as PVC, HDPE, etc. in most cases
will make the successful detection and location of the utility unlikely.
9.The Consultant will apply professional judgment to determine which utilities
require additional field effort and/or methods to properly designate and/or locate,
most commonly when record drawings are not available. In such cases, the
Consultant will provide a recommendation or request for additional services to
the Client. Among other methods, a detectable duct rodder or other conductor
may be introduced into the line to enable the designation of the utility. This
method is dependent upon approval by the utility owner, as well as access to,
size and condition ofthe utility.

10.None of these services are intended to and should not be understood to relieve
the City or others from the responsibility to comply with the statutory
requirements related to notifying the proper one-call system(s) in advance of any
and all excavation, grading and/or construction within the project site.
Additional services shall be considered additional work beyond the scope of services
provided herein. Fees for additional services will be negotiated based on the additional
work. Additional Services may include, but are not necessarily limited to the following:
a.Work beyond the scope of services provided herein.
b.Subcontract charges, photocopies, plan reproduction, computer charges, etc. not
associated with the work described in the Scope of Services.
c. Number of test holes greater than eight (8).
d.Test hole depth greater than twelve (12) feet.
Level B Subsurface Utility Engineering
The specific scope of subsurface utility designating and/or locating services for this
project is described below. Survey services to tie utility crossing marks and/or
identifiers placed during the subsurface utility designating and/or locating effort will be
provided in this contract.
1.Quality Level B through D Utility Information & Designation TNP will provide
utility information, up to QL-A, for the project site, as follows(see attached Vicinity
Map):
Along the south side of Windsor, east from Hinkle 740’
Along the north side of Windsor, east from drainage channel 580’
Along Hinkle Drive from Headlee south 1,150’ past culvert
This work includes:
a.Requesting utility records on all crossing utilities from the City, public utilities and
private utility companies known to provide service within the project area, as well
as other sources, in an effort to develop a comprehensive inventory of utility
systems likely to be encountered. Record documents may include construction
plans, system diagrams, distribution maps, transmission maps, geographic
information system data, as well as oral descriptions of the existing systems.
Record information will not be used as a substitute for field location methods
unless it is determined to be the most appropriate method for depicting the
utilities at the site. The depiction of utilities from records (QL-C or D) will be
based on thorough field and office activities and shall be based on the most
reliable indication of position available.
b.Investigating all utility systems shown on the record drawings that are included
within the project site. Visible surface features and appurtenances of subsurface
utilities found within the project site will also be evaluated. Using appropriate

surface geophysical methods, TNP will search for detectible indications of the
location of anticipated subsurface utilities.
c. Marking all locations that can be validated, using paint, flags or other devices.
d.Preparing documentation of the utilities encountered and marked, including their
general location, orientation, type & size, if known.
Deliverables - based on ASCE Standard 38-02 - AutoCad DWG 2d file depicting all
Sub-surface Utilities Designatedfor use in design files.
Level A Subsurface Utility Engineering
1.Quality Level A Utility Test Holes TNP will excavate by air-vacuum or other
minimally invasive methods up to 8 Test Holes, at locations yet to be
determinedwithin the project limits in order to identify the exact horizontal &
vertical locations of crucial utilities. Also, if locating the end of casing is
requested the cost will be based on an hourly charge based on the fee schedule
below. This work includes:
a.Providing all necessary personnel, equipment, supplies, management and
supervision needed for the test hole excavation, backfill and restoration.
b.Coordinating with City, property owner, and/or permitting authorities, as
needed and obtaining any required permits, permission or rights-of-entry with
help from The City
c. Contacting the appropriate one-call system to request utilities to be marked
on-the-ground prior to beginning excavation of test holes.
d.Providing and utilizing appropriate traffic control devices, as necessary, in
conformance with the MUTCD, including any state or locally adopted
supplements (if closures or additional traffic control equipment are needed
other than signs and cones additional direct expenses will be charged).
e.Preparing documentation for each test hole attempted. This documentation
will include the horizontal and vertical position of the targeted utility or
structure, a general description of the target utility, with condition, material
and general orientation noted, a generalized description of the material
encountered in the test hole, and any other field observations noted during
the excavation.
Deliverables - based on ASCE Standard 38-02- signed and sealed by a Professional
Engineer registered in the State of Texas.
a.Level A AutoCad DWG 2d file showing X, Y and Z w/ depth, a PDF of the same
signed and sealed, Utility Summary Sheet, Individual Sheets on Test Holes and
ASCII point list.

Assumptions and Clarifications
The following assumptions were used by the ENGINEER for the preparation of this
scope of Basic Services:
The primary scope of the project is to reconstruct the roadway itself. While some
limited (as described above) accessible rampsand sidewalkswill be
reconstructed, the intent is not to create an accessible route along either side of
the roadway.Ramps will not be added unless there are sidewalks to the ramps.
Mid-block pedestrian crossings without traffic stop control will be removed.
The scope of the work will not include design of any storm drain or utilitiesother
than as specifically identified above.Storm drain design is part of the original
contract.
No street profiles will be prepared. All street reconstruction sheets will be plan
view only.
Existing signs willnot be replaced unless necessary.
The ENGINEER will not prepare Traffic Control Plans. Criteria will be provided to
the contractor identifying requirements of the Traffic Control Plan. The contractor
will prepare and submit a Traffic Control Plan for review and approval by the City
and the ENGINEER.
The Engineer will walk the project with the City to participate in the identification
of curbs, walks, rampsand other featuresto be replaced.
The project will be constructed in multiple phases, intended to keep a reduced
level of traffic open throughout the project during construction.
The City will provide TV logs of the existing sewer line for the purpose of locating
existing services.
No construction services are a part of the scope of this agreement. Construction
support can be provided as Additional Services.
No signal design or modification of existing signal timing is a part of the scope of
this agreement.
Subsurface Utility Engineering effort will be billed on a time and materials basis.
Additional traffic control for SUE effort (such as closing lanes, etc.) will be in
addition to the estimated charge shown.

THIS FOURTH AMENDMENT TO CONTRACT 6405 (by and
between the City of Denton, and Teague Nall and Perkins, Inc.
Consultant);
The original Agreement provided for Teague Nall and Perkins, Inc., services related to
design of the Magnolia Drainage Phase II Project as is contained in Contract #6405 (on file
in the Purchasing Office). The initial agreement for the Basic Services was approved on
March 21, 2017, in the not-to-exceed amount of $118,000.
Amendment one was drafted for $90,000 to increase the not-to-exceed amount total to a
revised price of $208,000.
Amendment two was drafted for $21,300 to increase the not-to-exceed amount total to a
revised price of $229,300.
Amendment three was drafted for $46,500 to increase the not-to-exceed amount total to a
revised price of $275,800.
FURTHERMORE, the CITY deems it necessary to further expand the goods/services
provided by CONSULTANT to the CITY;
NOW THEREFORE,

includes Design of Magnolia Drainage Phase II project in the amount of $15,000
with a revised not-to-exceed total of $290,800. Pricing shall be per Exhibit A
attached.
All other provisions of the contract 6405, as heretofore amended, remain in full force and
effect.

between the City of Denton, and Teague Nall and Perkins, Inc.
Consultant); to that certain Contract executed on March 21, 2017, in the original not-to-
exceed amount of $118,000 September 12, 2017
in the additional amount of $90,000 aggregating a not-to-exceed amount of $208,000 (the
June 6, 2018 in the additional amount of $21,300
aggregating a not-to-
June 19, 2018 in the additional amount of $46,500 aggregating a not-to-exceed amount of
$275,800 October 18, 2018 in the additional
amount of $15,000 aggregating a not-to-exceed amount of $290,800
(collectively, the Original Agreement, the First Amendment, the Second
Teague Nall and Perkins, Inc. services related to the design of the Magnolia Drainage Phase
II Project
WHEREAS, Teague Nall and Perkins, Inc. has substantially completed the work called for
in the Agreement, and the City deems it necessary to further expand the services provided
by Teague Nall and Perkins, Inc. to the City, and to provide an additional not-to-exceed
amount $6,650 with this Fifth Amendment for an aggregate not-to-exceed of $297,450.
FURTHERMORE, the CITY deems it necessary to further expand the goods/services
provided by CONSULTANT to the CITY;
NOW THEREFORE, the CITY and Teague Nall and Perkins, Inc. (hereafter collectively
well as for other good and valuable considerations, do hereby AGREE to the following
Fifth Amendment, which amends the following terms and conditions of the said
Agreement, to wit:

The Parties hereto agree, that except as specifically provided for by this Amendment, that
