PR-2014-00492, CURRENTLY PENDING 1N THE PROBATE COURT OF DENTON COUNTY, TEXAS, REGARDING THE ACQUISITION OF FEE AND EASEMENT 1NTERESTS REQUIRED FOR THE WIDENING OF MAYHILL ROAD IN THE SETTLEMENT AMOUNT OF TWO MILLION FIVE HUNDRED THOUSAND DOLLARS AND NO CENTS ($2,500,000.00); AUTHORIZING THE CITY MANAGER AND CITY ATTORNEY TO EFFECTUATE THE SETTLEMENT; AUTHORIZING THE EXPENDITURE OF FUNDS THEREFOR; PROVIDING A SAVINGS CLAUSE; AND PROVIDING AN EFFECTIVE DATE. THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS: SECTION 1. The City Council approves the proposed settlement in litigation styled City of Denton, Texas v. RTS&M, LLC, et al, Cause No. PR-2014-00492, currently pending in the Probate Court of Denton County, Texas in the settlement amount of Two Million Five Hundred Thousand and no/100 Dollars ($2,500,000.00). SECTION 2. The City Manager and City Attorney, or their designees, are authorized to act on the City's behalf in approving and executing the Agreed Final Judgment in Condemnation attached as Exhibit "A" and incorporated herein. SECTIONw3. In accordance with the Agreed Final Judgment in Condemnation, the City Manager, or Whis designee, is authorized to execute any and all other documents necessary and appropriate to effectuate the terms of the settlement, expend budgeted funds, and to take other actions necessary to finalize the settlement. SECTION 4. In accordance with the Agreed Final Judgment in Condemnation, the City Attorney, or his designee, is authorized to execute any and all other documents necessary and appropriate to effectuate the terms of the settlement and to take other actions necessary to finalize the settlement. SECTION 5. The provisions of this ordinance shall govern and control over any conflicting provisions of previously applicable ordinances. To the extent the previously applicable ordinances do not conflict or do not apply to the settlement, those Ordinances shall continue in full force and effect. SECTION 6. Fee simple title in the name of the City of Denton, Texas, in and to that certain tract af land containing 4.508 acres of land, together with all and singular the improvements and fixtures thereon and all other rights and appurtenances thereto, of which 1.660 acres lie within existing Mayhill Road and Spencer Road (the "Mnnicipal Use Tract" or "Landiill Property"), as more particularly described in EX I IT "C" and depicted in EX I IT ��D" attached hereto and incarporated herein by reference, for use as expansion of a permitted municipal solid waste disposal facility located in Denton, Texas, EXCEPT THAT there is excluded from said estate to be candemned and the Property Owner shall retain all right, title, and interest in and to all subsurface water and all of the oil, gas, and other minerals in and under and that may be produced from beneath the unicipal Use Tract or Landfill Property; provided, however, that no aperations for the recovery of subsurface water or extraction of any such oil, gas, and other minerals shall be conducted an the surface of the unicipal Use Tract or Landfill Property for any reason related to the exploration, excavation, and/or drilling to recaver subsurface water or to extract such ail, gas and other minerals. c. A Slope Easement in the name af the City of Denton, Texas, in, along, upon, under, over, and across that certain tract of land containing 0.804 acres of land (the "Slope Easement"), as more particularly described in EX I IT "E" and depicted in EX I IT "F" attached hereta and incorporated herein by reference, for the purpose of constructing, reconstructing, installing, repairing, relacating, operating, and maintaining lateral slape in, along, upan, under, over, and across said tract, including the free and uninterrupted use, liberty, passage, ingress, egress, and regress, at all times in, along, upon, under, over, and across said tract for the City of Denton, its agents, employees, contractors, workmen, and representatives, for the purposes set forth herein, including making additians io, improvements on, and repairs to said lateral slope features or grade, or any part thereof, in conjunction with the widening, expansion, and improvement of Mayhill Road located in Denton, Texas. No buildings, fences, structures, signs, facilities, improvements, or obstructions of any kind, or portions thereof, shall be constructed, erected, reconstructed, or placed in, along, upon, under, over, or across the Slape Ease ent, except driveways, driveway approaches, streets, curb cuts, utilities, and other RTS & M, LLC: AGREED FINAL JUDGMENT IN CONDEMNATION PAGE 2 Of 8 improvements that crass the Slope Easement and are appraved and installed pursuant to the City af Denton Development Cade. Further, the City of Denton may remove any unautharized buildings, fences, structures, signs, facilities, impravements, and other obstructians as may now ar hereafter be faund upon said Slope Easement and dispose af any such buildings, fences, structures, signs, faciliiies, improvements, or obstructions in any manner it deems apprapriate without liability ta the Praperty Owner. 2. ��'i�ai ��r�e��;r°���fl��.�;. �� �" I.��t��� � I�;N,���. No activity, of any kind, shall be conducted on the Slope Easement by Property Owner that may impair, damage, or destroy the lateral slope, including excavation or movement of soil to increase the slope to the adjacent road. This provision does not preclude activities associated with the installation and construction of driveways, driveway approaches, streets, curb cuts, utilities, and ather improvements that cross the Slope Easement and are approved and installed pursuant to the City af Dentan Develapment Code. 3. Access. Far the purpose af exercising and enjaying the rights acquired herein, the City of Denton shall have access to the Slope Easement by way af existing public praperty or right-of-way. 4• "�� i���_�i��� [�.��r������,�����i���• No shrub ar tree shall be planted upon the Slope Easement or that may encroach upon the Slape Easement. The City af Dentan may cut, trim, or remave any shrubs ar trees, ar partions of shrubs or trees now or hereafter lacated within or that may encroach ar averhang upon the Slope Easement without liability ta the Property Owner, including without limitatian, the obligatian ta make further payment ta the Property Owner. 5. °�� N�� Z��r��� •������� ���v�!na,�,� �[�:��,����. The Property Owner shall have the right, subject to the restrictions contained herein, to make use of the Slape Easement for any purpose that does not interfere with the City of Denton's rights acquired herein for the purposes stated. 6. Successors and Assi�ns. The acquisition af this Slope Easement and the provisions contained herein shall constitute burdens running with the land and shall be binding upon the Praperty Owner, its successors and assigns, and the City af Denton. d. The ayhill Road Property, unicipal Use Tract or Landfill Praperty and Slope Easement described above (the "Property and Praperty Interests") are sametimes hereinafter collectively referred to as the 66Condemned Praperty." Further, the City af Denton does not seek the right af ingress and egress aver the Property Owner's adjacent lands to access the Candemned Property. Notwithstanding any language in this petition that may be canstrued to the cantrary, the City of Dentan daes not seek or condemn ta take the Property Owner's easement appurtenant or right of ingress and egress to and from the Property Owner's remaining land adjoining Mayhill Road. Ingress and egress to and from the Property Owner's remaining land adjaining Mayhill Road will not be denied, but will be subject ta the ordinances and Development Code af the City of Denton. e. RTS&M understands that the City af Dentan's Driveway Standards, pursuant to Sec. 35.20.4 .D af the Denton Development Code, requires its property to access the lesser classified street, in this case Spencer Road. In the event that the traffic caunt estimate RTS & M, LLC: AGREED FINAL JUDGMENT IN CdNDEMNATION Pa�E 3 of 8 according to an official Traffic Impact Analysis provided by RTS&M reflects that the specific praject being developed an the RTS&M property will exceed the maximum allawable driveway access points, then RTS&M shall be allowed (an) access paint(s) for overflaw caunts on Mayhill Road that are necessary pursuant to the Denton Development Cade and Transpartation Criteria Manual, with final determination being made on the Final Plat by the Planning and Zoning Commissian, and such Final Plat being qualified to be filed in the Denton Caunty Deed Records. 3. That City of Denton is a hame-rule municipality incorporated as a municipal corparation and aperating under a municipal charter as autharized by Article XI, Section 5 of the Constitution of the State of Texas and, under its home-rule Charter and applicable law, has the pawer to apprapriate and acquire public or private property whether located inside or autside said City of Denton far public ar municipal purposes that may be deemed necessary by the gaverning body of said City af Denton for the use and benefit of the public and the inhabitants of said City of Denton. 4. That as a matter af law, the City of Denton is vested with the pawer of eminent domain and has satisfied all farmal prerequisites necessary to praceed in the trial court. 5. That there exists a public necessity ta condemn and acquire the Property far the public use of widening, expansian, and improvement of Mayhill Road, a municipal street and roadway, including the construction, installatian, and maintenance of related lateral slope impravements within an easement and adjacent to the street right af way, to serve the public and citizens af the City of Dentan. 6. That there further exists a public necessity to candemn and acquire the Praperty being acquired by this condemnatian as set forth in Section 2b, above, is far the public use of expansion of a permitted municipal solid waste facility to serve the public and citizens of the City 7.
