AN ORDINANCE OF THE CITY OF DENTON, TEXAS, A TEXAS HOME-RULE
MUNICIPAL CORPORATION, APPROVING THE SALE OF AN APPROXIMATE 1.9126
ACRE OF LAND, ABSTR.ACT NO. 775, CITY OF DENTON, DENTON COUNT, TEXAS,
TO THE SUCCESSFUL BIDDER, ZIMMERER REAL PROPERTIES, LLP, A TEXAS
LIMITED PARTNERSHIP, FOR THE TOTAL CONSIDERATION OF $154,379.79;
AUTHORIZING THE CITY MANAGER IN ACCORDANCE WITH TEXAS LOCAL
GOVERNMENT CODE 253.001 TO EXECUTE A CONTRACT WITH ZIMMERER REAL
PROPERTIES, LLP, TOGETHER WITH ANY OTHER DOCUMENTS NECESSARY TO
SELL AND CONVEY SAID REAL PROPERTY; AND PROVIDING AN EFFECTIVE DATE.
(IFB 6735- SALE OF REAL PROPERTY LOCATED AT 2910 EAST UNIVERSITY DRIVE
IN THE AMOLTNT OF $154,379.79.)
WHEREAS, the City finds that it is in the best interest of the City to accept the proposal
from Zimmerer Real Properties, LLP to purchase the property; NOW, THEREFORE,
THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS:
SECTION 1. The City Manager, or his designee, is authorized to approve Bid No. 6735,
and execute a Real Estate Contract, and any other documents necessary for the disposition of an
approximate 1.9126 acre tract of land, located in Abstract no. 775, City of Denton, Denton
County, Texas.
SECTION 2. This Ordinance shall become effective immediately upon its passage and
a roval.

BEING a 0.649-acre tract of land situated in the R.B. Longbottom Survey, Abstract No. 775, in
the City of Denton, Denton County, Texas, being part of a called 1.9126-acre tract of land as
described in Deed to the City of Denton, Texas, and recorded in Document No. 2012-130856 of
the Official Records of Denton County, Texas (O.R.D.C.T.), and being more particutarly
described as follows:
BEGINNING at a 2-inch iron pipe found at the northeast corner of said 1.9126-acre tract,
common with the northwest corner of the remainder of a called 1.0�-acre tract of land, as
described in Deed to Marco Enterprises, Inc., and ZB Eagle Partnership, as recorded in
Document No. 93-50539 of the Real Property Records of Denton County, Texas (R.P.R.D.C.T.),
and located in the existing southerly right of way line of U.S. Highway 380 (E. University Drive, a
variable width R.O.W.);
THENCE South 00°07'04" West, departing the existing southerly right of way line of said U.S.
Highway 380, and along the east line of said 1.9126-acre tract, passing a found 1/2—inch iron
rod with cap stamped "KAZ" at the southwest corne� of said 1.09-acre remainder tract and the
northwest comer of a called 0.49 acre tract of land, as described in Deed to Zimmerer Real
Properties, LLP, as recorded in Document No. 2011-115033 (O.R.D.C.T.), at a distance of
175.03 feet, and continuing for a total distance of 318.88 feet to a 5/8-inch iron rod found at the
southeast corner of said 1.9126-acre tract, same being the southwest comer of said 0.49 acre
tract, and located in the north line of a called 30.58-acre tract of land as described in Deed to
Dirt Whisperer, LLC, and recorded in Document No. 2017-53130 (O.R.D,C.T.), from which point
a found 1/2—inch iron rod with cap stamped "KAZ" bears North 30°12'12" East, a distance of
1.71 feet;
THENCE North 88°42'18" West, departing the west line of said 0.49 acre tract, and along the
common south line of said 1.9126-acre tract and the north line of said 30.58-acre tract, a
distance of 104.98 feet to a point for corner.
THENCE No�th 04°02'17" East, departing the north line of said 30.58-acre tract, a distance of
261.60 feet to the intersection with the common northerly line of said 1.9126-acre tract and the

above ground electric transmission and electric distribution power and/or communication
lines, each consisting of a variable number of wires and cables, along with all necessary,
convenient or desirable appurtenances, attachments and supporting structures, including
without limitation, foundations, guy wires and guy anchorages, and structural components
(collectively, the "ELECTRIC FACILITIES"), in, on, over, under and across that certain
real property situated in Denton County, Texas, which is more particularly described and
depicted in the attached Exhibit "B-1 ", the "RESERVED ELECTRIC EASEMENT
PROPERTY"; (2) the right of ingress, egress and regress in, on, over, under and across the
RESERVED ELECTRIC EASEMENT PROPERTY for the purposes of and right to
construct, maintain, operate, improve, reconstruct, increase or reduce the size and capacity,
repair, relocate, inspect, patrol, maintain, remove or replace such ELECTRIC FACILITIES
within the RESERVED ELECTRIC EASEMENT PROPERTY as Grantor may, from time to
time, find necessary, convenient or desirable, along with all rights necessary or convenient
for full use and enjoyment of the above reservation, including access over, across and upon
the RESERVED ELECTRIC EASEMENT PROPERTY; (3) the right to trim or remove
trees or shrubbery within said RESERVED ELECTRIC EASEMENT PROPERTY, to
the extent, in the sole judgment of Grantor, necessary or desirable to prevent possible
interference with the efficiency, safety and/or convenient operation of the ELECTRIC
FACILITIES or to remove possible efficiency, safety or operational hazards thereto; (4) the

right to preclude the construction or establishment of any buildings, fences, structures,
signs, obstructions or other facilities or improvements of any kind ("LTNPERMITTED
STRUCTURES") within the RESERVED ELECTRIC EASEMENT PROPERTY; and, (5)
the right to remove from the RESERVED ELECTRIC EASEMENT PROPERTY any
LJNPERMITTED STRUCTURES found, without liability to Grantee. As part of this
reservation, Grantee (1) shall not make changes in grade, elevation or contour of
the RESERVED ELECTRIC EASEMENT PROPERTY or impound water within, over
and/or across the RESERVED ELECTRIC EASEMENT PROPERTY without prior written
consent of Grantor; and, (2) subject to the electric easement reservation terms herein,
and by virtue of the conveyance herein, has the right to occupy and use the RESERVED
ELECTRIC EASEMENT PROPERTY for all other purposes that will not interfere with the
Grantor's full enjoyment of the RESERVED ELECTRIC EASEMENT and/or the
exercise of Grantor's reserved electric easement rights hereunder, including, but not
limited to, vehicular access and permitted parking, across said RESERVED ELECTRIC
EASEMENT PROPERTY and the establishment of any related paving improvements
thereupon. Notwithstanding the foregoing, Grantor also retains ownership to all of its
ELECTRIC FACILITIES.

reserves (1) a perpetual, exclusive and unobstructed easement and rights of way
(collectively, the "RESERVED UTILITY EASEMENT") for the purposes constructing,
reconstructing, installing, repairing, relocating, operating, and perpetually maintaining water
lines, sanitary sewer lines, electric lines, and their respective related facilities and
appurtenances (collectively, the "UTILITY FACILITIES"), in, along, upon, under, over, and
across the RESERVED UTILITY EASEMENT tract which is more particularly described and
depicted in Exhibit "B-2", the "RESERVED UTILITY EASEMENT PROPERTY"; (2)
without limitation, the free and uninterrupted use, liberty, passage ingress, egress and regress, at
all times in, along, upon, under, over and across the RESERVED UTILITY EASEMENT
PROPERTY for Grantor herein, its agents, employees, contractors, workmen, and
representatives, for the purposes set forth herein, including without limitation, the making
additions to, improvements on and repairs to said facilities or any part thereof.
Notwithstanding the foregoing, Grantor also retains ownership to all of its UTILITY
FACILITIES. Furthermore, this RESERVED UTILITY EASEMENT is subject to the
following covenants and restrictions:
1. Structures. No buildings, structures, signs, facilities, improvements, or
obstructions of any kind, or portions thereof, shall be constructed, erected, reconstructed, or
placed in, along, upon, under, over, or across the RESERVED UTILITY EASEMENT
PROPERTY by Grantee. Further, Grantee stipulates and acknowledges that the City, in
consideration of the restrictions above set out may remove from the RESERVED UTILITY
EASEMENT PROPERTY, such buildings, structures, signs, facilities, improvements, and other
obstructions as may now or hereafter be found upon said RESERVED UTILITY EASEMENT
PROPERTY and dispose of any such buildings, structures, signs, facilities, improvements, or
obstructions in any manner it deems appropriate without liability to City.

2. Access. For the purpose of exercising and enjoying the rights granted herein, the
City shall have access to the RESERVED UTILITY EASEMENT PROPERTY by way of
existing public property or right-of-way.
3. Trees and Landscaping. No shrub or tree shall be planted upon the RESERVED
UTILITY EASEMENT PROPERTY or that may encroach upon the RESERVED UTILITY
EASEMENT PROPERTY. City may cut, trim, or remove any shrubs or trees, or portions of
shrubs or trees now or hereafter located within or that may encroach or overhang upon the
RESERVED UTILITY EASEMENT PROPERTY without liability to Grantee.
4. Grantee's Rights. Grantee shall have the right, subject to the covenants and
restrictions contained herein, to make use of the RESERVED UTILITY EASEMENT
PROPERTY for any purpose that does not interfere with the City's rights retained herein for the
purposes reserved. Notwithstanding anything to the contrary herein, (a) the RESERVED
UTILITY EASEMENT PROPERTY may be improved with paving and parking areas.
5. Successors and Assigns. This easement reservation and the covenants and
restrictions contained herein shall constitute covenants running with the land and shall be
binding upon the City and Grantee, and their heirs, successors, and assigns.
Grantor conveys, WITHOUT WARRANTY, all improvements, rights, appurtenances, and
hereditaments located thereon or pertaining thereto, including all rights, title, and interest, of
Grantor in and to the Property SAVE AND EXCEPT the above-mentioned RESERVATIONS.
Grantor herein grants and Grantee specifically accepts the Property "AS-IS, WHERE IS, AND
WITH ALL FAULTS." Grantor provides no representations or warranties as to the condition or
title of the Property, and all such representations and/or warranties are specifically disclaimed.
TO HAVE AND TO HOLD the Property, without warranty by Grantor, together with all and
singular the rights and appurtenances thereto in anywise belonging unto the said Grantee and
Grantee's successors and assigns forever, SAVE AND EXCEPT the above-mentioned
RESERVATIONS.
