WHEREAS, Rayzar Investments, Ltd. ("RIL") has made a request for the City to
abandon and release various easements tracts encumbering lands in the Westpark development
area (the 6cAbandonment Tracts"), to-wit:

VVHEREAS, the above referenced easements were granted by Rayzor Investments, Ltd.
and Westpark Group, L.P. to the City as a planning measure, at no cost to the City, to provide
Paccar Inc. (Peterbilt) a route for the relocation of existing City of Denton overhead electric
transmission facilities crossing a 107.5404 acre tract purchased by Peterbilt from Westpark
Group LLC & Rayzor Investments, Ltd., February 4, 2014, should Peterbilt elect, at their sole
cost and expense, to initiate a future overhead electric transmission line relocation event� and
WHEREAS, Peterbilt has yet to initiate an undertaking to relocate existing City overhead
electric transmission lines encumbering its 107.5404 acre tractg and
WHEREAS, there are no City utility facilities located within the above referenced
Abandonment Tracts; and
WHEREAS, current development activity in the Westpark area regarding United States
Cold Storage, LP ("USCS"} and the Retreat at Denton apartments has given rise to contemplate a
future overhead electric transmissian line alignment more conducive for all partiess and
WHEREAS, RIL and USCS desire ta grant alternative easements (the 66Alternative
Easements") to the City that would provide a location for a reroute of electrical infrastructure,
should Peterbilt desire to initiate a future overhead electric transmission line relocation event;
and
WHEREAS, the CITY is amenable, upon the terms, provisions, and conditions set forth
herein, to completely abandan and release the above-referenced Abandonment Tracts, in
exchange for the granting of the Alternative Easementss
WHEREAS, the City Council of the City of Denton finds it is in the public interest to
release, abandon, and vacate the Abandonment Tracts; NOW THEREFORE,

SECTION 1. The matters set forth in the preamble of this ordinance are incorporated
into the body of this ordinance as findings by the City Council.
SECTION 2. The City Manager, or his designee, is autharized ta execute on behalf af
the City of Denton the Agreement between the City, RIL, and USCS, in the form attached hereto
and made a part of this ordinance as Exhibit "A," and any documents related ta the actions
contemplated by the Agreement, including without limitation, the "Release" of the Abandonment
Tracts.
SECTION 3. Upon delivery to and acceptance by the City of the Alternative Easements,
as per the terms of the Agreement, the public's interests in the Abandonment Tracts are thereby
extinguished, effectively being abandoned and vacated.
�L�<�'"l'IC�� �. If any section, article, paragraph, sentence, phrase, clause, or word in this
ordinance, ar application thereof to any persons or circumstances, is held invalid or
uncanstitutional by a court of competent jurisdiction, such holding shall not affect the validity of
the remaining portions af this ordinance; the City Cauncil declares that it would have ordained
such remaining partion despite such invalidity, and such remaining partion shall remain in full
force and effect.
SECTION 5. Notwithstanding anything to the contrary cantained in this ordinance, the
City of Denton retains and reserves any and all easements, rights of way, and any other rights or
interests, other than easements which will be released, abandoned, vacated in the ordinance
above, whether acquired, obtained, owned, or claimed by the City of Denton ar public, by,
through or under conveyance, dedication by plat or other express dedication, implied dedication,
prescription, ar by any other manner or means, in or to lands in which the Abandanment Tracts
cited for abandonment and release in the caption above may cover, encumber, include, crass, or
overlap.
SECTION 6, This ordinance shall become effective immediately upon its passage and

EASEMENT GRANT AND ABANDONMENT AGREEMENT
This Easement Grant and Abandonment Agreement (the "AGREEMENT") is dated

�� w°°'�„� F, 2018 between Rayzor Investments, Ltd. ("RIL"), United States Cold
Storage, LP ("USCS"), and the City of Denton, Texas ("CITY").
WITNESSETH:
WHEREAS, RIL has made a request for the City to abandon and release various
easements tracts encumbering lands in the Westpark development area (the "Abandonment
Tracts"), to-wit:
a. That certain easement, dated on or about January 3, 2014, from Rayzor
Investments, Ltd. and Westpark Group, L.P. to the City of Denton, Texas,
recorded as Instrument Number 2014-3990 in the Real Property Records,
Denton County, Texas, and a duplicate instrument thereof erroneously
recorded as Instrument Number 2014-10106 in the Real Property Records,
Denton County, Texas; and
b. That certain temporary construction, grading and access easement, dated
on or about December 24, 2013, from Rayzor Investments, Ltd. and
Westpark Group, L.P. to the City of Denton, Texas, recorded as
Instrument Number 2014-4038 in the Real Property Records, Denton
County, Texas;
WHEREAS, the above referenced easements were granted to the City as a planning
measure, to provide Paccar Incorporated (Peterbilt) a route to relocate existing City of Denton
electric transmission facilities crossing a 107.5404 acre tract purchased from Westpark Group
LLC & Rayzor Investments, Ltd, February 4, 2014; and
WHEREAS, Peterbilt has yet to initiate an undertaking to relocate City electric
transmission lines encumbering its 107.5404 acre tract; and

WHEREAS, there are no City facilities located in the above referenced Abandonment
Tracts; and
WHEREAS, RIL and USCS desire to grant alternative easements (the "Alternative
Easements") to the City that will provide a location for electrical infrastructure should Peterbilt
desire in the future to initiate an electric transmission line relocation event; and
WHEREAS, the CITY is amenable, upon the terms, provisions, and conditions set forth
herein, to completely abandon and release the above-referenced Abandonment Tracts, in
exchange for the granting of the Alternative Easements;
NOW, THEREFORE, in consideration of the execution of this agreement and the
agreements contained therein, which is accepted by RIL, USCS, and the CITY, the parties agree
as follows:
1. RIL shall grant, execute, and deliver to the CITY, on or before five (5) days after the
Effective Date hereof a 3.150 acre Electric Utility Easement in, along, over, upon, under, and
across the tract of land being described and depicted in Exhibit "A" attached to that certain
Electric Utility Easement, being attached hereto as Attachment 1 and made a part hereof.
2. USCS shall grant, execute, and deliver to the CITY, on or before iive (5) days after the
Effective Date hereof a 1.026 acre Electric Utility Easement in, along, over, upon, under, and
across the tract of land being described and depicted in Exhibit "A" attached to that certain
Electric Utility Easement, being attached hereto as Attachment 2 and made a part hereof.
3. Upon delivery and receipt by the CITY of the executed 3.150 acre and 1.026 acre Alternative
Easements, the City shall execute and deliver to RIL a release (the "Release") of the
Abandonment Tracts, suitable for recordation in the Real Property Records of Denton
County, Texas.
4. THE LAWS OF THE STATE OF TEXAS SHALL CONTROL AND APPLY TO THIS
AGREEMENT FOR ALL PURPOSES. THIS AGREEMENT IS PERFORMABLE 1N
DENTON COUNTY, TEXAS. VENUE FOR ANY ACTION ARISING HEREUNDER

SHALL LIE SOLELY IN THE COURTS OF COMPETENT JURISDICTION OF DENTON
COUNTY, TEXAS.
5. The date on which this Agreement is executed by the last to sign of the parties shall be the
"Effective Date" of this Agreement.
6. In the event a party shall default in the performance of any covenant or tertn provided herein,
and such default shall be continuing after ten (10) days written notice delivered to:

7. Each party represents and warrants that it has taken all actions necessary to authorize the
person executing this Agreement to bind it, in all respects, to all terms and provisions of this
Agreement, that such person possesses the authority to execute this Agreement and bind its
party hereto, and that this Agreement is binding and enforceable upon it in accordance with
the terms hereof.
8. This Agreement constitutes the sole and only agreement of the parties and supersedes any
prior understandings or written or oral agreements between the parties with respect to the
subject matter of this Agreement.

and in cansideration of Ten Dollars ($ 10.00), and other good and valuable consideration, to GRANTOR
in hand paid by the CITY OF DENTON, a municipal corporation, which is located in Denton Caunty,
Texas, and whase mailing address is 215 E. McKinney, Denton, Texas 76201 ("G TEE99) has
granted, sold and conveyed and by these presents daes grant, sell and convey unto GRANTEE an
easement and right af way (collectively, the 66EASEMENT99) for the purpose of erecting, operating,
maintaining and servicing thereon one or more electric pawer and/or cammunication lines, each
consisting of a variable number of wires, cables, and all necessary or desirable appurtenances,
attachments and complete supparting structures, including foundations, guy wires and guy anchorages,
and structural companents (collectively, the 66LINES") in, on, over, under, and across that real property
situated in Denton Caunty, Texas, being a tract of 3.150 acres and being mare particularly described and
illustrated in Exhibit "A attached hereto and incorporated into this dacument by reference (the
"EASEMENT PROPERTY").
GRANTEE shall have the right to construct, operate, improve, reconstruct, increase or reduce the
capability, repair, relocate, inspect, patral, maintain or remove such LINES within such EASEMENT
(collectively, the "PE ITTED USES99) as GRANTEE may from time to time find necessary,
canvenient or desirable to erect thereon or install therein and all rights necessary or convenient for full
use of the abave grant, including reasonable access over, across and upon the abave referenced
EASEMENT PROPERTY to the extent such access does nat materially affect GRANTOR'S use of such
EASEMENT PROPERTY as permitted herein. GRANTEE shall have no right to fence or enclose such
EASEMENT PROPERTY or to use it for any purpase other than the PERMITTED USES set farth above.
GRANTOR, for itself and its successors and assigns, expressly reserves the right to occupy and
use the above described EASEMENT PROPERTY far all ather purposes that will not materially interfere
with the GRANTEE'S full enjoyment of the PERMITTED USES and its exercise of its rights hereunder,
including without limitation (i) the right of passage over the EASEMENT PROPERTY, (ii) the right to
use the surface of the EASEMENT PROPERTY for parking, driveways, sidewalks, and landscaping and
(iii) the right, but not the obligation, to erect or maintain fences not more than 8 feet high across such
EASEMENT PROPERTY, provided that gates or openings 12 feet wide ar more are installed therein
(collectively, "G TOR FACILITIES99), to provide GRANTEE reasonable access to all parts of such
EASEMENT PROPERTY; provided further that all such GRANTOR FACILITIES shall be properly
grounded in accordance with electrical industry standards and shall be sa constructed as to maintain
minimum clearances from GRANTEE'S LINES as required by applicable laws.
GRANTOR acknowledges the EASEMENT is exclusive, sa as ta exclude all other utility
providers; provided, however, the EASEMENT is nonexclusive as to GRANTOR'S right to otherwise use
the EASEMENT PROPERTY so long as such use does not unreasonably interfere with GRANTEE'S
PERMITTED USES and its rights hereunder. GRANTEE acknowledges that such other utility providers
will be permitted, with GRANTEE'S written consent, to construct, operate, maintain, repair, replace and
remove their respective utilities in, on, over, under, and across the EASEMENT PROPERTY
perpendicularly or as otherwise permitted by GRANTEE in writing, in such manner as will not to
interfere with GRANTEE'S LINES.
GRANTEE, at GRANTEE'S sole cost and expense, shall have the right to trim or remove trees
and shrubbery on the EASEMENT PROPERTY to the extent necessary, in the reasonable judgment of
GRANTEE, to prevent possible interference with the operation of such LINES or to remove possible
hazards thereto, together with the right to put gates in existing fences within such EASEMENT
PROPERTY; provided further that GRANTEE shall promptly remove from the EASEMENT
PROPERTY tree limbs, cuttings and other debris resulting from GRANTEE'S operations or occupancy
of the EASEMENT PROPERTY pursuant to its rights under this EASEMENT. The EASEMENT for the
EASEMENT PROPERTY as provided for herein is made on an "AS IS" basis, and GRANTEE expressly
acknowledges that, in consideration of the agreements of GRANTOR herein, GRANTOR MAKES NO
WARRANTY OR REPRESENTATION, EXPRESS OR IMPLIED, OR ARISING BY OPERATION OF
LAW as to the condition or suitability of the EASEMENT or the EASEMENT PROPERTY for
GRANTEE' S PERMITTED USES hereunder.
GRANTOR and GRANTEE acknowledge and agree that at the execution date hereof, no
buildings and/or structures exist on the EASEMENT PROPERTY. GRANTEE shall have the right to
prevent the construction of buildings, structures, signs and obstructions on the EASEMENT PROPERTY,
and if any such buildings, structures, signs or obstructions are hereafter constructed or permitted by
GRANTOR to exist within the EASEMENT PROPERTY without prior written consent of GRANTEE,
then GRANTEE shall have the right to remove the same and GRANTOR agrees to pay to GRANTEE the
reasonable actual cost of such removal.
The payment of consideration herein made includes any damage or loss to crops sustained in the
future by GRANTOR resulting from the GRANTEE'S construction, reconstruction, repair, replacement,
operation, maintenance or servicing of the LINES in accordance with the terms of the EASEMENT.
The EASEMENT shall constitute a covenant running with the land for the benefit of GRANTEE,
its successors and assigns. The rights hereby granted may not be assigned, either in whole or in part,
without GRANTOR'S prior written consent, which consent shall not be unreasonably withheld.
TO HAVE AND TO HOLD the above EASEMENT unto GRANTEE, its successors and assigns,
and GRANTOR hereby warrants and forever agrees to defend the above described EASEMENT unto
GRANTEE, its successors and assigns, against every person whomsoever lawfully claiming or to claim
the same or any part thereof, by, through, or under GRANTOR, and not otherwise, subject, however, to
the rights of the owner or owners of any existing easements or other encumbrances affecting the
EASEMENT PROPERTY herein described.

THAT, iJNITED STATES COLD STORAGE, LP, a Texas limited partnership, (the
"G TOR") for and in consideratian of Ten Dollars ($ 10.00), and other good and valuable
consideration, to GRANTOR in hand paid by the CITY OF DENTON, a municipal corporation, which is
lacated in Denton County, Texas, and whose mailing address is 215 E. McKinney, Dentan, Texas 76201
("G TEE") has granted, sold and conveyed and by these presents does grant, sell and canvey unto
GRANTEE an easement and right of way (collectively, the "EASEMENT99) for the purpose of erecting,
operating, maintaining and servicing thereon one or more electric pawer and/or communication lines,
each consisting of a variable number of wires, cables, and all necessary or desirable appurtenances,
attachments and complete supparting structures, including foundations, guy wires and guy anchorages,
and structural components (collectively, the 66LINES") in, on, over, under, and across that real property
situated in Denton County, Texas, being a tract of 1.026 acre and being more particularly described and
illustrated in Exhibit 66A attached hereto and incorporated into this document by reference (the
G[litiSE1V11i1V d rdtorlil\1 I 99`.

CiRANTEE shall have the right to construct, aperate, improve, reconstruct, increase or reduce the
capability, repair, relocate, inspect, patrol, maintain ar remove such LINES within such EASEMENT
(collectively, the "PE ITTED USES99) as GRANTEE may from time to time find necessary,
convenient or desirable to erect thereon or install therein and all rights necessary or convenient for full
use of the above grant, including reasonable access over, across and upon the abave referenced
EASEMENT PROPERTY to the extent such access does nat materially affect GRANTOR'S use of such
EASEMENT PROPERTY as permitted herein. GRANTEE shall have na right to fence or enclose such
EASEMENT PROPERTY or to use it for any purpose ather than the PERMITTED USES set forth above.
GRANTOR, for itself and its successors and assigns, expressly reserves the right to occupy and
use the abave described EASEMENT PROPERTY for all other purposes that will not materially interfere
with the GRANTEE'S full enjoyment of the PERMITTED USES and its exercise of its rights hereunder,
including without limitation (i) the right of passage over the EASEMENT PROPERTY, (ii) the right to
use the surface of the EASEMENT PROPERTY for parking, driveways, sidewalks, and landscaping and
(iii) the right, but not the obligation, to erect ar maintain fences nat mare than 8 feet high across such
EASEMENT PROPERTY, provided that gates or openings 12 feet wide or more are installed therein
(callectivelyy 66G TOR FACILITIES"), to provide GRANTEE reasonable access to all parts of such
EASEMENT PROPERTY; provided further that all such GRANTOR FACILITIES shall be properly
grounded in accordance with electrical industry standards and shall be so constructed as to maintain
minimum clearances from GRANTEE'S LINES as required by applicable laws.
GRANTOR acknowledges the EASEMENT is exclusive, so as to exclude all other utility
providers; provided, hawever, the EASEMENT is nanexclusive as to GRANTOR'S right to atherwise use
the EASEMLNT PROPERTY so long as such use does not unreasonably interfere with GRANTEE'S
PERMITTED USES and its rights hereunder. GRANTEE acknowladges that such other utility providers
will be permitted, with GRANTEE'S written consent, to construct, operate, maintain, repair, replace and
remove their respeckive utilit�es in, on, over, under, and across the EASEMENT PROP�RTY
perpendicularly or as otherwise permitted by GR.ANTEE in writing, in such manner as will not io
interfere with GRANTEE'S LIlVES,
GRANTEE, at GRANTEE'S sole cost and expense, shall have the right to trim or remove trees
and shrubbery on the EASEMENT PROPERTY to the extent necessary, in the reasonable judgment of

KNOW ALL MEN BY THESE PRESENTS:
WHEREAS, an Easement situated in the J. Perry Survey, Abstract No. 1040 and the
Eugene Puchalski Survey, Abstract No. 996, was granted by Rayzor Investments, Ltd, and
Westpark Group, L.P. to the City of Denton, recorded as Instrument Number 2014-3990 in the
Real Property Records, Denton County, Texas, and a duplicate instrument thereof erroneously
recorded as Instrument Number 2014-10106 in the Real Property Records, Denton County,
Texas, and a Temporary Construction, Grading and Access Easement situated in the J. Perry
Survey, Abstract 1040, was granted by Rayzor Investments, Ltd. and Westpark Group, L.P. to
the City of Denton, recorded as Instrument Number 2014-4038 in the Real Property Records,
Denton County, Texas (collectively referred to as the "Abandonment Tracts"); and
WHEREAS, on August 7, 2018 the Denton City Council passed and approved Ordinance
No. 2018-1192, authorizing the City Manager to enter into an Easement Grant and Abandonment
Agreement (the "Agreement") by and between the City of Denton, Rayzor Investments, Ltd. and
United States Cold Storage, LP, providing for the acceptance by the City of Denton of alternative

Denton, thereby extinguishing the public's interests in the Abandonment Tracts, as per the terrns
of the Agreement and the recitals of Ordinance No. 2018-1192; and
WHEREAS, pursuant to City of Denton Ordinance No. 2018-1192, the Denton City
Council authorized the City Manager, or his designee, on behalf of the City of Denton, to
execute a Release document evidencing the formal abandonment of the Abandonment Tracts,
suitable for recordation in the Real Property Records, Denton County, Texas;
NOW, THEREFORE, TODD HILEMAN, by and on behalf of the City of Denton, does hereby
