SECTION 1. The findings and recitations contained in the preamble of this ordinance are incorporated herein by reference. SECTION 2. The Friends of the Denton Public Libraries Agreement attached hereto is approved and the City Manager, or his designee, is authorized to execute the Agreement on behalf of the City of Denton. SECTION 3. The ordinance shall become effective immediately upon its passage and approval. WHEREAS, the City and the Friends of the Libraries provide and make available certain services and benefits to each other; WHEREAS, the City owns and maintains public library and facilities (collectively, "Facilities") throughout the City of Denton; WHEItEAS, the City of Denton Public Libraries ("DPL") is a department of the City of Denton, a municipal corporation, whose mission is to build community by promoting lifelong learning, encouraging human connections, and sharing resources; WH�REAS, the Friends of the Libraries promoting programs of the DPL as cultural and educational assets to this area and emphasizing to the community the importance of public library service both now and in the future development of the City is helpful in promoting the DPL mission; WHEREAS, to meet the needs and expectations of Denton's citizens often costs more than Citytax monies and other revenues can provide, and it is often necessary for the DPL to obtain funds from outside private sources to augment the annual operating budget of the DPL to assure that the DPL fulflls its mission; WHEREAS, the Friends of the Libraries was formed in April 15, 1987 as a Texas nonprofit association and is duly qualified to receive Federal incorne tax exemption under Section 501(c)(3)of the Internal Revenue Code. The Articles of Association of the Friends of the Libraries set forth its purpose as being a non-policy making and non profit organization to maintain an association of persons interested in promoting the services, resources, technology, and educational programs of the DPL, and improving the public libraries, and the public awareness of the opportunities for improving and enriching lives through use of the public facilities and programs available to the Citizens of Denton. The continuatian of these activities is essential to the maintenance of the DPL as a high-caliber library program serving the needs of Denton's Citizens; WHEREAS, the DPL and the Friends of the Libraries caordinate and work in tandem with the common objective of seeking to assure, by the most cost-effective means possible, that the needs and expectations of Denton°s Citizens regarding quality library fac►lities and programs are met or exceeded; E EAS, the DPL and the Friends of the Libraries are committed to operating with full transparency within their designated rales and consistent with the reasonable expectations of the public and adapt this Agreement to serve as the governing dacument over the functions, financial relationship, and fundraising and expenditure of funds on behalf or for the benefit of the DPL and the Friends of the Libraries, their employees, assets, programs, or events; WHEREAS, this Agreement establishes a governing document deiining the relationship and operations of the City and the Friends of the Libraries and ensuring accountability regarding both the nan-monetary transactions and the financial transactions by and between the City and the Friends of the Libraries; E EAS, DPL and the Friends of the Libraries des►re to ratify and approve for the future, what their respective roles, responsibilities, rights, and obligations are, to each other in this relationship; and N T E EF E, in consideration af the cavenants, promises, terms, and provisions contained herein, and for the consideratians expressed herein, the City and the Friends of the Libraries mutually AG E to the fallowing: !: '' # l !i ' � •' : �" :� f I . '.� � tl The Friends af the Libraries represents, acknowledges, warrants and agrees to perform and provide the following with regard to its operation, purpose, and services pravided for the beneiit of the City of Dentan Public Library Department: (1) Purpase. The Friends ofthe Libraries was farmed and exists to maintain an association of persons ►nterested in promoting the pragrams, services, resources, technolagy, and programs of the DPL and impraving public awareness af the opportunities for educatian and enrichment thraugh use of the library and pragrams available to the Citizens of Dentan, and raises, receives and distributes funds in suppart of DPL's mission and gaals. (2) issian. The Friends of the Libraries supports the activities, resources, programs and facilities of DPL in its service to the community, and shall align its mission and goals with DPL's mission and goals. (3) Independent. The Friends of the Libraries aperates as a private legal entity separate fram the City. This Agreement does nat in any way constitute a jaint venture or create a principal-agent relationship between the City and the Friends of the Libraries. Neither party will assert contral over the operations af the other party. (4) Charitable rganizaiion. The Friends of the Libraries has been established as a tax- exempt assaciation and shall maintain its status as a tax-exempt 501(c)(3) charitable organization under state and federal law to ensure that donatians to the Friends of the Libraries may qualify as deduciible, charitable cantributians for its danors. (5) Fundraising. The Friends of the Libraries designs, formulates, and executes fundraising activities to secure, administer, and provide funds, praperty, services, ar other benefits to the DPL in accordance with fallowing procedures and requirements: a. The Friends of the Libraries plans and coordinates fundraising and marketing activities with the DPL in alignment with the City's strategic and capital plans. b. The Friends of the Libraries shall continue to support and fundraise for the library projects, improvements and initiatives included in the Friends of the Libraries Activity Plan ("Activity Plan") attached hereto as Exhibit 1 and incorparated herein far all purposes. The Activ►ty Plan shall be consistent with the Friends of the Libraries' Articles of Association attached as Exhibit 2. If the term af this Agreement is renewed in accordance with Article III, the Friends of the Libraries shall provide an updated Activity Plan describing new fundraising initiatives for the librar►es, which updated Activity Plan shall be submitted ta DPL for review and comment, be presented to the DPL Director for his or her review and comment, to ensure that the Friends af the Libraries' fundraising and marketing activities are in alignment with the City's strategic and capital plans. New Friends of the Libraries fundraising initiatives which are nat included on the Activity Plan but are anticipated to raise less than Twenty Five Thousand Dollars ($25,000} may be appraved by the DPL Director. The Friends of the Libraries does not represent or act as an agent of the City when fundraising and will not utilize the libraries or other City property and equipment for fundraising activities without the priar written appraval af the DPL Director. d. The Friends of the Libraries shall acknowledge all gifts with appropriate receipts as well as correspondence and caordinate acknowledgments with the DPL, if applicable. e, A donation af money or in-kind support from the City to the Friends of the Libraries ar the installation of a Friends of the Libraries project at the libraries shall only be authorized in accordance w►ih a service agreement approved by the Dentan City Council. f. The Friends of the Libraries shall perform such reasonably necessary fundraising functions and activities which the Friends of the Libraries deems appropriate in coordinatian with the DPL. (6} Administration. The Friends of the Libraries administers funds, property, services, or ather benefits in accordance with following procedures and requirements: a. The Friends of the Libraries shall administer funds it receives for the benefit of the lihraries. The Friends of the Libraries shall function essentially as a fduciary entity on behalf of the donor of a gift and on behalf of the DPL program ar activity to be funded or benefited by ihe gift to ensure the funds are used far the intended purpose of the donor. b. The Friends of the Libraries ensures that accurate and timely gift and pledge recards are prepared, maintained, and preserved. The Friends of the Libraries shall maintain recards and accaunts that accurately document all funds received by the Friends of the Libraries and all costs incurred by Friends of the Libraries, including funds received directly and indirectly and in-kind donations related to DPL and provide their Quarterly Treasury Reports to the City detailing Friends of the Libraries activities conducted during that period, including but not limited ta: i. Volunteer hours provided to the libraries and City and their value if the Friends of the Libraries keeps records af such haurs (the Friends af the Libraries tracicing of th►s infarmation is voluntary), and ii. Itemized danations, both cash and in-kind, received and disbursements to DPL. d. The Friends of the Libraries shall provide a repart to the DPL Director annually ta summarize the Friends of the Libraries' financial information and benefit to the City, including itemized donations, contributions, and in-kind contributions to the City. .,, . � , .� (7) isbursements. I /i (7) A cammitment to accept and use gifts fram the Friends of the Librar►es in accordance with the Friends of the Libraries' and the respective danors' wishes. The DPL shall not utilize or assume control of Friends of the Libraries gifts or assets until the same are transferred from the Friends of the Libraries to the DPL. ($} Compliance with the City's Ethics Ordinance, as amended. .; To the extent allowed by state law, this Agreement shall be effective from the execution date and shall remain in full force and effect until September 30, 2021. This agreement may be renewed for two (2) additional three (3) year periods if the City and Friends of the Libraries agree in writing to extend the term of the Agreement prior to the termination of each three (3) year term. The City or Friends of the Libraries shall have the right to terminate the Agreement, in whale or in part, without cause any time upon thirty (30} calendar days' prior written notice. Upon receipt of a notice of termination, the Friends of the Libraries shall pramptly cease al( further work pursuant to the Agreement, with such exceptions, if any, specified in the notice of term ination. � ` �' ' �V � . � ��� The following is a list of representations, assurances, understanding, policies, procedures and agreements regarding the roles, relatianship and funct►ons of the City and the Friends of the Libraries in their working relationship pursuant to this Agreement: A. The City owns the libraries and any iixture located ►n the libraries. D. Any agreement between the Friends of the Libraries and City that is not within the scope of the terms of this Agreement shall receive the prior approval of the City Cauncil. E. The Friends of the Libraries has no authority to supervise, direct, contral, ar demand that a City employee perform any function on behalf af the Friends of the Libraries. If not otherwise governed by a service agreement appraved by the Denton City Cauncil, a Friends of the Libraries reauest for administrative support of the Friends of the Libraries by a City employee shall be submitted to the DPL Director, who shall have discretian to approve such request. All support of the Friends of the Libraries by a City employee shall be accounted for as an in-kind cantribution of the City to the Friends of the Libraries. F. Capital construction activities on City praperty supported in whole or in part by Friends of the Libraries funds shall follow all City procedures governing such projects and building code requirements, if applicable, G. The City shall have the right to aversee all infrastructure and capital improvement work performed on the libraries. The City has the right to suspend ar discontinue a Friends af the Libraries praject, impravement, or initiative in the libraries, and in such event shall return any funds donated by the Friends of the Libraries to the City for the suspended or discontinued project. H. All work performed by or on behalf af the Friends af the Libraries is the responsibility af the Friends af the Libraries and not the City. The City shall not be deemed liable far any act, omission, ar obligation of the Friends of the Libraries. The Friends of the Libraries shall provide the terms of this Agreement and training related to the Friends af the Libraries' abligations under this Agreement to its Board of Directars, executive director, and administrative staff, I. The Friends of the Libraries may not operate donor or sponsar recognition prograrns in the libraries unless the City Council approves the program or adopts a policy governing such programs and the Friends of the Libraries complies with the policy. J. This Agreement does not grant the Friends of the Libraries a right to use the City's name and trademarks. K. Any personnel employed by or valunteering an behalf of the Friends of the Libraries shall be deemed employees or volunteers respectively of the Friends of the Libraries, and shall not be deemed employees or volunteers of the City. The Friends of the Libraries shall be responsible far the supervisian, management and control of such Friends af the Libraries emplayees and volunteers and any payrall, taxation or other employment obligation, if any, incident to their work. Any persannel employed by ar volunteering on behalf of the City shall be deemed employees ar valunteers respectively af the City, and shall not be deemed employees or valunteers af the Friends of the Libraries. The City shall be responsible for the supervision, management and control of such City employees and volunteers and any payroll, taxation or ather emplayment abligation, if any, incident to their work. L. The Friends of the Libraries shall maintain general liability insurance in the amount of $1,000,000 and in accordance with City insurance requirements, including adding the City as an additional insured party, for all work performed at the libraries by the Friends of the Libraries' employees, valunteers, contractors and subcontractors. 'i�� l • c' ARTICLE X MODIFICATION OF AGREEMENT No modification of this Agreement shall be effective unless it is in writing and signed by both parties to the Agreement. ARTICLE XI GOVERNING LAW AND VENUE This Agreement is subject to, governed by, and shall be construed under the laws of the State of Texas. Venue of any suit or cause of action arising under this Agreement shall be exclusively in Denton County, Texas. ARTICLE XII SEVERABILTY If any provision of this Agreement is found or deemed by a court of competent Jurisdiction to be invalid, or unenforceable, it shall be considered severable from the remainder of this Agreement, and shall not cause the remainder of this Agreement to be invalid or unenforceable. In such event, the parties shall reform this Agreement to replace such stricken provision with a valid and enforceable provision which comes as close as possible to expressing the intention of the parties hereto respecting the stricken provision. ARTICLE XIII CAPTIONS The captions of this Agreement are for informational purposes only, a n d shall not i n any way affect the substantive terms or conditions of this Agreement. Membership: fees support library programs with the bulk of funds supporting the Public Library's Summer Reading Program.
