AN ORDINANCE APPROVING A SALARY INCREASE OF THREE PERCENT (3%) FOR
CITY ATTORNEY AARON LEAL UNDER THE PERFORMANCE REVIEW PROVISION
OF HIS EMPLOYMENT AGREEMENT WITH THE CITY; EXTENDING THE TERM OF
THE CITY ATTORNEY'S EMPLOYMENT AGREEMENT TO OCTOBER 11, 2020;
AUTHORIZING THE EXPENDITURE OF FUNDS; AND PROVIDING AN EFFECTIVE
DATE.
WHEREAS, on October 10, 2017, by Ordinance No. 2017-293, the City of Denton City
Council approved an Employment Agreement with Aaron Leal as the City Attorney of the City
of Denton commencing on October 12, 2017; and
WHEREAS, the City Council has completed its semi-annual performance review for City
Attorney Aaron Leal, and the Council desires to approve an increase of three percent (3%) in
City Attorney Aaron Leal's annual Base Salary; and
WHEREAS, the City Council further desires to extend City Attorney Leal's Employment
Agreement for an additional one (1) year period, thereby extending the term of said agreement to
October 1 l, 2020, and City Attorney Leal desires the same; and
WHEREAS, the City Council finds that approval of the three percent (3%) salary
increase and the one (1) year extension of the City Attorney Aaron Leal's Employment
Agreement is in the best interest of the City of Denton; NOW, THEREFORE,
THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS:
SECTION 1. The recitals and findings contained in the preamble of this Ordinance are
incorporated into the body of this Ordinance.
SECTION 2. The City Council hereby approves a three percent (3%) increase in the
annual Base Salary of City Attorney Aaron Leal, pursuant to Section 6.B. of the City Attorney's
Employment Agreement.
SECTION 3. Said salary increase shall be effective as of October 6, 2018,
SECTION�4. The City Council further hereby approves a one (1) year extension of the
City Attorney's Employment Agreement, thereby extending the term of said agreement to
October 11, 2020, as reflected in the attached Exhibit "1".
SECTION 5. City expenditures provided for in the Employment Agreement, including
the salary increase approved herein, are hereby authorized.
SECTION 6. This Ordinance shall become effective immediately upon its passage and
approval,

WH�R�AS, on October 10, 2017, the City Council adopted Ordinance No. 2017-093,
which ordinance appraved the Employee's Ernployment Agreement, ("Ernpioyment Agreeinent")
which is attached as Exhibit "A"; and
WH�REAS, it is the desire of the Employer to amend the Employment A�reement to
provide for an extension of the term of said agreement to October 1 l, 2020, for an additional one
(1) year period; and
W EREAS, the Employee also desires to amend his E ploy ent Agreement to provide
for an additional one (1} year period so as to continue employment as the City Attorney of the City
of enton, which is a City Council appointed position;
Now, therefore in cansideration of the utual covenants herein cantained, the Parties agree to
amend the Lmployment Agreement as follows:

Ii. This Agreement may be tenninated before the expixation of the Initial Term on or
before the expiraiion of any subsequent Exteilded Term by tlie �niployer or the

automatically renew for an Extended Terin. lJnless the Council — at least 90 days

City Travel Reirnbursement Palicy for City en]ployees wrth car allawances.
SFCTION 8. 1'E OR ANCE EVALUATI N
A. The Couneil shall revie`�� arid evaluate the perfortnance of the EmpIoyee at least once
annuall}� during the time set aside each �ear for the performance review of ather
Courxcil appointees. Said rzview and evaluation shall be in accordance witl� specific
ci-iteria developed jointly by Lmployee and I;�nployez�. Said ci•itez-za may be added to
or deleted froni as the Counci] and �mplayee shall a�ree.

B. Annually, the CounciY and EYnployee shall define such goals and performance
objectives whic}i they determiize necessaiy for fihe proper operation of the Cxty and in
the attainment af the Council's palicy objectives and shall further establish a relative
priority amang those various goals and objectives.

It is recognized by botll Ernployer a�.�d �niployee ihat the duties of City Attormey require
a great deal of time outside of normal off ce l�ours. It is also recognized by the Parties that
Einployee is required ta devote the amouni af fiime and energy necessary to carry out those duties
with the highest amount of proi`essionalism possible. That being the case, #he Parties rcco�nize
that �mployee may choose to take persanal time off during business hours when it is appropriate
and when ihe Employce's duties allo��. Although this personal time off is not considered
v��°�r4��an, neithcr,° %� �t: to be �:�a����dered as a.,��ra�p�w��;�<a1.a��-y ti���� far iime s��a���t by T��ab��l��y�� �n

Employee niust devote the amount af time necessary to fulfill those duties. The Council will
consider the Ern�layee's use of persai�al tinie off durin,g the perfanmance evaluation.
�rnployee is entitled to devote whatever amount of tirne the Lmployee feels is
appropriate under the cirewnstances ia the pursuit of teachin�;, counseling, consulting, writing or
other non-employer connected business outside of normal business hours of ihe Emplayer,
provided that this does not conflict or interfere with the Employee's duties as City Attorney, and
provided that Employee first notifies the Council Appointee Perfoz-znance Review Connmittec
that the Employee intends to engage in such activity, including the amount of tiine the �mployee
intends to devote to this activity and the Lmployee's engagement in the activity zs approved by

A. Employer agrees to ehecute alI necessary agreements p�•ovided by tl�e International
City/Council Management Associaiion — Retiremeni Corporation (ICMA-RC) fc�r
�mployee's participation in said TCMA-RC retiremenl plans. Employcr further agrees
to coi�iribute a total of 6% of �mployee's Base Salary to ]CMA-RC's 457 plan. �111

C. lf the Einployee retires pursuant io a qualified retirenlent plan, or is pemianently
disabled during the tern� of this A�°eement, the Employee sha11 be compensated fc�z
vaeation leave, ]Zolidays, and other benefits then accrued or credited to the Ernployee
in accordance with Employcr's eurxe�it �olicies far compensation for these benefits,
and, at the Em.ployee's option, shall be perniitted to continue to pari�cipate in the
City's health i�isurance plan on ilie same basis as other retirees from the City are
perm�tted to da so, ar, if such ofiher retzrees are not perrniited to do so, at the cost of
the �niployee.

Employer shall bear the full cost of any fidelity or other bands ihat may be required af
the Employee und�r ariy law or ordinance.
A. The Council, u��on reconimendation of the Council Appointee Performance Review
Co lttee and in coiisultatian wxth the �niployee, shall fix amy sucl� other terms and
conditxons af employment as rt inay determine irom tirne to time, relating to the
perfomzance of Employee, provided sucl� terms and condxtions are not inconsistent
wiih or in canflxct w�th the provisions of this Agreemeni, the City Charter or any
other law, and are inemorialized by a�written aniez�drnent to i]�is Agreezx�ent.
B. All pro�visions of the City Claarter and City Code, and re�,ulations and rules of ihe
Cmployer relating to vacafiiou and sick leave, retirenlent and pension system
con.ti•ibuixons, holiday, and other fringe beneiits and workii'g conditinns as they iaow
exzst or hereafter may be an.�ended, alsa shall apply to �mplayee as they would to
other employees of the Em.ployc:r in addition to said benefits enumerated spccifically
for the benefit of Employee.
A. The text herein shall constitute the entire agrecnlent beir�veen ihc Parties.
B. Ii any provlsion, or any portion, thereof, contained in this Agreement is hcld
unconstiiutzorial, inval�d, or uneiiforceable, the remainder of this A�reement, or
portion thereof, shall be deemed severable, s�iall not be affected and shall remain in
force and effect.
C. The venue of any litigation involving this Agreement s�lall Ue in a court of competent
jurisdiction sitting in l�entan Couniy, Texas.

The Employer agrees t:hat it will appropriate, set aside and encumber funds of the City in
an an�ount suf�eient to fund and pay all iinancial obligations of the Cityr pursuant to this
Agreement, including, but not li�ruted to, ihe severance pay salary and benef`its set %rth and
described herein.
SFCTION I8. EFrECTIVE DATE
This Agreement shall take effect on ��-I-� b.Q,� I�- , 20�.
