WHEREAS, Denton aild UNT` desire to enter into an ag�•eement i�egai°ding ti•affic signal operation during UNT special events and upgrades to traffic control signal equipment at fow� (4) intersections: Noi�th Texas Boulevard at I-35E (two intersections}, and I3onnie Brae at I-35 (two intersections); and WHEREAS, this Agreemeilt has been authorized by the governiilg bodies of Deilton aild UNT; WHEREAS, the Inter-local Caoperation Act, Chapter 791, Texas Government Code authorizes units of local government to contract witl� one or more units of local government to perfarm governmental functions and services; ai�d WHEREAS, it is mutually ac�vantageaus to both parties to enter inta this Agreement; NOW, TH�R�FOR�, in consideration of the terms and conditions contained herein and other valuable consideration, the receipt and sufficiency of which is hereby acknowled�;ed, the parlies agree as follaws: 1. Term. The terrn of this agi°eemee�t shall be for one (1) year begiilning ot7 tl�e date af executiotl an the signature page of tl7is Agreement, and shall automatically renew annually on the anniversa�y of that date for additional one (1) year terms unless eitl�er party gives written notice of terminatian thirty (30) calendar days prior to the expiration af the then-current term. � � IPedr�r �c�r.�l�rrrr„��t��rr�"��;�^. A. UNT sli�ll assume 50% of tlle cast to upgrade the fo�ir intersections (see exhibit A). �. Denton shall assume 50% of the cast co upgrade tl7e four intersections. The signal upgrades include instailatian of new vel7icle detectian system (Gridsmart) and a Pan-Tilt-Zoom (PT"Z.) camera (Cohu) at each intersection. The City Traffc Operations Staff will procure and instail all signal equipment. The signal upgr•ade work will be compleled within four to six weeks fi�om the execution ofthis agreement. Once the work is completed, City will setld UNT an invoice far 50% of the tatal cost incuri•ed by the City iis upgrading these intersections. B. UNT shall reimburse Denton for providing one (1) city technician for each intersection controlled during [JNT special events, at the agreed upon hourly rate (see exhibit B). The time spent by each tecl7nician on a special event shall include both, time spent on the site as well as the travel time required to arrive at the site fi�om the Traffic Operat.ions Building.
