AN ORDINANCE AUTHORIZING THE CITY MANAGER TO EXECUTE SERVICE
AGREEMENTS RELATED TO PUBLIC, EDUCATION, AND GOVERNMENT (PEG)
GRANTS WITH THE DENTON 1NDPENDENT SCHOOL DISTRICT FOR ITS PEG
CHANNEL; AUTHORIZING THE EXPENDITURE OF FUNDS THEREFOR; AND
DECLARING AN EFFECTIVE DATE.
THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS;
SECTION 1. The City Manager, or his designee, is hereby authorized to execute an
agreement between the City of Denton and Denton Independent School District for its TV
channel. The agreement for the DISD channel operated by Denton Independent
School District, a copy of which is attached hereto, is incorporated herein and made a part
hereof.

This Agreement is hereby entered into by and between the City of Denton, Texas, a Home
Rule Municipal Corporation, hereinafter referred to as'°City", and the Denton Independent School
District — DISD TV, hereinafier referred to as bbOrganization":
WHE AS, City has determined that the proposal for services merits assistance and can
provide needed services to citizens of City; and
WHEREAS, this Agreement serves a valid municipal and public puipose and is in the public
interest as it will assist local nan-profit agencies, schoals, hospitals, and public safety organizations
within the City, among other things;
NOW, THEREFORE, the parties hereto mutually agree as follows:

Organizatian sha11 in a satisfactory and proper manner perform the following tasks, for
which the monies provided by City may be used:
The funds being provided shall be used by Organization to assist with the costs of capital
equipment related to providing Public, Educational and Gove ent cable television services
within the City of Denton in accordance with Federal Communications Commission (FCC)
re�ulations.

In consideration of the receipt of funds from City, Organization agrees to the following terms
and conditions,
A. Ten T°housand Dollars and no/100 ($10,000.00) shall be paid to Organization by City to
be utilized for the purposes set forth in Article I.
B. Organization will maintain adequate records to establish that the City funds are used for
the purposes authorized by this Agreernent.
C. Organization will permit authorized officials of City to review applicable records at a
mutually agreed upon date and time.
D. Or�anization will provide full-backup documentation for expenditures, invoices, and
canceled checks to City by the end of the current fiscal year, September 30.

VI. TERMINATION
The City may terminate this Agreement for cause if Or�anization violates any covenants,
agreements, or guarantees of this Agreement, the Organization's insolvency or filing of
b ptcy, dissolution, or receivership, or the Organization's violation of any Iaw or regulation
to which it is bound under the terms of this Agreement. The City may terminate this Agreement
for other reasons not specifically enumerated in this paragraph.

E. Organization has the power to enter into this Agreement and accept payments
hereunder, and has taken all necessary action to authorize such acceptance under the terms and
conditions of this Agreement.
F. None of the assets of Organization are subject to any lien or encurnbrance of any
character, except for current taxes not delinquent, except as shown in the financial statements
furnished by Organization to City.
Each of these representations and warranties shall be continuing and shall be deemed to
have been repeated by the submission of each request for payment.
A. Any alterations, additions, or deletions to the terms of this Agreement shall be by
written amendment executed by both parties, except when the terms of this Agreement expressly
provide that another method shall be used.
B. It is understood and agread by the parties hereto that changes in the State, Federal
or local laws or regulations pursuant hereto may occur during the term of this Agreement. Any
such modifications are to be automatically incorporated into this Agreement without written
amendment hereto, and shall become a part of the Agreement on the effective date specified by
the law or regulation.
X. 1NDEMNIFICATION
To the extent authorized by law, the Organization agrees to indemnify, hold harmless, and
defend the City, its of�'icers, agents, and employees from and against any and a11 clauns ox suits for
injuries, damage, loss, or liability of whatever kind or character, arisuxg out of or in connection with
the performance by the Orgaruzation or those services contemplated by this Agreernent, including all
such claims or causes of action based upon common, constitutional or statutory law, or based, in
whole or in part, upon allegations of negligent or intentional acts of organization, its officers,
employees, agents, subcontractors, licensees and invitees.

A. Organization covenants that neither it nor any member of its governing body presently
has any interest, direct or indirect, which would conflict in any manner or degree with the
performance of services required to be performed under this Agreement. Organization further
covenants that in the performance of this Agreement, no person having such interest shall be
employed or appointed as a member of its goveming body.
B. Organization further covenants that na member of its governing body or its staff,
subcontractors or employees shall possess any interest in or use his/her position for a purpose that
is or gives the appearance of bezng motivated by desire for private gain for himselflherself, or
others; p icularly those with which he/she has family, business, or other ties.
C. No officer, member, or employee af City and no member of its goveming body who
exercises any functaon or responsibilities in the review or approval of the undertaking or c ing
out of this Agreement sha11 participate in any decision relating to the Agreement which affects his
personal interest or the interest in any corporation, p ership, or association in which he has
direct or indirect interest.

Either party may change its mailing address by sending natice of change of address to the
other at the above address by certified mail, return receipt requested.
XIIi. MISmCELLANEOUS
A. Organization shall not transfer, pledge or otherwise assign this Agreement or any
ulterest therein, or any claim arising thereunder to any party or parties, b , trust company or
other financial institutxon without the prior written approval of City.

D. This Agreement, together with referenced exhibits and attachments, constitutes the
entire agreement between the parties hereto, and any prior agreement, assertion, statement,
understanding, or other commitment occurring during the term of this agreement, or subsequent
thereto, have any legal force or effect whatsoever, unless properly executed in writing, and if
appropriate, recorded as an amendment of this Agreement.
E. This Agreement shall be interpreted in accordance with the laws of the State of
Texas and venue of any litigation concerning this Agreement shall be in a court of competent
jurisdiction sitting in Denton County, Texas.
