THIS FIRST AMENDMENT (this "Amendment") by and between the City af
Denton (`cCITY99), with its principal office at 215 East McKinney Street, Denton, Texas
76201, and the I3entan Community Theatre, Inc. (66DTC99), with its carparate office at 214
West Hickory, Denton, TX 76201 ("DCT"), acting herein, by and through its their

which was approved by Ordinance 2015-279 and executed on September 15, 2015

WHEREAS, the Agreement provided public funds for utility and janitorial services
to the DCT far its rehearsal space, as contained in Exhibit A of the Agreement; and
WHEREAS, DCT and the CITY deem it necessary to provide a new address for
the lacation of DCT'S rehearsal space, for the funding af services contained in Exhibit A
af the Agreement;
NOW THEREFORE, the CITY and DCT (hereafter collectively referred to as the
"Parties"), in consideration of their mutual promises and covenants, as well as for other
good and valuable cansideratians, do hereby AGREE to the following Amendment, which
amends the fallowing terms and conditians of the said Agreement, to wit:
l. Pursuant to Paragraph 7 of the Agreement, the City Council authorizes the annual
funding amount for Fiscal Year 2019-2020 pursuant to Exhibit A of the Agreement
to be provided to DCT in its new location at Galden Triangle Mall.
2. Agreement is hereby amended by deleting the second Paragraph 1, renumbering
such as Paragraph 4, and replacing it with the following:
66The City shall provide a mutually agreed-upon annual funding amount
commencing on October l, 2015 for DCT's rehearsal space at the Golden
Triangle Mall. The annual funding amaunt for City utilities, as detailed in
Exhibit A, will be paid annually with the first such annual payment being due
and heginning October 1, 2015. DCT shall timely and directly pay for all its
utilities for said rehearsal space directly to the providers of same and/or to their
Landlord, as applicable. DCT may manage whether ar not it desires separate
meters for utility service. The City daes nat abject to same."
3. Agreement is hereby amended by deleting the second Paragraph 2 and replacing it
with the follawing:

"The City and DCT agree that the additional sum of $3,000 is an appropriate
amount to be spent annually on DCT's janitorial services for its rehearsal space
at the Golden Triangle Mall. This $3,000 amount is in addition to the annual
amount set forth in Section 4 herein. The $3,000 for janitorial expenses will be
paid to the DCT by October 1 of each Fiscal Year, beginning October 1, 2015.
DDCT shall then be liable for paying all of its janitorial expenses for the Fiscal
Year,"
The Parties hereto agree, that except as specifically provided for by this Amendment, that
all of the terms, covenants, conditions, agreements, rights, responsibilities, and obligations
of the Parties, set forth in the Agreement remain in full force and effect.
