Notwfthsianding anything ln thls Contract to the contrary, CiCy shal! have the right, in its sole discreCian, to cfose its LandfPll, in whole ar in part, either temporarily or permanently, at any time for any reason. Upon any such permanent closure, this Contract shall be terminated by Clty as described In Section 1i. Natwithstanding anything contained heretn to the contrary, any unscheduled closure of the Landflll of more than two (Z) days by City shall result In an equitable reductfon ln the Guaranteed Annual Tonnage owed by Contractor if requested in wrfting by Contractor. In additlon, if City closes the Landfill for more than thirty (30j days durin� any three (3} month period, Contractor shall be entltled to terminate thls Contract, and the obllgations of bath parties to deliver and to accept Acceptable Solld Waste shall terminate (including, without Ilmitation, Contractor's obligatfon to provide fhe Guaranteed Annual Tonnage and the City's obllgation to accept the tonnage at the Discount Disposal Fee rate). The calculation of interest on any disputed payment or the pursult of contractual remedies by City shall be suspended durfng any good faith dispute regardin� payment untfl the dispute is either resolved or City otherwlse determines that the dispute cannot reasonably be resolved. If it is determined that the disputed amount is owed by Contractor, such amount shall be subject to the late fees described herein. The parties reserve all legal rights and remedies if they cannot amicably resolve a dispute. (c) ;��x�� wi ��6��mm�� a��c�,.,,. In addition to the Discount Dlsposal Fee, Cantractor shall pay all other federal, state, local or other taxes, fees, surcharges, or slmllar charges related to the accepCance or disposal of Acceptable Solid Waste or refated to the operatlans or activities of the Landfill that are imposed by law, ordinance, regulation, agreement wlth a governmental authority, governmental audit, or otherwise. (d) ��,�� a,j�w� �`��r�,��• Upon executlon of thls Contract, Cantractor shall provlde a security deposit in an amount equal to one-sixth (1/6) of the annual guaranteed amount under thfs contraci. The Dlrector may approve a lesser deposit if Contractor receives an acceptable credlt rating from a credit source available to the City, The cost to obtain the credit rating will be char�ed to the Contractar and wlll not exceed one hundred dollars ($100,00). The security deposlt may afso be waived or reduced based on recent payment history of the contractor. 7he securlty deposit rnay take the form of cash, a performance bond issued by a corporate surety or suretles Ilcensed to issue bonds in the State of 7exas and otherwise acceptable to C(ty, or an uncondltional, irrevacable standby letiter of credit issued by and drawable at a financial institutlon located in Denton County, Texas. If other than cash, the form of the securlty deposit shall be approved by the Directar and approved as to legal form. For multl-year contract, the security depasit will be revlewed annually to reflect an increase or decrease In the full Disposal Rate, and the amount of the security deposlt will be increased or decreased to reflect the change. (e) ��r r�a�� .�� N� t��r9 �:w��r��t �f �'.�,��_� If Contractor, after thirty (30) days advance written notice and opportunity to cure from City, fails to mal<e payment of amounts due under thfs Contract or breaches any term, condltion, or covenant of this Contract, the Director may exercise any or alf of the fallowing remedies, wfthout waiving any other remedies available to City at law or in equ(ty: (1} suspend delivery of solid waste to the Landfill by Contractor; (2) termfnate this Contract for default as provided in Sectlon 14; or {3) draw upon the security deposlt and require Contractor to furnish a replacement securfty deposit as provided in Subsectlon (d) above, except that the Dlrector may requfre a greater amount of securlty than provlded far in Subsectlon (d) in order io provlde City with adequate assurance of performance by Contractar. If Contracto�s delivery of solid waste to the Landflfl Is suspended for nonpayment, Contractor's obllgation to pay the full payment for guaranteed annual tonnage remains in effect. 9. Insurance.
