Page 2 . � . ! • 1 '•'' , � �' � " 1 1 � i This First Amendment to Employment Agreement (this "Agreement") is made and entered into this 22nd day af Octaber, 2019 by and between the City of Denton, Texas, a Texas municipal corporation (the 66Employer") and Tadd Hileman (the 66Employee"), with the Employer and the Employee sometimes being referenced collectively in this Agreement as the 66Parties." WHEREAS, on November 21, 2016, the City Council adapted Ordinance No. 2016-365, approving an Employment Agreement with Tadd Hileman as the City Manager of the City of Denton, which is incorporated herein by reference and attached as Exhibit "A999 and WHEREAS, it is the desire of City to retain the services of the City Manager and to provide inducement far him to cantinue to provide services to the City pursuant to the terms delineated in this Agreement; and W E EAS, the Employee desires ta continue his employment as City Manager of said City of Denton, Texas as a Council appoiniee; and NOW, THEREFORE, in consideration of the mutual covenants herein contained, the Parties agree to amend the Employment Agreement as follows: 1. Sectian 1 Definitions af the Employment Agreement which defines 66Term of Agreement" is deleted in its entirety and replaced with the following: I"���.°r�� ���'" �°�. ��•��::t�����i means the seven-year period beginning on November 21, 2016 and ending on Octoher 23, 2023, if not earlier terminated in accordance with the provisions of this Agreement. 2. Section 3A of the Employment Agreement which defines 66Term of Agreement" is deleted in its entirety and replaced with the following: �' :►I'I A. The Term of the Employment Agreement is seven (7} years, beginning on November 21, 2016 and ending on October 23, 2023. 3. Section 3C will be added to the Employment Agreement to include the follawing provision providing for an automatic renewal af the term of the Employment Agreement for a period of twa (2) years: C. The term af this Agreement may be automatically renewed for a period of two (2) years upan the expiration of the Term, provided this Agreement is not terminated before the expiration of the Term by the Employer or the Employee under applicable pravisions of this Agreement. 4. Section SA of the Employment Agreement which provides for Severance Pay to the Employee under certain circumstances is deleted in its entirety and replaced with the following: � �. •. � . � �. � A. Upon Involuntary Separation occurring during the Term of the Agreement or in the event that the Employment Agreement is not renewed for an initial period of two (2) years in accordance with Section 3C of his Employment Agreement, the Employee shall be entitled ta a lump sum severance payment in an amount not to exceed one year's base salary and only those benefits paid other non-civil service employees upon termination pursuant to policy in effect at the time of separation. Such severance payment shall be the sole remedy af Employee and acceptance shall constitute a waiver of existing claims Employee may have which may arise by virtue of employment with or resignation or removal from the City, including, without limitatian, any claims against the City, its officers and employees, agents, affiliates and subsidiaries including, but not limited to, breach af contract, tort, First and Fourteenth Amendment to the U.S. Canstitution, 42 U.S.C. Section 1983, and any and all other claims which might arise under local, state, ar federal fair employment practices or employment benefit laws, workers' compensation law, rights and claims arising under the Age Discrimination in Employment Act, Texas Payday & Whistleblower Laws, Title VII of the Civil Rights Act, the Americans with Disabilities Act, and the Texas Commission on Human Rights Act. 5. Section 6 af the Employment Agreement which provides for the Employee's salary is deleted in its entirety and replaced with the following: . ., A. For the services rendered as the Employer's City Manager, the Emplayer agrees to pay Employee an annual base Salary of $278,512 and as set year to year by the City Council in future years, payable in installments at the same time as other employees of the Employer are paid. All provisions af the City Charter, City Cade, and Council- adopted Rules and Regulations relating to the vacation and sick leave, retirement and pension system contribution, holidays, and other fringe benefits and working conditions as they now exist or hereafter may be amended, shall apply ta Employee as they would to other employees of the City, which benefits include health insurance, long-term disability insurance and retirement under the Texas Municipal Retirement System, except that the City will pay Employee's portion of the Texas Municipal Retirement System contribution. The Emplayee shall accrue sick leave on the same basis as all other employees of the City. Further, the Employee shall accrue four (4) weeks (160 hours) of vacation leave annually, beginning the first pay period in October of 2019. Page 2 of 3 This First Amendment of the City Manager's Employment Agreement shall take effect immediate upon the full execution of this Agreement. Except as expressly amended hereby, the Employment Agreement shall remain valid and subsisting as originally provided, and the Employer and the Employee hereby ratify and confirm the Employment Agreement, as amended hereby. IN WITNESS WHEREOF, the Mayor as duly authorized by the Council and on behalf of the City of Denton, has signed and executed this First Amendment to the City Manager's Employment Agreement and the Employee has signed and executed this First Amendment to the City Manager's Employment Agreement, both in duplicate, the day and year first above written.
