AN ORDINANCE OF THE CITY OF DENTON , TEXAS, AMENDING ORDINANCE No . 2012-366, AS
AMENDED BY ORDINANCES 2014-039, 2014-274, 2015-370 , AND 2016-354 RELATING TO TAX
INCREMENT REINVESTMENT ZONE (TIRZ) NUMBER TWO , TO AMEND THE NUMBER OF TERMS
THE DEVELOPER REPRESENTATIVE MAY SERVE ON THE BOARD OF DIRECTORS ; REPEALING
ALL CONFLICTING ORDINANCES AND PORTIONS THEREOF; AND PROVIDING AN EFFECTIVE
DATE.
WHEREAS , on December 18, 2012, the City Council of the City of Denton, Texas (the "City
Council"), adopted Ordinance 2012-366, which designated and described the boundaries of a Tax
Increment Reinvestment Zone Number Two ("TIRZ Number Two"); established the duration of TIRZ
Number Two; established a Tax Increment Fund and established a Board of Directors for TIRZ Number
Two; and
WHEREAS , on February 4, 2014 , the City Council adopted Ordinance 2014-039, and on September
9 , 2014 , the City Council adopted Ordinance 2014-274 , which ordinances established the TIRZ Number Two
Board composition and term limits that match the Economic Development Partnership Board ("EDP")
composition and term limits ; and
WHEREAS , on December 1, 2015 , the City Council adopted Ordinance 2015-370, which added two
new members appointed to serve on the EDP board to the TIRZ Number Two Board, bringing the TIRZ
Number Two Board membership to thirteen; and
WHEREAS , on November 8, 2016, the City Counci l adopted Ordinance No. 2016-354, which
added a new member appointed to serve on the EDP board to the TIRZ Number Two Board, bringing the
TIRZ Number Two Board membership to fourteen ; NOW, THEREFORE,
THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS :
SECTION 1: Subsections A and B of Section 4 of Ordinance 2012-366 , as amended by Ordinances
2014-039, 2014-274 , 2015-370, and 2016-354, are amended in their entirety as foll ows:
A. The Board of Directors shall consist of fourteen (14) members, twelve (12) of whom
shall be appointed by the City Council of the City. All members appointed to the board
shall meet the eligibility requirements set forth in the Act. Board membership shall
consist of the following :
1. The twelve members of the Economic Development Partnership Board ("EDP"),
2. One member shall be appointed by the governing body of Denton County
3. One member shall be appointed by the "Developer," Rayzor Investments, LLP.
B. The terms of the board members shall be two-year terms; the twelve (12) members
appointed by City Council will serve terms concurrent with their EDP terms . A board
member may serve no more than three consecutive terrns, except the Developer appointee
may serve unlimited terms but must be re-nominated upon the expiration of each term . The
City Council shall designate a member of the board to serve as chairman of the board of
directors, and the board shall elect from its members a vice chairman and other officers as
it sees fit.
SECTION 2: All of the other provisions of Ordinance 2012-366 remain in full force and effect.
SECTION 3: If any section, paragraph , clause or provision of this Ordinance shall for any reason
be held to be invalid or unenforceable , the invalidity or unenforceability of such section, paragraph,
clause or provision shall not affect any of the remaining provisions of this Ordinance.
SECTION 4 : This Ordinance shall become effective immediately upon its passage and approval.
