AN ORDINANCE OF THE CITY OF DENTON AUTHORIZING AN AGREEMENT
EXTENSION BETWEEN THE CITY OF DENTON, TEXAS, AND DENTON FESTIVAL
FOUNDATION, INC., FOR THE PURPOSE OF THE 2021 DENTON ARTS AND JAZZ
FESTIVAL SPONSORSHIP; PROVIDING FOR THE EXPENDITURE OF FUNDS; AND
PROVIDING FOR A NEW EFFECTIVE DATE.
WHEREAS, due to the COVID-19 pandemic, the Denton Festival Foundation, Inc., is
unable to provide the Denton Arts and Jazz Festival during 2020; and
WHEREAS, the City Council of the City of Denton hereby finds that the Sponsorship
Agreement between the City of Denton and Denton Festival Foundation, Inc., entered into on
November 5, 2019 for funds to be used for the 2020 Denton Arts and Jazz Festival sponsorship,
should be extended to allow for the sponsorship funds to be utilized for the 2021 Denton Arts
and Jazz Festival sponsorship, which serves a municipal and public purpose and is in the public
interest; NOW, THEREFORE,
THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS:
SECTION 1. The findings set forth in the preamble of this Ordinance are incorporated
by reference into the body of this Ordinance as if fully set forth herein.
SECTION 2. The City Manager, or his designee, is hereby authorized to execute the
Sponsorship Agreement Extension attached hereto and incorporated herein by reference and to
carry out the duties and responsibilities of the City, including the expenditure of funds as
provided in the Agreement.
SECTION 3. This Ordinance shall become effective immediately upon its passage and
approval.

SPONSORSHIP AGREEMENT EXTENSION
BETWEEN THE CITY OF DENTON, TEXAS AND
DENTON FESTIVAL FOUNDATION, INC.
This Sponsorship Agreement Extension (this “Agreement Extension”) is hereby entered
into by and between the City of Denton, Texas, a Home Rule Municipal Corporation, hereinafter
referred to as "City", and Denton Festival Foundation, Inc., a Texas Non-Profit Corporation,
hereinafter referred to as “Organization” and extends the time of performance of that Sponsorship
Agreement between the City and Organization entered into on November 5, 2019 (the
'Agreement”).
WHEREAS, due to the COVID-19 pandemic, the Organization is unable to provide the
Denton Arts and Jazz Festival during 2020; and
WHEREAS, City has determined that sponsorship of the 2021 Denton Arts and Jazz
Festival serves a public purpose and has provided funds in its budget for the purpose of paying for
the sponsorship of the activities provided by Organization; and
WHEREAS, this Agreement serves a valid municipal and public purpose and is in the
public interest;
NOW, THEREFORE, the parties hereto mutually agree to the following Agreement
Extension, which amends the following terms and conditions of the Agreement, to wit:
1. Article III, TIME OF PERFORMANCE, of the Agreement is hereby amended and
replaced in its entirety to read as follows:
“III.TIME OF PERFORMANCE
The Sponsored Activity sponsored by City shall be undertaken and completed by
Organization within the following time frame.
The term of this Agreement shall commence on the Effective Date (hereinafter defined)
and terminate September 30, 2021, unless the contract is sooner terminated pursuant to
the terms of this Agreement.”
2. City and Organization agree, that except as specifically provided for by this Agreement
Extension, that all the terms, covenants, conditions, agreements, rights, responsibilities,
and obligations of the parties, set forth in the Agreement remain in full force and effect.
3. The parties agree to transact business electronically. Any statutory requirements that
certain terms be in writing will be satisfied using electronic documents and signing.
Electronic signing of this document will be deemed an original for all legal purposes.
