WHEREAS, theCity of Denton(“City”) isahome-rulemunicipal corporationandDenton IndependentSchoolDistrict(“DISD”) is aunit of governmentestablishedunderthelawsof the Stateof Texas for the purpose of implementing the state’s system of public education and ensuring studentperformancein accordancewith the TexasEducationCode,and the City and DISD are authorizedto executean Interlocal Cooperation Agreement under Section 791 of the Texas GovernmentCode;and WHEREAS, Governor Abbott declared a State of Disaster in Texas due to COVID-19 on March 13,2020, andcities, schools,universities and other governmentalentities beganto alter their schedulesas well asclosing facilities; and WHEREAS,DISD hasrequestedthattheCity transfer$571,167.74toDISD for Operation Connectivity to provide remote-learningtechnology for studentswith no effective accessto computersor theinternetandproviding educationortraining deliveredoff campusvia educational technologieswherethe student(s)andthe instructor(s) areseparatedby physical distance and/or time(“DistanceLearning”);and WHEREAS, the City of Denton approvedResolution 20-1933 on September22, 2020, whichauthorizedtheCity Managerto executeaLetter of Commitmentto transferfunds to DISD to purchasetechnologyfor DistanceLearning and increasingthe DISD contribution for City expensesforproviding schoolresourceofficers;and WHEREAS, the State of Texas provides matching funds to DISD for Operation ConnectivitybasedontheCity’s contribution of funds;and WHEREAS, DISD hasapplied for agrantfrom theTexasEducationAgency (“TEA”) to providematchingfundsfor DistanceLearningin accordancewith OperationConnectivity; and WHEREAS, the City will transfer funds from its generalfund to DISD to facilitate Distance Learning, including tech improvements, in connection with school closing; and WHEREAS, theCity doesnot plan to transfer fundsreceivedundertheCoronavirus Aid, Relief,andEconomicSecurityAct (hereinafter“CARES Act”) to DISD, but rather,to usemonies from theCity’s generalfundto meetthe City’s obligations underthisAgreement;and WHEREAS, if the City doestransferCARES Act fundsto DISD, theCity andDISD will comply with all requirementsof the CARES Act, including that certain Interlocal Cooperation Agreementfor theadministrationof thedistribution of someof DentonCounty’s CARES Act (the “DentonCountyCARESAct FundingAgreement”); and         WHEREAS, the City hasallocated$571,167.74of its generalamd for the DISD to match the TEA grant to cover expensesincurred providing DistanceLearningthrough 'Operation Connectivity’ for studentsresidingin the City of Denton; and WHEREAS, the City Council believes it to be in the best interest of the citizens of Denton to enterinto the Interlocal Agreement betweenthe City of Denton andDenton Independent School District for DistanceLearningThrough 'Operation Connectivity” (“ILA”) attachedhereto as Exhibit “A“ and incorporated herein for all purposes;NOW, THEREFORE, THECOUNCIL OFTHE CITY OFDENTON HEREBY ORDAHqS: SECTION 1. Article II Services 2.1 Administration. TheDenton ISD agreesto administer the OperationConnectivity program to provide for Distance Learning for residents of the City of Denton in accordance with theprovisionsof Exhibit “A.” 2.2 Payment of Funds. The City agreesto pay Denton ISD up to the sum of $571,167.74for DistanceLearningin accordancewith thetermsof thisAgreement.ThePartiesfully understandand agreethat the City will only transferfunds to Denton ISD pursuantto this Agreementin the eventadditional funding is approvedandprovided by theTEA to Denton ISD after September22, 2020 for DistanceLearning in accordancewith OperationConnectivity. Denton ISD will notify the City as soonas possible following the determination of additional funding. In the event additional funding is approved by TEA, the amountof the City payment will beequalto the fundingapprovedandprovided by TEA to DentonISD after September22, 2020 for Operation Connectivity, the City’s payment not to exceedthe sum of $571,167.74.         2.3 Eligible Expenditures. The funding provided by the City shall only be applied to eligible,actualandpaid DistanceLearningexpendituresincurredfor thepurposeof addressingor respondingto the COVID-19 public health emergencyandmadebetweenMarch 1, 2020 and December30, 2021. All Distance Learning expendituresmust be paid on or before December 30, 2021to be eligible. Any DistanceLearning expendituresobligated,but not yet paid by this time shallnot be eligible expenditures.All DistanceLearningexpendituresshall only be paid for Denton ISD studentsresiding within the City of Denton corporate boundary. 2.4 Tracking. Denton ISD shall track and document all distrIbutions and use of the funds provided by the City pursuant to this Agreement. The Denton ISD shall keep and maintain all recordsof theadministrationanduseof Distance Learningfundsfor aperiod of five years. 2.5 Use of Fundsif CARES Act FundsProvided. This Section2.5 only appliesif the City providesCARES Act fundingto DentonISD. The useof DistanceLearningfunds shall comply with the CARES Act and all U.S. TreasuryDepartmentregulations or guidelines thereunder.DentonISD acknowledgesandunderstandsthat its useof DistanceLearning funding is subjectto the sametermsandconditions asthe Denton CountyCaresAct Funding Agreement andthe CARESAct. DentonISD hereby agreesto comply with all termsandconditions relating to theuseof fUndsfrom the Denton County CARES Act Funding Agreement fUndsand the CARES Act. Denton ISD agreesto documentandjustify that eachDistanceLearning expenditure is an eligible expenseundertheCARES Ac anddocumentall expendituresanddistributions made for the Distance Learning to theCity by no later than January 15,2022, andkeep and maintain copies of suchdocumentation for theretention period applicable to the CARES Act. The Partiesunderstandthat thedistribution of funds for DistanceLearning is an eligible useof theDentonCountyCARESAct FundingAgreement andCARESAct funds.If the County, theU.S.Departmentof Treasury,or its designee,in its reasonablediscretion, determines that the expenditureof Fundsis not aneligible expenditure,thenDenton ISD shall beresponsibleto make anynecessaryreimbursementin an amountequal to the amountof the ineligible expenditure fromotherof itsfunds. 2.6 Administration. The Denton ISD shall manage and administer Operation Connectivitywithin theCity of Denton asfollows: a) TheDentonISD shallsubmit to theCity: 1. 2. 3. A letter certifying the expendituresfor which the Denton ISD usedfunds receivedpursuant to this Agreement; Documentation verifying the number of studentsthat reside in Denton and attend a school within the Denton ISD; and Documentationverifying the numberof studentsthat residein Denton that receivedtechnology and hotspots from Denton ISD for reliable internet connectionsandthe associatedexpendituresby Denton ISD. 2.7 SupportingMaterial. The City hasthe right to accessandreview any supporting         material and reject/renrsepayment for any of the expenditures if determined ineligible or to have insufficient information. 2.8 No Duplication of AssistanceApplications. Denton ISD cannot be currently seekingor havereceivedassistancefor the sameexpensesunderany otherfederal, state,or local program 2.9 Repaymentof UnusedFunds.Any fundsnot expendedby DentonISD asprovided hereinby 11:59 PM December30, 2021 shall be returned to the City within 30 days. 2.10 Reports.Denton ISD shall provide periodic reports on theuseof the fUndsprovided by City asrequestedor requiredby the City. Article III IVliscellaneousProvisions 3.1 Entire Agreement. This Agreement constitutes the sole and only agreement betweenthe Parties and supersedesanyprior understandings written or oral agreementsbetween the Partieswith respectto this subject matter. 3.2 Assigllment. DentonISD maynot assignthis Agreementin whole or in part without theprior written consentof City. In theeventof anassignmentby Denton ISD to which City hasconsented,the assigneeshall agreein writing with City to personally assume,perform, andbe boundby all the covenants,andobligations contained in this Agreement. 3.3 Successorsand Assigps. Subject to the provisions regarding assignment, this Agreementshall be binding on andinure to the benefit of the Partiesto it andtheir respective successors and assigns. 3.4 GoverningLaw; Venue. The laws of the Stateof Texasshall governthis Agreement;andvenuefor any actionconcerningthis Agreementshallbe in a statecourt of competentjurisdiction in DentonCounty,Texas. ThePartiesagreeto submit to thepersonaland subjectmatterjurisdictionof saidCourt. 3.5 Amendments.ThisAgreementmay be amendedonly by the mutual written agreementof the Parties. 3.6 Audits andRecords. Denton ISD agreesthat during the term hereofthe City and its representativesmay, during normal businesshours and asoften asdeemednecessary,inspect, audit, examine and reproduce any and all of Denton ISD’s records relating to the services provided pursuantto thisAgreementfor a period of oneyear following the dateof completion of services asdeterminedby theCity or dateof termination if sooner. 3.7 Severability. In the eventany one or more of the provisionscontainedin this Agreementshall for anyreasonbe held to be invalid, illegal, or unenforceable in anyrespect, such invalidity, illegality or unenforceabilityshall not affect any otherprovisions, andthe Agreement         shall be construedasif suchinvalid, illegal, or unenforceable provision had never beencontainedIn it 3.8 Independent Contractor. It is understood and agreedby and between the Parties that DentonISD in satisfyingthe conditionsof this Agreement,is acting independently,and that City assumesnoresponsibility or liabilities toanythird party in connectionwith theseactions. All servicesto beperformedby DentonISDpursuantto this Agreementshall bein the capacity of an independentcontractorandnot asanagentor employeeof City. Denton ISD shall supervisethe performanceof its servicesand shall be entitled to control the manner andmeansby which its servicesareto beperformed,subjectto theterms of this Agreement. 3.9 Notices.
