AN ORDINANCE OF THE CITY OF DENTON AUTHORIZING THE CITY MANAGER TO
EXECUTE AN AGREEMENT WITH THE TEXAS COMMISSION ON THE ARTS FOR AN
ARTS RESPOND - CULTURAL DISTRICT PROGRAM GRANT IN THE AMOUNT OF $28,000
FOR THE PERIOD OF SEPTEMBER 1, 2020 THROUGH AUGUST 21, 2021 AND
AUTHORIZING THE EXPENDITURE OF FUNDS THEREFOR; AND PROVIDING AN
EFFECTIVE DATE.
WHEREAS, the City Council of the City of Denton has established and designated the
Original Denton District as a cultural district of the City of Denton; and
WHEREAS, the Original Denton District is a nationally recognized area with a decades-
long tradition of art, music, entertainment, cultural heritage, and historic preservation; and
WHEREAS, the City has a vision to further enhance the cultural amenities and assets
located in the Original Denton District, preserve Denton’s heritage and history, promote the unique
and thriving art and music scene, and manage compatible and sustainable growth to foster
neighborhood pride and protect community character; and
WHEREAS, pursuant to Section 444.031 of the Texas Government Code, the Texas
Commission on the Arts has authority to designate cultural districts in cities across Texas to create
special zones that harness the power of cultural resources to stimulate economic development and
community revitalization; and
WHEREAS, the Original Denton District was named a state-designated cultural arts
district by the Texas Commission on the Arts on September 5, 2019; and
WHEREAS, the Texas Commission on the Arts administers an annual grant program called
the Arts Respond – Cultural District Project; and
WHEREAS, the City made an application to the Texas Commission on the Arts through
the Original Denton District for an Arts Respond – Cultural District Project grant to assist in the
funding of the Denton Women’s Interracial Fellowship memorial project; and
WHEREAS, the City was awarded a grant in the amount of $28,000 to contribute to the
Denton Women’s Interracial Fellowship memorial project; NOW, THEREFORE,
THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS:
SECTION 1. The recitals and findings contained in the preamble of this Ordinance are
incorporated by reference into the body of this Ordinance as if fully set forth herein.
SECTION 2. The City Manager is hereby authorized to execute the Agreement attached
hereto as Exhibit “ N' between the Original Denton District and the Texas Commission on the Arts
for the Arts Respond – Cultural District Program grant in the amount of $28,000.
SECTION 3. The City Council hereby authorizes the City Manager to expend the grant funds
in accordance with the approved grant application, and to take any other actions necessary to complete
the City’s obligation under the Agreement.
SECTION 4. This Ordinance shall become effective upon its passage and approval.

SECTION 1. PARTIES TO COiQTRAeT
This contraet and agreement is made and entered into by and between the Texas Commission
on the Arts, an agency of the State of Texas, hereinafter referred to as "the Commission" and
Original Denton District, hereinafter referred to as ”Service Provider," Commission enters into this
contract pursuant to Texas Government Code, Section 444.024, which gives Commission authority to
award grant money for advancing the state economicaily and culturally by investing in the arts,
SEatoN 2. CONTRAeT PERIOD
The period for performance of this contract shall commence 09/0:1/20 and shall terminate
08/31/21.
SECTION 3. SERVICES
The Service Provider shalt, during the period of this contract, provide the services, activities, and
performances in accordance with Attachment A, which is attached hereto and made a part of this
contract for all purposes as if set forth in fu Ii herein.
SECTION 4. GRANT AWARD
In consideration of the Service Provider's fu it and satisfactory performance of the obligations
specified in this contract and subject to the conditions stated under *’Obligations of the
Commission" and the "Matching Share" requirements detailed in the Terms and Conditions, which
is attached hereto as Attachment B and made a part of this contract, the Commission shall pay to
the Serviee Provider an amount not to exceed $23,OCC. All funds provided by the Comm;ssiof I
must be expended within the contract period specified in Section 2
SECTION 5. EVALUATiON REPORT
The Service Provider shall submit to the Commission not later than 09/30/2 1 a properly
completed Grant Report,
SEatoN 6. AMENDMENTS AND CHANGES
This contract is the entire agreement of the parties. Any changes, deletions, extensions, or
amendments to this contract shall be in writing and signed by both parties prior to the ending date of
this contract as specified in Section 2. Any other attempted changes including orai modifications,
written notices not signed by both parties, or other modifications of any type shall be invalid,

SEcrION 7. MUTUAL OBLiGATIONS /
The parties hereto have severally and coilectiveiy agreed, and by the execution of this contract
are bound to the mutual obligations and to the performances and accomplishment of the tasks
described herein, including the Terms and Conditions,
SECTION 8 . blONl-PAYM ENT OF CH ! LD SUPPORT
"Under Section 231.006, Family Code, the vendor or applicant cenifies that the individual or
business entity named in the coRtract, bid, or application is not ineligible to receive the specified
grant, loan, or payment and acknowledges that this contract may be terminated and payment may
be withheld if this certification is inaccurate."
If the Service Provider or owner of a 25 percent or greater interest in the Service Provider is
more than 30 days in arrears in the payment of an obligation to pay child support, the Service
Provider may not receive payments under the contract and the contract may be cancelled, By
signing this contract, Service Provider is certifying that the Service Provider is in compliance with
the above provision.
The terms of this contract are accepted by the parties. Persons signing are expressly authorized to
obiigate the parties to the terms of this contract
