AN ORDINANCE OF THE CITY OF DENTON, A TEXAS HOME -RULE MUNICIPAL
CORPORATION, AUTHORIZING THE APPROVAL OF THE SECOND AMENDMENT TO A
CONTRACT BETWEEN THE CITY OF DENTON AND GRACE LIKE RAIN, INC.,
AMENDING THE CONTRACT APPROVED BY CITY COUNCIL ON DECEMBER 17, 2020 IN
THE NOT -TO -EXCEED AMOUNT OF $292,993.00, FOR THE EMERGENCY SOLUTIONS
GRANT CARES ACT (ESG-CV), SAID SECOND AMENDMENT TO EXTEND THE TERM OF
THE CONTRACT TO OCTOBER 31,202 1; PROVIDING FOR THE EXPENDITURE OF FUNDS
THEREFOR; AND PROVIDING AN EFFECTIVE DATE (RFQ 7525-003 — PROVIDING FORA
REDUCTION SECOND AMENDMENT AMOUNT NOT -TO -EXCEED $3,209.75, WITH A
TOTAL CONTRACT AMOUNT NOT -TO -EXCEED $101,688.16 AND EXTENDING THE
CONTRACT WITH GRACE LIKE RAIN, INC. TO OCTOBER 31, 2021).
WHEREAS, on December 17, 2020, by Ordinance No. 20-2454, the City awarded a contract
to Grace Like Rain, Inc. in the amount of $292,993.00, for allocation of funding for the Emergency
Solutions Grant CARES Act (ESG-CV); and
WHEREAS, on May 4, 2021, by Ordinance No. 21-795, the City awarded a First
Amendment to Grace Like Rain, Inc. in the amount of $104,897.91, for a reduction of fees for the
allocation of funding for the Emergency Solutions Grant CARES Act (ESG-CV); and
WHEREAS, the additional fees under the proposed Second Amendment are fair and
reasonable and are consistent with, and not higher than, the recommended practices and fees
applicable to the Provider's profession, and such fees do not exceed the maximum provided by law;
NOW, THEREFORE,
THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS:
SECTION 1. The Second Amendment, reducing the amount of the contract between the City
and Grace Like Rain, Inc., which is on file in the office of the Purchasing Agent, in the amount of
Three Thousand Two Hundred Nine and 75/100 ($3,209.75) Dollars, is hereby approved, and the
expenditure of funds therefor is hereby authorized in accordance with said amendment which shall
be effective upon the execution of the amendment attached hereto. The total contract amount
decreases to $101,688.16.
SECTION 2. This ordinance shall become effective immediately upon its passage and
approval.

THE STATE OF TEXAS
SECOND AMENDMENT TO CONTRACT
BY AND BETWEEN THE CITY OF DENTON, TEXAS
AND GRACE LIKE RAIN (7525-003)
THIS SECOND AMENDMENT TO CONTRACT 7525-002 (this "Amendment")
by and between the City of Denton, Texas ("City") and Grace Like Rain, Inc.
("Contractor") to that certain contract executed December 17, 2020 in the not to exceed
amount $292,993.00. ("the Original Agreement"); amended on May 4, 2021 to reduce the
not to exceed amount to $104,897.91 (the "First Amendment"); (collectively, the Original
Agreement and the First Amendment are the "Agreement") for allocation of funding for
the Emergency Solutions Grant CARES Act (ESG-CV)
WHEREAS, Contractor has substantially completed the work called for in the
Agreement, and the City deems it necessary to further expand the services provided by
Contractor to the City, and to provide an additional 3 month term with this Amendment.
WHEREAS, to allow for funds to be re -allocated to a provider with adequate
capacity to expend the funds by the end of the grant term, the parties hereto desire to change
the amount of funding allocated under the Agreement from $104,897.91 to $101,688.16
and to change the date on which the Agreement terminates to October 31, 2021.
WHEREAS, the City deems it necessary to further expand the goods/services
provided by Contractor to the City; and
NOW THEREFORE, the City and Contractor (hereafter collectively referred to as the
"Parties"), in consideration of their mutual promises and covenants, as well as for other
good and valuable considerations, do hereby AGREE to the following Amendment, which
amends the following terms and conditions of the said Agreement, to wit:
1. This Amendment reduces the Agreement amount by $3,209.75 for services and
materials, as outlined in Exhibit A, in accordance with the terms of the Agreement
with a revised aggregate not -to -exceed total of $101,688.16. The term of the
Agreement is extended until October 31, 2021.
The Parties hereto agree, that except as specifically provided for by this Amendment, that
all of the terms, covenants, conditions, agreements, rights, responsibilities, and obligations
of the Parties, set forth in the Agreement remain in full force and effect.
IN WITNESS WHEREOF, the City and the Consultant, have each executed this
Amendment, by and through their respective duly authorized representatives and officers
on this date 07/20/2021
