ORDINANCE NO.
AN ORDINANCE OF THE CITY OF DENTON AUTHORIZING AN AMENDED AND
RESTATED AGREEMENT BETWEEN THE CITY OF DENTON AND DENTON FESTIVAL
FOUNDATION, INC., FOR THE PURPOSE OF THE 2021 DENTON ARTS AND JAZZ
FESTIVAL SPONSORSHIP; PROVIDING FOR THE EXPENDITURE OF FUNDS; AND
PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, the City Council of the City of Denton hereby finds that the sponsorship
agreement between the City and Denton Festival Foundation, Inc., entered into on November 5,
2019 and extended on September 22, 2020 for funds to be used for the 2020 Denton Arts and
Jazz Festival sponsorship, should be amended, restated and replaced in its entirety in accordance
with the Amended and Restated Sponsorship Agreement attached to this Ordinance (the
"Agreement"), and that a portion of sponsorship funds that were to be utilized for the 2020
festival shall be retained by Denton Festival Foundation, Inc., to be used for the 2021 Denton
Arts and Jazz Festival, which serves a municipal and public purpose and is in the public interest;
WHEREAS, due to the COVID-19 pandemic, Denton Festival Foundation, Inc., was
unable to provide the Denton Arts and Jazz Festival during 2020; and
WHEREAS, due to the COVID-19 pandemic, Denton Festival Foundation, Inc., has
delayed the 2021 Denton Arts and Jazz Festival to dates outside of the prior extension period;
NOW, THEREFORE:
THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS:
SECTION 1. The findings set forth in the preamble of this Ordinance are incorporated
by reference into the body of this Ordinance as if fully set forth herein.
SECTION 2. The Interim City Manager, or her designee, is hereby authorized to execute
the Agreement and to carry out the duties and responsibilities of the City, including the
expenditure of funds as provided in the Agreement.
SECTION 3. This Ordinance shall become effective immediately upon its passage and
approval.
