22-01322-013 ORDINANCE NO. AN ORDINANCE OF THE CITY OF DENTON, A TEXAS HOME -RULE MUNICIPAL CORPORATION, AUTHORIZING THE CITY MANAGER TO ENTER INTO AN AGREEMENT WITH THE FRIENDS OF THE DENTON PUBLIC LIBRARIES TO RAISE FUNDS ON BEHALF OF THE DENTON PUBLIC LIBRARY; PROVIDING FOR THE EXPENDITURE OF FUNDS THEREFOR; AND PROVIDING AN EFFECTIVE DATE. WHEREAS, on September 25, 2018, by Ordinance No. 18-1463, the City approved a contract with The Friends of the Denton Public Libraries to clarify the roles and responsibilities of each party and to raise funds and support programing for the Denton Public Library (the "Agreement"); and WHEREAS, City Staff recommends extending the term of such Agreement in accordance with its terms; and WHEREAS, the City Council has found and determined that the Agreement is in the public interest; and WHEREAS, the proposed First Amendment extends such Agreement until September 30, 2024; NOW, THEREFORE, THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS: SECTION 1. The findings and recitations contained in the preamble of this ordinance are incorporated herein by reference. SECTION 2. The Agreement with the Friends of the Denton Public Libraries, authorized by Ordinance 18-1463, is hereby extended until September 30, 2024 by the execution of the amendment attached hereto. SECTION 3. The City Council delegates the authority to the City Manager, or their designee, to take any actions that may be required or permitted to be performed by the City of Denton under this Agreement to the City Manager of the City of Denton, Texas, or their designee. SECTION 4: The City Council hereby authorizes the expenditure of funds therefor in the amount and in accordance with the attached amendment. SECTION 5: This ordinance shall become effective immediately upon its passage and approval. Background City and Friends of the Libraries have previously entered into an agreement, dated September 25, 2018 (the Agreement). Capitalized terms used but not otherwise defined in this Amendment will have the meanings set forth in the Agreement. The parties desire to amend the Agreement as follows: Effective Date The terms of this Amendment are effective as of the latest date in the signature block. Extension Article III will be deleted and replaced in its entirety with the following: To the extent allowed by state law, this Agreement shall be effective from the execution date and shall remain in full force and effect until September 30, 2024. This Agreement may be renewed for one (1) additional three (3) year period if the City and Friends of the Libraries agree in writing to extend the term of the Agreement prior to the termination of each three (3) year term. The City or Friends of the Libraries shall have the right to terminate the Agreement, in whole or in part, without cause any time upon thirty (30) days' prior written notice. Upon receipt of a notice of termination, the Friends of the Libraries shall promptly cease all further work pursuant to the Agreement, with such exceptions, if any, specified in the notice of termination. The agreement is amended to reflect the following updated notice address for City of Denton: e- mail address shall be replaced with Sara.Hensley@cityofdenton.com Confirmation of Agreement This Amendment (together with all exhibits attached hereto) constitutes the entire agreement between the parties regarding the matters of this Amendment and supersedes all prior and contemporaneous agreements and understandings regarding the matters of this Amendment. In the event of a conflict between this Amendment and the Agreement as it relates to the matters of this Amendment, the ternis of this Amendment will control. Otherwise, all teens and conditions of the Agreement will remain in full force and effect and likewise apply to this Amendment.
