AN ORDINANCE OF THE CITY OF DENTON, A TEXAS HOME-RULE MUNICIPALCORPORATION, AUTHORIZING THE APPROVAL OF A THIRD AMENDMENT TO APROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF DENTON AND
LUMINANT ENERGY COMPANY, LLC, AMENDING THE CONTRACT APPROVED BY THECITY MANAGER ON APRIL 13, 2018, IN THE NOT-TO-EXCEED AMOUNT OF $50,000.00;AMENDED BY AMENDMENTS 1-2 APPROVED BY CITY COUNCIL AND PURCHASING;SAID THIRD AMENDMENT TO CONTINUE TO PROVIDE COMPRESSED NATURAL GAS
(CNG) FOR ALL CITY OF DENTON FLEET VEHICLES; PROVIDING FOR THEEXPENDITURE OF FUNDS THEREFOR; AND PROViDrNG AN EFFECTIVE DATE (FILE6795 – PROVIDING FOR AN ADDITIONAL THIRD AMENDMENT EXPENDITURE
AMOUNT NOT-TO-EXCEED $85,000.00, WITH THE TOTAL CONTRACT AMOUNT NOT-
TO-EXCEED $259,500.00).
WHEREAS, on April 13, 2018, the City Manager awarded a contract to Luminant Energy
Company, LLC, in the amount of $50,000.00, to provide Compressed Natural Gas (CNG) for all
City of Denton Fleet vehicles; and
WHEREAS, on July 23, 2019, City Council awarded a First Amendment to Luminant
Energy Company, LLC, in the amount of $75,000.00, to provide Compressed Natural Gas (CNG) for
all City of Denton Fleet vehicles; and
WHEREAS, on August 20, 2020, Purchasing awarded a Second Amendment to Luminant
Energy Company, LLC, in the amount of $49,500.00, to provide Compressed Natural Gas (CNG) for
all City of Denton Fleet vehicles; and
WHEREAS, this procurement was undertaken as part of the City’s governmental
function; and
WHEREAS, the additional fees under the proposed Third Amendment are fair and
reasonable and are consistent with, and not higher than, the recommended practices and fees
applicable to the Provider’s profession, and such fees do not exceed the maximum provided by law;NOW, THEREFORE,
THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS:
SECTION 1. The Third Amendment, increasing the amount of the contract between the City
and Luminant Energy Company, LLC, which is on file in the office of the Purchasing Agent, in the
amount of Eighty-Five Thousand ($85,000.00) Dollars, is hereby approved and the expenditure of
funds therefor is hereby authorized in accordance with said amendment referenced herein. The total
contract amount increases to $259,500.00.
SECTION 2. This ordinance shall become effective immediately upon its passage and
approval.
