22-2353ORDiNANCE NO. 22-2353 AN ORDINANCE OF THE CITY OF DENTON APPROVING AN ASSIGNMENT OFAIRPORT LEASES FROM SYKES-VAUGHAN INVESTMENTS, LLC TO SHELTAIRAVIATION DENTON, LLC OF AIRPORT LEASES COVERING PROPERTY LOCATED AT 4700 SPARTAN DRIVE, 4780 SPARTAN DRIVE, 4849 SPARTAN DRIVE, 4700 JOHNCARRELL. 4790 JOHN CARRELL, 4600 SPARTAN DRIVE, 4850 SPARTAN DRIVE, 5007 AIRPORT ROAD, 5077 SABRE DRIVE, AND 5050 WARBIRD DRIVE, DENTON, TEXASAT THE DENTON ENTERPRISE AIRPORT; AUTHORIZING THE CITY MANAGER TOEXECUTE THE ASSIGNMENT OF AIRPORT LEASES AND RELATED GROUND LESSORESTOPPEL AND CONSENT AGREEMENT; AND PROVIDING AN EFFECTIVE DATE. WHEREAS, the City of Denton, a Texas home-rule municipal corporation (hereinafter the“City”), entered into certain Airport Lease Agreements (the “Leases”) with Sykes-Vaughan Investments, LLC (the “Assignor”) covering property located at 4700 Spartan Drive, 4780 Spartan Drive, 4849 Spartan Drive, 4700 John Canell, 4790 John Carrell, 4600 Spartan Drive, 4850 Spartan Drive, 5007 Airport Road, 5077 Sabre Drive, and 5050 Warbird Drive, Denton, Texas, as more fully described in the Leases (the “Properties” which shall be more fully described on Exhibit B), at the Denton Enterprise Airport (“Airport”), which Leases were approved by the City pursuantto Ordinance No. 2005-020, Ordinance No. 2005-311, Ordinance No. 98-133, Ordinance No. 2007- 186, Ordinance No. 2009-0 18, and Ordinance No. 2015-259; and WHEREAS, Assignor has agreed to assign its interest in the Leases, including certain improvements thereon, to Sheltair Aviation Denton, LLC (“Assignee”); and WHEREAS, Assignee has requested certain changes to the Leases to be incorporated into the proposed assignments to which City staff recommends approval; and WHEREAS, the Leases require the written consent of the City for the proposed assignments to be effective, and Assignor has requested the City give such consent; and WHEREAS, at the November 9, 2022 meeting of the Airport Advisory Board, the Board recommended that the City approve the Assignment of Airport Leases for the Properties by a voteof 6 to 0; and WHEREAS, the City Council deems it in the public interest to enter into an Assignmentof Airport Leases giving consent to the assignment contemplated above; NOW, THEREFORE, THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS: SECTION 1. The findings and recitations contained in the preamble of this ordinance are incorporated herein by reference. SECTION 2. The Assignment of Airport Leases for the Properties in the form attached hereto as Exhibit A is hereby approved and made a part of this ordinance for all purposes. 1 SECTION 3. The legal description of the Properties attached hereto as Exhibit B is hereby approved and made a part of this ordinance for all purposes. SECTION 4. The City Manager, or their designee, is hereby authorized to execute the approved Assignment of Airport Leases attached hereto and the related Ground Lessor Estoppel and Consent Agreement in substantially the form referenced in the Assignment of Airport Leases. SECTION 5. This ordinance shall become effective immediately upon its passage and approval.
