22-249ORDiNANCE NO.22-249 AN ORDINANCE OF THE CITY OF DENTON AUTHORIZING THE CITY MANAGER TOENTER INTO A DEVELOPMENT AGREEMENT BETWEEN THE CITY OF DENTON AND FORESTAR (USA) REAL ESTATE GROUP INC., FOR THE DEDICATION OF PARK LANDFOR A CITY PARK AND GRANTING OF A PUBLIC ACCESS EASEMENT FOR TRAIL ATTHE EAGLE CREEK DEVELOPMENT; AUTHORIZING ACCEPTANCE OF LAND; ANDPROVIDING AN EFFECTIVE DATE. WHEREAS, Forestar (USA) Real Estate Group INC., (the “Developer”) of the Eagle Creek Development has asked for consideration for approval to development and dedicate land in lieu of Park Dedication and Park Development Fees; and WHEREAS, Chapter 22, Article III, Section 22-37, requires Developer dedicate parkland proportional to the number and type of dwelling units proposed for a single-family development;and WHEREAS, Chapter 22, Article III, Section 22-39, requires Developer pay park development fees proportional to the number of each new dwelling unit; and WHEREAS, Chapter 22, Article III, Section 22-38 allows a developer to dedicate land in lieu of payment for park development fees required by Chapter 22, Article III, Section 22-39; and WHEREAS, the developer will comply with Chapter 22, Article III, Section 22-37 and Chapter 22, Article III, Section 22-38 as outlined in the Development Agreement; and WHEREAS, the City Council deems it in the best interest of the public to enter into aDevelopment Agreement with Developer; NOW THEREFORE, THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS : SECTION 1. The findings and recitations contained in the preamble of this Ordinance areincorporated herein by reference. SECTION 2. TIle City Manager is hereby authorized to execute on behalf of the City, a Development Agreement in substantially the form of the Agreement, which is attached hereto and incorporated by reference herein. Introciuctorv Provisions Developer is the owner of and is currently developing a portion of a 263.76'acre, more or Ins, tract of land for rwidential use known as Eagle Creek which is located in tIn Asa Hickman Survey, Abstract No. 521, City of Denton, Denton County, mas (the “Project’). The Project consists of seven hundred and sixty-three (763) residential lots and forty (40) homeowners association ('WOA') open space lots, and one (1) park land dedication lot (“Park Land Lot?’)totaling 41211 auw; and Developer will improve and dedicate 41.211 acres to the City of Denton as park land for public use. The Park Land Lot, more puticu]aMy depicted on Exhibit “A“ attached hereto, will be dedicated as park land by Special Warranty Deed, Exhibit 'B” and shall be recorded in the Plat Records of Denton County, Texas upon approval by the City of Dalton; and Developer will grant a Public Access Easanent to the City of Denton via an Easement Agreement approved by the City and substantially in the form attached herea) as Exhibit “C”, which shall be nwrded in the Deed Records of Denton County, Texas; The Easement Property will give the City the right for the tnnefit of the general public to enter upon the Easement to allow the use of tIn 10 foot wide concrete sidewalk to access the Cityowned Park property directly to the East of the Project; and The amount of park land dedication nwdred by Chapter 22, Article III, Section 22.37 of the City’s Code of Ordinances for the Project is 5.39 non flood plain acres or 16.17 flood-plain acres (the “Park Land lbdicadon Requirement?’); and The park development fees regard by Chapter 22, Article III, Section 22-39 of the City’s Code of Ordinances for the Project total $222,033.00. Agnernents For ga)d and valuable considemdon, the rweipt and adequacy of which is hereby acknowledged, tIn parties agree as follows: Dedication of the Park Land Lot Developer will dedicate the Park Land Lot shown on Exhibit A to the City. nIe City and the Developer will work cooperatively to pmoess Developer’s dedication of the Park LaIrd Lot Developer shall provide a cash deposit or other altemative financial guarantee in a form approved by City in the amormt of $98,863.75 (the “Deposit’'). City may withhold approval of the final plat of the Project until Developer has delivered the Deposit. City shall reimburse the Deposit amount to Dwelop% without interest, upondedication of the ParkLand Lot as provided herein. If Developer fails to properly convey the Park Land Lot as provided herein, City shall am)ly the Ihposit against any outstanding fees, including park dedication few, owed by Developer, and City may kool) any nmaindm. City’s receipt and retention of all or any portion of the Deposit shall not constitute a waiver of any of City’s rights or nmalies at law or h equity. No later than 30 days after Developer’s completion of construction of the ParkImpnvemurts as provided herein, develqnr will dedicate the Park Land Lot to City by conveying a Special Warranty Deed in substantially the same form as attached hereto as Exhibit 'B”. The City and Developer shall prepare, execute, arxi rword all documents nlat€d to the dedication and oonveyance of the Park Land Lot at the Developn’s sole al)ease. The dedication of the Park Lmd Lot fulfills Developer’stotal park land dedication nquinments for the Project, in satisfaction of Choter 22, Article III, Section 22-37 of the City’s Code of Ordinances. The Developer’s dediaation of the Park Land Lot under this Agrwment is based on the type of development (single funny) and the anticipated number of residential writs to tn developed on the Project The Park dedication nquired by this Agreement for the Project was determined with the formula 2.5 ames x 763 units x 2.8 persons divided by 1,000 for 5.341 acrw of Imd for residential property. Floodplain can be dedicated at 3 to 1 ratio. The total park land dedication is 41.211 acres, of which 22.570 acres is within the floodplain. IIIe puties acknowledge that the size of the Pak Land Lot exceeds the nquind land dedication. Developer expressly acknowledges and agr®s that tx)th the execution of this Agnanent and the transfer of the additional Park Land Lot is made voluntarily by the Developer and not as a nquiranent of the City under its Code of Ordinances, and Developer waives any claim related thereto that it may have under any theory of law against the City. 2.Park Development Fees & Reimbursement. Park development fees for the Project would amount to $222,033.00 for 763 homes at $291.00 per single family unit pwsuant to the Park Develolxnent Fees Requirement of Chapter 22, Article III, Section 22-39 of the City’s Ckxle of Ordinances. Park development fees shall be imposed at the time of building permit application and City will not issue building pemits for the Project until lkvelopu pays the park developrnent fees in full. Within ninety (90) days of the date on which Developer completes the construction of the Park Improvements on the Park Land Lot as per the agreed upon Conceptual Master Plan, Exhibit 'W’, the City shall reimburse Developer in an amount not to exceedTWO HUNDRED TWENTY-TWO THOUSAND THERW-THREE DOLLARS (W,033.00) ('!ReimbwseJnent Amount?), without interest, for the Park Improvements in accordance with the terms of this Section. Actual Park Improvmrent Costs that exceed the Reimburwment Amount will be the sole cost of the Developer and Developer waives any claim to payment therefor that it may have under any theory of law against the City. The City shall reimburse the Developer up to the Reimbursement Amowrt solely with PaIR Development Fees paid to the City from the Projwt property. In no event will Developer be entitled to reimbursement for Park Improvmrents in excess of the Reimbursement Amotmt or from any solace of revenue other than Park Development Fees received by the City from development permits on properties located within the Project. 3.Public Access Easement Within thirty (30) days of the effective date of this Agreemenb Developer will grant a Public Access Easement to the City of Denton via an Easement Agreement approved by the City and substantially in the form of Exhibit “C?’, which shall tn recorded in the Deed Records of Denton Courty, Texas upon final execution. Developer or its successors in interest to the Property shall at all times provide public access to the 1 (Hoot.wide sidewalk on the premises that connect a public right-oGway to the bail connection on the edge of the Project. Developer shall abstain from erecting any gates, fences, or other obstacles that would prevent the public from using the Public Access Easement. 4.Maintenance ofPvblic Access Easement The City of Denton will not be responsible for maintenance of the sidewalk, or pathways located on the Public Access Easanent. The Developer shall maintahr such driveways, sidewalks, and pathways located inside the Public Access Easement to standards acceptable to the City of Denton. If Developer, or its successor in interest allows any sidewalk or pathway within the Public Access Easement to fall into disrepair or become unusable or inaccessible, City may aRm and repair such sidewalk or pathway at Developer’s or its successor in interest’s expense. Developer has worked cooperatively with the City to prcxluce an agreed-upon Master Plan for the Park The agreed upon Conceptual Master Plan is herein attached as Exhibit W’. The Developer is expected to complete the hans that are nfuenced inthe Park Improveannts Cost Estimate, Exhibit T’. If any changes occur, the Master Plan documart must tn approved by the Dirntor of Parks andRea%tion. 7.ConsQpaiQP and L(natiQn ofP4rk Improvements. Developer will complete the construction of the Park Improvunents on the Park Land Lot, as per the agreed upon Park Masterplan, Exhibit W, and which Pak Impmvmeats include 3,3&+ feet (10 ft wide) ofoona€te walking trail, tnncha, and directional signage. The Developer will mat£h the City of Denton Parks and Rnnation bail, bencJr, and signage construction standards and irrigation specifications lwvided by City. The Developer will complete all agreed upn construction of the Park by August 31, 2024. If said paa development is not completed prior to the deadline the Developw shall request an extension in writing to the Director of Parks and Rwnation. Developr will commit to build the Park per the total costand design identified on Exhibit 'E”. An Estimate of the costs of the Park Improvements is contained in Exhibit “E” attached to this Agnernaa and incorporated herein by nfennw for all pwpos®. Upon written request therefor, Developer shallprovide invoices to the City to establish the actual cost for the construction and installation ofthe Park Improvements (the “Actual ParkImpmvanent cose). TIle City,in its sole discretion will determine if the Actual Park Improvement Costs are reasonable; provided, however, any actual costs or invoice amounts which are no morethan five percent (5%) dx>ve the amount for such item(s) shown on the estimate attached hereto as Exhibit “D” shall be cleaned r%sonable for purposes hneunder. 9.Altemative ESA Plan in anordaace with Ordinance Number AESA2(b0003d, Exhibit ”F". TIre Developer is fully responsible to abide by the conditions spwi6ed in Exhibit “F”. In no event will the Developer tn entitled to reimbursement for any items identified within Exhibit “P’. If the Park Land Lot is dedicated prior to restoring the impacted ana the Developer will have the City’s permission to enter the ParkLand Lot to lnrform the planting of the vegetation. Developer and its related entities, successors, and assigns release and discharge the City, its past and present employees, officers, ootarcil muntnrs, attorneys, and other agents, contractors, and representatives from any and a]1 claims, demands, controversies, and causes of action for breach ofwrawt, takings, exactions, claims under Texas Local GoYnnment Code Chapter 395, and claims undn the Private Real Property Rights Preservation Act, Texas Government Co& Chapter 2007, and all claims for reimbursements and monies thaI relate to this Agreement. Developer waives any right to appeal the nquinment to construct and dedicate thePark in accordance with the terms of this AgRemmt pursuant to Section 2242 ofthe City’s Code ofOrdinancw. 11. Indemnifiution.
