23-1031ORDINANCE NO. 23- 1031 AN ORDINANCE BY THE CITY OF DENTON AUTHORIZING THE CITY MANAGERTO EXECUTE NINE (9) AGREEMENTS FOR FUNDING UNDER THE DENTONCOUNTY TRANSPORTATION REINVESTMENT PROGRAM (TRIP), PROViDINGFINANCIAL ASSISTANCE TO MEMBER CITIES FOR TRANSIT-SUPPORTIVEPROJECTS, THROUGH THE DENTON COUNTY TRANSPORTATION AUTHORITY(DCTA) IN THE AMOUNT OF 83,980,578 FOR THE FISCAL YEAR (FY) 2022 FUNDINGPERIOD. WHEREAS, the objective of TRiP is to provide financial assistance to DCTA member cities for transit-supportive projects consistent with and beneficial to DCTA’s Long-Range ServicePlan Goals; and WHEREAS, the City of Denton (“City”) is a member city of DCTA and is eligible to apply for TRiP funding; and WHEREAS, DCTA has a budgeted allocation of $3,980,578 for the City of Denton in FY2022, of which $906,000 are available rollover funds from FY 2021 ; and WHEREAS, the City has identified and prioritized eligible projects for TRiP funding basedon enhanced sidewalk connectivity and accessibility in areas with a high concentration of pedestrian activity; and WHEREAS, on April 5, 2022 the City Council approved Resolution No. 22-629 authorizing the City Manager to apply for funding under the DCTA FY 2022 TRiP funds in the amount of $3,074,578, for financial assistance to member cities for transit supportive projects; and WHEREAS, on June 23, 2022 the DCTA Board approved the City of Denton FY22 TRiP applications for the 1) Mayhill Road Extension Phase 2 Sidewalks; 2) Southeast Denton-A Street Bundle Sidewalks; 3) Southeast Denton-B Street Bundle Sidewalks ; 4) Union Pacific Railroad Quiet Zone Sidewalks; 5) Loop 288 Sidewalks; 6) Downtown Sidewalk: and 7) Morse Street On- Street Trail projects (“ Denton Approved Projects” ); and WHEREAS, DCTA has presented to the City the agreement(s) for the FY 2022 TRiPfunds for execution; and WHEREAS, the City Council finds it in the public interest to authorize the City Manager, to execute the agreement(s) for TRiP funds for the FY 2022 funding period; NOW, THEREFORE, THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS: SECTION 1. During the Term ofthis Agreement, the funding provided by DCTA to Dalton shall not be used for any purpose other than completion of the Project, including survey, daign argineering and construction of the Project. Any use by Dalton of funding provided byDmA other than these completion costs associated with the Project shall be a violation of this Agreement and rault in termination of this Agreement if such violation occurs, Dalton will beobligated to return all funds received for completion of the Project to DCTA. Article III Denton’s Obligations 3.1 Consuhart(s)/ContraaQr. Denton shall hire the oonsultant(s) and oontractor for the Project and alter into separate agreements with the each for completion of the Project, DC:FA shall not be a party to any agreement entered into by Dalton and a third party for work relating to theProject 3.2 Bymal£. Denton shall be responsible for payments to all contractors performing work on the Project. DCTA shall not be rnponsible for any payments to any contractor or valdor performing work on the Project. 3.3 Maintarance of Project. Denton shall be rwponsible for the maintenmce and upkeep of the Project following the Expiration Date. 3.4 Competitive Bidding. Denton shall, in performing its requirements under the Agreement and in completing the Project, conform with the requirements of competitive bidding detailed in Chapter 252 of the Texas Local Government Code. If any action, whether real or asserted, at law or in equity, arises on the basis of any provision of this Agreement, value for such action shall lie in state courts locatedin Denton CouHy, Texas. 4.3 Severability. If any term or provision of this Agreement is held tobe illegal, invalid or urenforceable, the legality, validity or enforceability of the remaining terms or provisions of this Agreemart shall not be aaected thereby, and in lieu of each such illegal, invalid or unarforceableterm or provision, the parties shall ardeavor to agree to a legal, valid or enforceable term or provision as similar as possible to the term or provision declared illegal, invalid or urenfoneable. 4.4 GotD_ter2©b. This Agreement may be executed in multiple counterparts, each ofwhich shall be deemed an original, and all of which shall constitute but one and the samernstrurnent. 4.5 Authorization. POLICy STATEWNr The Denton County Trmsportation Authority (OHA) Transportation Reinvestment Progrm (TRiP) policy objective is to provide finmcial assistarce to DCFA member cities for transit- supportive projects consistart with and beneficial to DCFA's Long-Range Service Plan goals. TRiP funding will be apportioned to DCTA member cities in proportion to each city's net half-cent sales and use tax collection for the previous fiscal year, as published by the Texas Comptroller's Allocation Payment Detail. Total program funding levels and allocation formula are detailed in Section III. DCTA will distribute funds to mmber cities for eligible projects consistaU with DCTA's enabling legislation, Chapters 431 and 460 of the Texas Transportation Code, aId project selection uituia specified in Section V. H. SCOPE TRiP is a five-year policy, with its ent RaIding cycle tnginning in 2021. Emh year, DCTA will establish TRiP funding levels following an ardit of the previous fiscal year's net available balance and in accordance with the TRiP policy. DCTA will issue a call for projects in January of each calendar yew. Continuation of the policy beyond the initial five yells would require DCFA Board reapproval. In the event the Board does not re-approve subsequent years, the policy will expire after the five-yews and my unobligated fbnds shall myed to DCTA cab reserves. Funds will be available to OCTA member cities, including lbnOn, Highland Village md Lewisville. A municipality which bwomes a participating mwbu of DCTA under the provisions of Section 460.302 Texas Transportation Code, will become an eligible recipient of DOA TRiP funding in the next fiscal yew following collection of a transit sales and use tax. IIL FUNDING The arnual TRiP budget will be equal to 15 percent of DCFA's net available fund balance from the previous fiscal year. In addition, DCFA will authorin a one-time program startup mount of $2,000,000 to be transferred from the Capital/Infrastructure Raewe to a dedicated TRiP project line within the FY2021 budget. Annual program contributions may be amended as necessarythrough Bond mwdment of the TRiP policy. ELIGEBLE PROJECrs To be eligible for TRiP funding, a project must tn consistart with DCTA's enabling legislation, Chapters 43 1 and 460 of the Texas Transportation Code, ard project selwdon criteria specified in Section V. Projects funded through inter-local agrwmwts must be authorized under md consistent with the provisions of Twas Local Governmart Code 791: Intmlocal Ccnper8tion Contracts. A key provision of Chapter 460 regmbng DCTA exparditw® is that they tn wnsistent with mdtnnefioial to the locally adopted Long.Range Sewiw Plan goals. Projects eligible for TRiP furaing should dmonstrate support of these formally adopted goals. Eligible projects are shown inAttacbmeat A. In aldition to serving Long-Range Service PIm goals, projects eligible for TRiP funding shouldbe clearly defined md finmcially sound. Cost estimates for mdntarmce of assets should be based on recart similn maintenance projects or bids/sohcitations whine available. Planning and preliminary design costs may also be eligible for projects that support DCFA's long range goals. PROJECr SELECTION Eligible mmber cities must submit a written @plication for furxHng. The application shall include, at minimrm: a project description, project limits and tDundnies, proposed or engineering based capital oost estimates, requested fbnding amotmt, identification of additional funding sarroes (if @phcable), proposed schedule for the project, and a dwuiption of how the project would support DHA-s Long-Range Service Plan goals. A smple project application is provided in Attachment A. Applications will be submitted within 90 days of the DCFA Call for Projects. However, membercities may submit their qplications scant. DCFA staff will have 30 days to review the application to determine minimum project eligibility or rewest more information. Snbsequent to completing the review, if no additional information was requested, the application will be pla>ed on the agarda for the next regularly scheduled DCTA Bo©d of Diwcton meeting for consideration. Following the review of each application, the DCTA Board will led the ®proval and awwd proc®s. Should a member city have a project that timing would necessitate m ©plication prior to the call forprojects, a city may submit an application for pre-award authority. Any cost di#ennce betwwr the member city's allocated funding for that year and the project cost, may tn reimbursed in subsegnnt years or borne by the member city. DCTA stafFwill have 45 days to review the pre-award authority ©plication to determine minimum project eligibility or request more information, Subsequart to completing the review, if no alditional information was requested, the application will be plued on the agenda for the next regularly ERmDCrAANDcrrY OF DENtON. At a minimum, projects must meet the followiw criteria to te eligible for DmA funding: • Project limits located primarily within the DCFA service area, the geographic boundaries of DCTA member cities, or within a quarter mile of any A.Train Station or DCTA axedbus route o Projects that extend beyond this area should identify extra-territorial costs and alternate funding sources for the portion of costs not eligible for TRiP funding • Clear and defensible nexus to DCTA Long-Range Service Plan goals • Financialjy Sound o RecFlested capital funding does not exceed the membu city's TRiP allocation, or Funding sources have been identified for project costs exceeding the requested amount 0 In the event a memb@ city submits multiple projects for consideration whose total costs exceed the member city's balmoe of available funds, additional project criteria may be considered to nnrow theselection. These additional crituia may include percent cost shang, ability to Iwwwe alditional fedaal fUnding, project timeRme, and demonstrated ability to meet multiple Long-Range Servioe Plan goals. Projects meeting minimum seloction critwia may be deferred to a future year in the event of funding limitations. VI. DisBURSEMEirr Based on the requested funding mount and as part of the Board q>proval packet, DCTA stan will rwommend a schedule for TRiP funding disbursement which may be lump sum. quarterly, or annually. Once approved by the DCFA Bowd, the wproved fimding becomes programmed to the project. That progrmmed amount is deducted from the available apportionment as an obligation. Funds will be allocated in accordance with the approved schedule, inchrdiIB lumpsum, quarterly or annually. In no case, will disbursements be male until the project eligibility nquhement5 have benmet and formal approval by the DCFA Board has been made. DCTA disbursement of pa)went to mmber citia for eligible project expenses will occur after an expen© has beenincurred as a reimbursement. For capital assistance projects, member cities shall provide DOA with a project status report and current fmancial records for each approved projoct. The status report shall be submitted on an mnual basis (consistent with recommended disbursemmt schedule), and will include: • Project identifier • Approved project budget • TRiP funds programmed for the project • Expenses incurred @ Percentage completion At project completion, in the evan that final project accounting or audit reveals that TRiP funding was not expended in a manner consistent with progrm nqlinments, or that the final project cost was less thaI the approved TRIP funding, those unspent funds shall be returned to DCTA and remain available in the apportionment for nprogrxmming to the eligible city. Unspent dollars shall be available to the eligible city up to three yells for reprogrmming and will be in addition to, anyfuture allotments. VII. PERFORMANCE EVALUATION AND REPORTING Eligible cities shan maintain accurate books aId records of all approved projects. Cities willmaintain sepnate records for each approved project including projoct budgets, budget amendments, revised budget balmc®, expenditures to date, change orders, cost to complete, and TRiP Rrndingreceived to date. DCFA maintains the right to audit a city's books to ensure that TRiP funding is applied in accordance with the progrm criteria. Cities also maintain the right to audit DCF A's books to ensure that the funding allocations and disbursements are in accordnlce with these guidelines and other applicable laws. In addition to financial rwords, member cities will provide to DCTA an annual status report for each funded project detailing the activities completed to date, schedule updates, and anyforeseeable issues or challenges. Additional performance monitoring criteria may be established for larger disbursements or on-going programs Rmded through TRiP. DCTA may nconfirm pafommce goals (established in coordination with the member cities) intended to demonsUale the project's ability to support Long-Range Swvice Plan goals. DCFA will report quartedy to the Board on the status of the TRiP fund, including amounts apportioned,amounts programmed, amounts disbursed to mmber cities, md the amount remainirB for each city. Quarterly staanports will also include a summary of significant milestones and performurce goals VIII. ETHICS AND CONFLICTS OF iivrEREST Officers md wployees involved in the project selection pro®ss shall refrain from personal business activity that could conflict with the proper execution md management of the TRiP of that oould impair the ability to make impartial decisions. STATE OF TEXAS § §couNrY OF DENrON § REIMBURSEMENT AGREEMENT This Reimbursement Agreement (“Agreement”) is made and entered by and between Denton County Transportation Authority (“DCFA”) and the City of Dalton, Texas (“Dmton”), (each a 'Party” and collectively the “Parties”), acting by and through their authorized representatrves. RECrFALS WHEREAS, on November 12, 2020, the DCTA Board of Directors approved the DCTA Transportation Reinvestment Program Policy (“TRiP Policy”) which is attached hereto and incorporated herein as Exhibit “A“ to provide financial assistance to DCTA member citi® for transit-supportive projects consistent with and beneficial to DCTA’s Long-Range Service Plan Goals; and WHEREAS, WIder the terms of the TRiP Policy, member cities d®idng to obtain funding for aproposed eligible project must submit a writtar application form to DCTA in accordance with the criteria set forth in the TRiP Policy; and WHEREAS, Denton submitted a writtar application for completing sidewalk gaps along Loop 288 thereby enabling continuous pedestrian connectivity (the “Project”) which are more fully described in Exhibit 'B” attached hereto and incorporated herein; and WHEREAS, DCTA has detennined that Denton’s application for the Project meets thecriteria established under the TRiP Policy and will be consistent with and beneficial to DCTA’s Long-Range Service Plan Goal and therefore, has approved the Project; and NOW THEREFORE, for and in consideration of the mutual obligations and benefits contained herein, the Parties shall agree as follows: Article ITerm The Term of this Agreement shall begin on the last date of execution hereof (“ERective Date”) and continue wrtil the Project has been completed and DCTA has reimbursed Denton up to Three-Hundred Sixty Thousand Dollars ($360,000.00) in costs incurred relating to the completion of the Project (“Expiration Date”). During the Term of this Agnemart, the funding provided by DCTA to Denton shall not be used for any purpose other than completion of the Project, including survey, design argineedng, dghtof-way and/or easemmt acquisition and construction of the Project. Anyuse by Denton of funding provided by DCTA other than these completion costs associated with the Project shall be a violation of this Agreement and result in termination of this Agreement. If such violation occurs, Dalton will be obligated to return all funds received for completion of the Project to DCTA. Article III Denton’s Obligations 3, 1 (,'Qnsultant(s)/Contractor. Denton shall hire the consultant(s) and contractor for the Project and enter into separate agreements with each for the completion of the Project. DCTA shall not be a party to any agreement entered into by Denton and a third party for work relating to theProject 3.2 Paymarts. Denton shall be responsible for payments to all contractors performing work on the Project. DCTA shall not be responsible for any payments to any contractor or vendor performing work on the Projayt. 3.3 Maintenance of Project. Denton shall be responsible for the maintarance and upkeep of the Project following the Expiration Date. 3.4 Competitive Bidding. Denton shall, in performing its requirements under the Agreement and in completing the Projec& conform with the requirements of competitive bidding detailed in Chapter 252 of the Texas Local Government Code. If any action, whether real or asserted, at law or in equity, arises al the basis of any provision of this Agreemalt, venue for such action shall lie in state courts located in Denton County, Texas. 4.3 Severability. If any term or provision of this Agreement is held to be illegal, invalid or unenforceable, the legality, validity or enforc ability of the ranaining terms or provisions of this Agreement shall not be affected thereby, and in lieu of each such illegal, invalid or unenforceableterm or provision, the parties shall mdeavor to agree to a legal, valid or enforceable term or provision as similar as possible to the term or provision declared illegal, invalid or urenfoneable. 4.4 Counterparts. This Agreement may be executed in multiple cormterparts, each of which shall be deemed an original, and all of which shall constitute but one and the samemstrument. 4.5 Authorization. The undersigned officers and/or agents are properly authorized to execute this Agreement on behalf of the parties hereto and each party hereby certifies to the other that any necessary actions extending such authority have been duly passed and are now in full forceand effect. 4.6 Notices. POLICY STATEMENT The Denton County Trarsponation Authority (OCTA) Transportation Reinvestment Program (TRiP) policy objective is to provide financial assistmce h DCTA mmbtu cities for transit- supportive projects consistent with and beneficial to DCTA's Long-Range Service Plan goals. TRiP funding will be apportioned to DCTA member cities in proportion to each city's net half- cent sales and use tax collection for the previous fiscal year. as published by the Texas Comptroller's Allocation Payment Detail. Total program funding levels and allocation formula are detailed in Section III. DCTA wIll distribute funds to mmbu cities for eligible projects consistent with DCTA's enabling legislation, Chapters 431 and 460 of the Texas Transportation Code, and project selection aitnia specified in Section V, ll. SCOPE TRiP is a five-year policy, with its arst funding cycle beginning in 202 1. Each year, DCTA will establish TRiP funding levels following an audit of the previous fiscal year's net available balwrce and in accordance with the TRiP policy. DCTA will issue a call for projects in January of each calendar year. Continuation of the policy beyond the initial ave yells would require DCFA Board reapproval. In the event the Board does not re-approve subsequent years, the policy will expire after the five-yeas and any unobligated funds shall revert to DCTA cash reserves. Funds will be available to OCTA mmbn cities, including Ihnton, Highland VilIAge md Lewisville. A municipality which becomes a participating member of DCTA, under the provisions of Section 460.302 Texas Transportation Code, will become an eligible recipient of DaTA TRiP funding in the next fiscal ye& following collection of a transit sales and use tax. Ill. FUNDING The annual TRiP budget will be equal to 15 percent of DCFA's net available fund balwrce from the previous fiscal yew. ELIGIBLE PROJECTS To be eligible for TRiP funding, a project must tn consistent with DCrA's enabling legislation, C)raptms 431 and 460 of the Texas Trarrsportaaon Code, and project selection criteria specified in Section V. Projects RaIded through inter-local agreements must be authorind under aId consistent with the provisions of Texas Local Gov@nmart Code 791: Intmlocal Cooperation Contracts. A key provision of Ch@ter 460 regarding DCTA expenditures is that they be consistent with aId bene6cial to the locally adopted Long-Range Service Plan goals. Projects eligible for TRiP fundingshould dmonsbate support ofthae formally adopted goals. Eligible projects are shown inAttachment A. In addition to serving Long-Range Service Pla goals, projects eligible for TRiP funding should be clearly defined ©rd finmcially sound. Well-defined capital/expansion projects will facilitate a reliable design-build cost estimate. Cost.estimates for maintenance of©sets should be based onrecent similar maintenance projects or bids/solicitations where available. Planning and pnliminary design costs may also be eligible for projects that support DCFA's long range goals. A smrple project application is provided in Attacbmut A. Applications will be submitted within 90 days of the DCTA Call for Projects. However, memtnrcities may submit their ©plica6ons sooner. D(YFA staff will have 30 days to review theapplication to determine minimum project eligibility or requat more information. Subsegnnt to completing the review, if no additional information was molested, the application will be plmed on the agenda for the next regularly scheduled DCTA Bo©d of Directors meeting for consideration. DISBURSEMEFW Based on the requested funding amount and as part of the Board approval packet, DOA stafF will reoommend a schedule for TRiP funding disbursement which may be lump sum, quarterly, or annually. Once approved by the DCFA Board, the qproved funding becomes programmed to the project That programmed amount is deducted from the available apportionment as an obligation. Funds will be allocated in @cordance with the approved schedule, including lump-sum, orarterly or annually. In no case, will disbwsements be made until the project eligibility nquinments have beenmet and formal approval by the DCFA Board has been made. DCTA disbursment of payment to member cities for eligible project expenses will occur aRer an expense has beenincurred as a reimbursement. For capital assistance projects, member cities shall provide DCTA with a project status report andcurrent financial rwords for each approved project. VII. PERFORMANCE EVALUATION AND REPORTING Eligible cides shall maintain accurate books md records of all approved projects. D(TA maintains the right to audit a city's books to ensure that TRiP 6rnding is applied in accordance with the program criteria. Cities also maintain the right to audit DCFA's books to ensure that the frmding allocations and disbursements are in accordmce with these guidelines md other applicable laws. In addition to financial rwords, memtnr cities will provide to DCTA an annual status report for each funded project detailing the activities completed to date, schedule updates, and any foreseeable issues or challenges. Additional performurce monitoring criteria may tn established for larger disbursements or on-going pmgrms hrnded through TRiP. If such violation occurs, Denton will be obligated to return all funds received for construction of the Project to DCTA. Article III Denton’s Obligations 3.1 Contractor. Dalton shall hire the contractor for the Project and enter into a separate agreement with the Contractor for construction of the Project. DCTA shall not be a party to any agreement entered into by Denton and a third party for work relating to the Project. 3.2 Payments. Denton shall be r®ponsible for payments to all contractors performing work on the Project. DCTA shall not be responsible for any payments to any contractor or vendor performing work on the Project. 3.3 Maintenance of Projoct. Denton shall be responsible for the maintenance andupkeep of the Project following the Expiration Date. 3.4 Competitive Bidding. Denton shall, in performing its requirements under the Agreement and in completing the Project, conform with the requirements of competitive bidding detailed in Chapter 252 of the Texas Local Government Code. If any term or provision of this Agreemart is heldto be illegal, invalid or unenforceable, the legality, validity or enforceability of the remaining terms or provisions of this Agreement shall not be affected thereby, and in lieu of each such illegal, invalid or unenforceable term or provision, the puti® shall endeavor to agree to a legal, valid or enforceable term or provision as similar as possible to the term or provision declared illegal, invalid or unenforceable. 4.4 Counterparts. This Agreement may be executed in multiple counterparts, each ofwhich shall be deemed an original, and all of udrich shall constitute but one and the sameinstrument. 4.5 Authorization. Projects eligible for TRiP funding should dmonstrate support of these formally adopted goals. Eligible projects are shown inAttachment A. PROJECT SELECIION Eligible memtnr cities must submit a written application for funding. The application shall include, at minimum: a project description, project limits and boundnies, proposed or engineuing based capital cost estimates, requested funding mount, identification of additional funding sources (if applicable), proposed schedule for the project, and a description of how the pmjwt would support DCTA’s Long-Range Swvice Plwr goals. A sample project application is provided in Attachment A. Applications will be submitted within 90 days of the DCTA Call for Projects. However, membm cities may submit their applications sooner. DCFA staff will have 30 days to review theapplication to determine minimum project eligibility or raFrat more information. DiSBURSEMENr Based on the requested funding amount and as part of the Bowd approval packet, DCTA staff will recommend a schedule for TRiP funding disbursement which may be lump sum, quarterly, or annually. Onee approved by the DCFA Bond the approved funding becomes programmed to the project. That programmed amount is deducted from the available apportioment as an obligation. Funds will be allocated in accordance with the approved schedule, includiw lump-sum, gwterly or annually. In no case, will disbursements be made until the project eligibility requirements have beenmet and formal approval by the DCFA Board has been made. DCTA disburswent of payment to mmber cities for eligible project expenses will occur aBu an expense has beenincurred as a reimbursement. For capital assistance projects, member cities shall provide DCTA with a project status report andcrurent financial records for each approved project. The status report shall be submitted on an annual basis (consistent with recommended disbursement schedule), and will include: • Project identifier • Approved project budget • TRiP funds programmed for the project • Expenses incurred • Pucentage completion At project oompletion, in the event that final project accounting or audit reveals that TRiP Rrndingwas not expended in a manner consistent with progrm requirements, or that the final project cost was less than the approved TRIP funding, those unspent funds shall be retumod to DCTA and remain available in the apportionment for nprogmmming to the eligible city. PERFORMANCE EVALUATION AND REPORTING Eligible cities shall maintain awwate tx>oks and rwords of all approved projects. Cities will maintain separate rwords for each approved project including project budgets, budget amendments. revised budget balances, expenditures to date, churge orders, cost to complete, and TRiP funding received to date. DCFA maintains the right to audit a city's books to ensure that TRiP Arnding is applied in accordance with the program criteria. Cities also maintain the right to audit DCTA's books to ensure that the funding allocations and disbursements are in accordance with these guidelines and other applicable laws. In addition to fInancial records, member cities will provide to DOA an annual status report foreach funded project detailing the activities completed to date, schedule updates, and any foreseeable issues or challenges. Additional performnrce monitoring cdteda mw be established for larger disbursements or on-going programs funded through TRiP. DCTA may reconfirm performance goals (established in coordination with the member cities) intended to demonstrate the project's ability to support Long-Range Service Plan goals, DCTAwill report quarterly to the Board on the status of the TRiP fund, including amounts apportioned, amounts progrmmed, amounts disbursed to member cities, and the amount ranaining for each city. During the Term of this Agreement, the funding provided by DCTAto Denton shall not be used for any purpose other than constrrx;tion of the Project. Any use by Denton of funding provided by DCTA other than mnstnlction of the Project shall be a violation of this Agr6emart and rwuk in termination of this Agreement. Denton shall hire the contractor for the Project and alter into a separate agr@mart with the Contractor for oonstruction of the Project. DCTA shall not be a party to any agreemart altered into by Denton and a third party for work relating to the Project. 3.2 Payments. Denton shall be responsible for payments to all contractors performing work on the Project. DCTA shall not be r®ponsible for any paymaRS to any contractor or vendorperforming work on the Project. 3.3 Maintenance of Project. Denton shall be responsible for the maintenance and upkeep of the Project following the Expiration Date. 3.4 Competitjve Bidling. Denton shall, in perfonning its nqriremarts un&r the Agreement and in completing the Project, conform with the requimnmts of competitive bidding detailed in Chapter 252 of the Texas Local Governmart Code. RECITALS WHEREAS, on November 12, 2020, the DCTA Board of Directors approved the DCTA Transportation Reinvestment Program Policy (“TRiP Policy”) which is attached hereto andincorporated herein as Exhibit “A“ to provide financial assistance to DCTA member cities for transit-supportive projects consistent with and beneficial to DCTA’s Long-Range Service PlanGoals; and WHEREAS, under the terms of the TRiP Policy, member cities desiring to obtain funding for a proposed eligible project must submit a written application form to DCTA in accordance with the criteria set forth in the TRiP Policy; and WHEREAS, Denton submitted a written application for improving pedestrian safety and providing connectivity by completing sidewalk gaps along seven (7) downtown Denton streets (the “Project”) which are more fUlly described in Exhibit “B” attached hereto and incorporated herein;and WHEREAS, DCTA has determined that Denton's application for the Project meets the criteria established under the TRiP Policy and will be consistent with and beneficial to DCTA’s Long-Range Service Plan Goal and, therefore, has approved the Project; and NOW THEREFORE, for and in consideration of the mutual obligations and benefits contained herein, the Parties shall agree as follows: Article ITerm The Term of this Agreement shall begin on the last date of execution hereof (“Effective Date”) and continue until the Project has been completed and DCTA has reimbursed Denton up to One-Million Eighty-Nine Thousand Seven-Hundred Fifty Dollars ($1,089,750.00) in costs incurredrelating to the completion of the Project (''Expiration Date”). During the Term of this Agreement, the funding provided by DCTA to Denton shall not be used for any purpose other than completion of the Project, including survey. design engineering, right-of-way and/or easement acquisition and construction of the Project. Any use by Denton of funding provided by DCTA other than these completion costs associated with the Project shall be a violation of this Agreement and result in termination of this Agreement. If such violation occurs, Denton will be obligated to return all funds received for completion of the Project to DCTA. Article III Denton’s Obligations 3. 1 Consultant(s)/Contractor. Denton shall hire the consultant(s) and contractor for the Project and enter into separate agreements with the each for completion of the Project. DCTA shall not be a party to any agreement entered into by Denton and a third party for work relating to the Project 3.2 Payments. Denton shall be responsible for payments to all contractors performingwork on the Project. DCTA shall not be responsible for any payments to any contractor or vendor performing work on the Project. 3.3 Maintenance of Project. Denton shall be responsible for the maintenance and upkeep of the Project following the Expiration Date. 3.4 Competitive Bidding. Denton shall, in performing its requirements under the Agreement and in completing the Project, conform with the requirements of competitive bidding detailed in Chapter 252 of the Texas Local Government Code. It is understood and agreed between the Parties that Denton, in satisfying the conditions of this Agreement, has acted independently, and DCTA assumes no responsibilities or liabilities to third parties in connection with these actions. 4.2 Governing Law. If any action, whether real or asserted, at law or in equity, arises on the basis of any provision of this Agreement, venue for such action shall lie in state courts located in Denton County, Texas. 4.3 Severability. If any term or provision ofthis Agreement is held to be illegal, invalid or unenforceable. the legality, validity or enforceability of the remaining terms or provisions of this Agreement shall not be affected thereby, and in lieu of each such illegal, invalid or unenforceable term or provision, the parties shall endeavor to agree to a legal, valid or enforceable term or provision as similar as possible to the term or provision declared illegal, invalid or unenforceable. 4.4 Counterparts. This Agreement may be executed in multiple counterparts, each of which shall be deemed an original, and all of which shall constitute but one and the sameInstrument. 4.5 Authorization. The undersigned officers and/or agents are properly authorized to execute this Agreement on behalf of the parties hereto and each party hereby certifies to the other that any necessary actions extending such authority have been duly passed and are now in full forceand effect. 4.6 Notices. POLICY STATEMENT The Denton County Transportation Authority (OCTA) Transportation Reinvestment Program (TRiP) policy objective is to provide financial assistance to DCTA member cities for transit- supportive projects consistent with and beneficial to DCTA's Long-Range Service Plan goals. TRiP funding will be apportioned to DCTA member cities in proportion to each city's net half- cent sales and use tax collection for the previous fiscal year, as published by the Texas Comptroller's Allocation Payment Detail. Total prograrn funding levels and allocation formula are detailed in Section III. DCTA will distribute funds to member cities for eligible projects consistent with DCTA's enabling legislation, Chapters 43 1 and 460 of the Texas Transportation Code, and project selection criteria specified in Section V. 11. SCOPE TRiP is a five-year policy, with its first funding cycle beginning in 2021. Each year, DCTA will establish TRiP funding levels following an audit of the previous fiscal year’s net available balance and in accordance with the TRiP policy. DCTA will issue a call for projects in January of each calendar year. Continuation of the policy beyond the initial five years would require DCTA Board reapproval. In the event the Board does not re-approve subsequent years, the policy will expire after the five-years and any unobligated funds shall revert to DCTA cash reserves. Funds will be available to OCTA member cities, including Denton, Highland Village and Lewisville. A municipality which becomes a participating member of DCTA, under the provisions of Section 460.302 Texas Transportation Code, will become an eligible recipient of DCTA TRiP funding in the next fiscal year following collection of a trznsit sales and use tax. m. FUNDING The annual TRiP budget will be equal to 15 percent of DCTA's net available fund balance from the previous fiscal year. In addition, DCTA will authorize a one-time program startup amount of $2,000,000 to be transferred from the Capital/Infrastructure Reserve to a dedicated TRiP projectline within the FY2021 budget. Annual program contributions may be amended as necessary through Board amendment of the TRiP policy. Member cities could accrue allocated funds each fiscal year in order to fund a larger project. Funds remain with DCTA, designated to each member city, until dispersed to an approved project. Funds will remain with DCTA until reimbursements have been made to the member city for an approved project. Unobligated funds designated to each member city may rollover for up to three years. IV. ELIGIBLE PROJECrs To be eligible for TRiP fUnding, a project must be consistent with DCTA's enabling legislation, Chapters 43 1 and 460 of the Texas Transportation Code, and project selection criteria specified in Section V. Projects funded through inter-local agreements must be authorized under and consistent with the provisions of Texas Local Government Code 791: Interlocal Cooperation Contracts. A key provision of Chapter 460 regarding DCTA expenditures is that they be consistent with and beneficial to the locally adopted Long-Range Service Plan goals. Projects eligible for TRiP fundingshould demonstrate support of these formally adopted goals. Eligible projects are shown inAttachment A. In addition to serving Long-Range Service Plan goals, projects eligible for TRiP funding should be clearly defined and financially sound. Well-defined capital/expansion projects will facilitate a reliable design-build cost estimate. Cost estimates for maintenance of assets should be based on recent similar maintenance projects or bids/solicitations where available. Planning and preliminary design costs may also be eligible for projects that support DCTA's long range goals. E]igible project types may be amended as necessary through a DCTA Board amendment of the TRiP policy. Adoption of an updated DCTA Long-Range Service Plan update may trigger Board action if amendments to TRiP project criteria are needed to ensure consistency with updated Long. Range Service Plan goals. V. PROJECT SELECTION Eligible member cities must submit a written application for fbnding. The application shall include, at minimum: a project description. project limits and boundaries, proposed or engineering based capital cost estimates, requested funding amount, identification of additional funding sources (if applicable), proposed schedule for the project, and a description of how the project would support DCTA’s Long-Range Service Plan goals. A sample project application is provided in Attachment A. Applications will be submitted within 90 days of the DCTA Call for Projects. However, membercities may submit their applications sooner. DCTA staff will have 30 days to review the application to determine minimum project eligibility or request more information. Subsequent to completing the review, if no additional information was requested, the application will be placedon the agenda for the next regularly scheduled DCTA Board of Directors meeting for consideration. Following the review of each application, the DCTA Board will lead the approvaland award process. Should a member city have a project that timing would necessitate an application prior to the call for projects, a city may submit an application for pre-award authority. Any cost difference between the member city's allocated funding for that year and the project cost, may be reimbursed in subsequent years or borne by the member city. These additional criteria may include percent cost sharing, ability to leverage additional federal funding, project timeframe, and demonstrated ability to meet multiple Long-Range ServicePlan goals. Projects meeting minimum selection criteria may be deferred to a future year in the event of funding limitations. VI. DISBURSEMENT Based on the requested funding amount and as part of the Board approval packet, DCTA staff will recommend a schedule for TRiP funding disbursement which may be lump sum, quarterly, or annually. Once approved by the DCTA Board, the approved funding becomes programmed to the project. That programmed amount is deducted from the available apportionment as an obligation. Fundswill be allocated in accordance with the approved schedule, including lump-sum, quarterly or annually. In no case, will disbursements be made until the project eligibility requirements have been met and formal approval by the DCTA Board has been made. DCTA disbursement of payment to member cities for eligible project expenses will occur after an expense has beenincurred as a reimbursement. For capital assistance projects, member cities shall provide DCTA with a project status report and current financial records for each approved project. The status report shall be submitted on an annual basis (consistent with recommended disbursement schedule), and will include: • Project identifier • Approved project budget • TRiP funds programmed for the project • Expenses incurred • Percentage completion At project completion, in the event that final project accounting or audit reveals that TRiP fundingwas not expended in a manner consistent with program requirements, or that the final project costwas less than the approved TRIP funding, those unspent funds shall be returned to DCTA and remain available in the apportionment for reprogramming to the eligible city. Unspent dollars shall be available to the eligible city up to three years for nprogramming and will be in addition to, anyfuture allotments. VII. PERFORMANCE EVALUATION AND REPORTING Eligible cities shall maintain accurate books and records of all approved projects. Cities will maintain separate records for each approved project including project budgets, budget amendments, revised budget balances, expenditures to date, change orders, cost to complete, and TRiP funding received to date. DCTA maintains the right to audit a city's books to ensure that TRiP funding is applied in accordance with the program criteria. Cities also maintain the right to audit DCTA's books to ensure that the funding allocations and disbursements are in accordance with these guidelines and other applicable laws. In addition to financial records, member cities will provide to DCTA an annual status report for each funded project detailing the activities completed to date, schedule updates, and anyforeseeable issues or challenges. Additional performance monitoring criteria may be established for larger disbursements or on-going programs funded through TRiP. DCTA may nconfirm performance goals (established in coordination with the member cities) intended to demonstrate the projecfs ability to support Long-Range Service Plan goals. DCTA will report quarterly to the Board on the status of the TRiP fund, including amounts apportioned,amounts programmed, amounts disbursed to member cities, and the amount remaining for each city. Quarterly staff reports will also include a summary of significant milestones and performance goals VIII. ETHICS AND CONFLICTS OF INTEREST Officers and employees involved in the project selection process shall refrain from personal business activity that could conflict with the proper execution and management of the TRiP of that could impair the ability to make impartial decisions. Employees and board members shall disclose any material interests potentially affected by any of the projects submitted. Procedures when identifying a potential conflict of interest will comply with Chapter 171 of the Texas Local Government Code regarding conflicts of interest. If an officer or employee involved in the project selection process has a substantial interest in a business entity or in real property, thatperson must file an affidavit stating the nature and extent of the interest and abstain from further participation. 1 IX. SUBJECt TO AUDIT DCTA shall establish a system of written internal controls which will be reviewed annually with the independent auditor of DCTA. The controls shall be designed to prevent loss of public funds due to error, misrepresentation, or oversight. A formal annual review of these internal controls as well as disbursements and receipts associated with the Transportation Reinvestment Program will be performed by an independent auditor. Dutton shall hire the contractor for the Project and enter into a separate agreement with the Contractor for constructiaI of the Project. DCTA shall not be a party to any agreemart altered into by Dalton and a third party for work relating to the Project. 3.2 Pavmarts. Denton shall be r%ponsible for payments to all contractors performing work on the Project. DCTA shall not be rnponsible for any payments to any contractor or valdor performing work on the Project. 3.3 Maintenance of Proint. DCFA maintains the right to audit a city's books to ensure that TRiP funding is applied in @cordmee wIth the program criteria.
