23-1397ORDINANCE NO. 23-1397 AN ORDINANCE OF THE CITY OF DENTON, A TEXAS HOME-RULE MUNICIPALCORPORATION, AUTHORIZING THE APPROVAL OF A FIRST AMENDMENT TO ANENGAGEMENT BETWEEN THE CITY OF DENTON AND LLOYD GOSSELINKROCHELLE & TOWNSEND, P.C., AMENDING THE ENGAGEMENT APPROVED BY THE CITY COUNCIL ON JULY 20, 2021, IN THE NOT-TO-EXCEED AMOUNT OF $300,000.00;SAID FIRST AMENDMENT TO PROVIDE ADDITIONAL LEGAL SERVICES FOR THECITY OF DENTON; PROVIDING FOR THE EXPENDITURE OF FUNDS THEREFOR; AND PROVIDING AN EFFECTIVE DATE (FILE 7762 – PROVEDING FOR AN ADDITIONALFIRST AMENDMENT EXPENDITURE AMOUNT NOT-TO-EXCEED $300,000.00, WITH THE TOTAL CONTRACT AMOUNT NOT-TO-EXCEED $800,000.00). WHEREAS, on July 20, 2021, the City Attorney awarded a contract to Lloyd Gosselink Rochelle & Townsend, P.C. in the amount of $500,000.00, for legal services; and WHEREAS, this procurement was undertaken as part of the City’s governmental function;and WHEREAS, the services pursuant to this engagement of legal services provides legal work and advice to complete or further projects in PUC Docket # 52715, Denton Municipal Electric’s application for its full transmission cost of service rate before the Public Utility Commission ofTexas WHEREAS, the fees for which payment is due are fair and reasonable and are consistent with, and not higher than, the recommended practices and fees applicable to the Provider’s profession, and such fees do not exceed the maximum provided by law; NOW, THEREFORE, THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS : SECTION 1. The above recitals are fully adopted and incorporated herein for all purposes. SECTION 2. The engagement of these legal services by the City is on the basis of the demonstrated competence, knowledge, and qualifications of the attorneys and the demonstrated ability of the attorneys and their demonstrated experience and ability to timely perform the services needed by the City, for fair and reasonable fees. SECTION 3. The First Amendment, increasing the amount of the contract between the City and Lloyd Gosselink Rochelle & Townsend, P.C., which is on file in the office of the Purchasing Agent, in the amount of Three Hundred Thousand Dollars ($300,000.00), is hereby approved, and the expenditure of funds therefor is hereby authorized in accordance with said amendment which shall be effective upon the execution of the amendment referenced herein. The total contract amount increases to $800,000.00. SECTION 4.
