AN ORDINANCE OF THE CITY OF DENTON, TEXAS, AUTHORIZING AND DIRECTING THE CITY MANAGER TO EXECUTE AN AMENDMENT TO EXPAND THE SCOPE OF ACTIVITIES AND EXTEND THE TERM OF A RIGHT OF ENTRY AND POSSESSION DATED MARCH 3, 2009, AS EXTENDED ON MAY 5, 2009, AS EXTENDED AND EXPANDED ON JUNE 23, 2009, AS EXTENDED AND EXPANDED ON SEPTEMBER 1, 2009, AND AS EXTENDED AND EXPANDED ON SEPTEMBER 15, 2009 IN FAVOR OF THE DENTON COUNTY TRANSPORTATION AUTHORITY (DCTA) AND AUTHORIZING DCTA TO ENTER UPON AND TAKE POSSESSION OF CERTAIN REAL PROPERTY OF THE CITY OF DENTON FOR THE PURPOSE OF PERFORMING ACTIVITY AS DESCRIBED IN ATTACHMENT "A" HERETO; AND PROVIDING AN EFFECTIVE DATE. WHEREAS, the City of Denton, Texas is a Home-Rule City and a Municipal Corporation (hereafter "Grantor"), and claims an interest in and to the following described tract of land: BEING all that certain lot, tract, or parcel of land described in that certain Quitclaim Deed from Missouri Pacific Railroad Company to the City of Denton, Texas dated August 9, 1993, and filed on August 24, 1993, as Clerk No. 93-R0058485 in the Real Property Records of Denton County, Texas; and also being that same property described in that certain Correction Quitclaim Deed, dated June 1, 2001 and filed for record in the Real Property Records of Denton County, Texas as Volume 4857, Page 02021 (hereafter the "Property"). WHEREAS, the Denton County Transportation Authority (hereafter "DCTA") expects to acquire an easement in the Property from the City of Denton, Texas for the purpose of constructing, operating and maintaining DCTA's passenger rail line (the "Project") for approximately eight miles, extending southward through the City of Denton, and much of which easement tract lies within the City of Denton, Texas; and WHEREAS, the City of Denton, Texas expects to grant unto DCTA a perpetual easement upon reaching acceptable terms of agreement, in order that DCTA can immediately commence preliminary construction activities on the above-referenced Project; and WHEREAS, DCTA needs immediate possession of the Property in order to prepare the Property for DCTA construction activities, pending final negotiation of the terms of the easement with the City of Denton and the Dallas Area Rapid Transit; and WHEREAS, both the City of Denton and DCTA recognize the urgency of commencing construction on the Project as soon as is reasonably possible; and WHEREAS, on March 3, 2009 the City Council adopted Ordinance No. 2009-059 authorizing the execution of a Right of Entry and Possession to DCTA; and WHEREAS, on May 5, 2009 the City Council adopted Ordinance No. 2009-118 extending the expiration of the Right of Entry and Possession for a period of 30 days from the date of expiration set forth in Ordinance No. 2009-059; and sAour documents\ordinances\09\dcta roe rail line amended 092209.doe WHEREAS, on June 23, 2009 the City Council adopted Ordinance No. 2009-149 expanding the scope of activities and extending the term of the said Right of Entry and Possession until September 8, 2009; and WHEREAS, on September 1, 2009 the City Council adopted Ordinance No. 2009-195' expanding the scope of activities and extending the term of said Right of Entry and Possession through September 15, 2009; and WHEREAS, on September 15, 2009 the City Council adopted Ordinance No. 2009-213 extending the term of said Right of Entry and Possession through September 22, 2009; and WHEREAS, the City Council deems it to be in the best interest of the City to execute an amendment to expand the scope of activities and extend the term of the said Right of Entry and Possession in favor of DCTA through November 6, 2009, at 5:00 p.m.; NOW, THEREFORE, THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS: SECTION 1. The City Manager, or his designee, is hereby authorized and directed to execute a Right of Entry and Possession for the above described property in favor of DCTA. A copy of the said Right of Entry and Possession is attached hereto as Attachment "A" and incorporated herein for all purposes. SECTION 2. The authority granted DCTA pursuant to this Ordinance shall be conditioned upon DCTA's compliance with all applicable federal, state or local laws and regulations including, but not limited to, any and all City of Denton mandated standard requirements, procedures and processes for obtaining permits prior to the commencement of any activity authorized herein. Failure to comply with all such requirements, including the obtaining of required permits, prior to the commencement of such activities shall cause the immediate suspension of all authority granted DCTA pursuant to this ordinance. SECTION 3. The authority granted DCTA pursuant to this Ordinance shall extend through November 6, 2009, at 5:00 p.m. after which date all authority granted herein shall cease and this Ordinance shall be of no further force and effect. Page 1 of 4 This grant of right of entry and possession is conditioned upon the following: 1. DCTA may perform pre-construction surveying upon the Property, such as activities of survey crews and pick-up trucks; and 2. DCTA may install erosion control, such as erection of silt fences and the installation of construction entrances; and 3. DCTA may conduct limited clearing and grubbing on the Property, such as cutting and mulching vegetation, and removing stumps, roots, and debris. Any clearing and grubbing activity scheduled on the Property shall be subject to the following: a. A plan for the work shall be provided identifying locations, means and methods, a listing of contractors with contact information along with a schedule of who, when, and where the work will be done. b. Communication with City of Denton personnel that will be inspecting or monitoring this work Grantee or Grantee's agents shall initiate notification through Alberto Lopez with Denton Water Utilities at (940) 391-8622. c. DCTA will provide a point of contact with the DCTA for communication, coordination and claims resolution. d. Clearing and grubbing of trees within the 20 feet of the eastern boundary of the Property shall be limited to chain saws and stump grinders to avoid disturbance to adjacent underground utilities. 4. DCTA may conduct pot holing of utilities through coordination with the Denton Water Utilities subject to the following: a. A plan for the work shall be provided to City identifying locations, means and methods, a listing of contractors with contact information along with a schedule of who, when, and where the work will be done. b. Communication with City of Denton personnel that will be inspecting or monitoring this work. Grantee or Grantee's agents shall initiate notification through Alberto Lopez with Denton Water Utilities at (940) 391-8622. c. DCTA will provide a point of contact with the DCTA for communication, coordination and claims resolution. DCTA may perform construction activities in Phase I and Phase II of the corridor, Hickory Street to Shady Oaks subject to the conditions listed in Items 6, 7, and 8 below. The limits of Phase I is demonstrated in Exhibit IA and the limits of Phase II is demonstrated in Exhibit Page 2 of 4 1 13. DCTA may perform construction activities as outlined in the Denton Area 3 Month Look Ahead, demonstrated in Exhibit 2 (Phase I and Phase II). 6. The attached Exhibit 3 shows the current outstanding water, sewer, drainage and transportation issues related to Phase 1 of the project. The items highlighted in Exhibit 3 are issues that the City has determined must be resolved prior to any construction beyond limited clearing and grubbing, potholing, and erosion control as outlined above. All revisions must be submitted to, and approved by, the Development Review Committee. 7. The attached Exhibit 4 shows the current outstanding water, sewer, drainage and transportation issues related to Phase 2 of the project. The items highlighted in Exhibit 4 are issues that the City has determined must be resolved prior to any construction beyond limited clearing and grubbing, potholing, and erosion control as outlined above. All revisions must be submitted to, and approved by, the Development Review Committee. On Phase III, Brinker Road to Burl Street in Corinth, DCTA may perform construction activities as outlined in Exhibit 2 and Exhibit 5 only when all outstanding plan review comments have been satisfied and plan sheets for specific locations have been released by the Development Review Committee Engineering Administrator. 9. DCTA must submit performance and payment bonds, and pay 2.5 percent inspection fee equal to the value of all public improvements prior to the preconstruction meeting with the Public Works Inspection Department. PS Arora, Development Review Committee Engineering Administrator should be contacted at (940) 349-7189 prior to initiating any construction activities. 10. DCTA shall not perform or continue any work under the authority granted by this Right of Entry and Possession unless and until DCTA shall obtain and maintain, and shall have required its contractors and subcontractors to obtain and maintain, at all times during the effective period of this Right of Entry and Possession, insurance in the amounts and types of coverage, including without limitation, the endorsements and other terms, as set forth on that certain Certificate of Insurance, as attached to and made part of this Right of Entry and Possession as Exhibit 6. 11. DCTA is allowed access through November 6, 2009 into the Denton Rail Corridor for work on Phases I, II and III contingent on the following: a. The City Manager reaching an agreement with DCTA to provide that the City is protected on performance and payment bonds; b. The clearing of Engineering comments on the project, as determined by the City Manager; c. Agreement on warranty on the contractor's work for a period of two (2) years after acceptance of the project; Page 3 of 4 d. Work performed within the City of Denton meets applicable laws and regulations; e. Payment by DCTA of all required fees; and f. Proof of insurance naming the City of Denton as additional insured. Any and all construction that DCTA chooses to perform is done solely at DCTA's risk, and the City of Denton shall not be held liable for, and DCTA, by its acceptance hereof, hereby releases for itself, its successors and assigns, the City of Denton, its officers, employees, agents and elected officials, from and against any loss or damage related to DCTA's, or any party acting pursuant to the authority of DCTA, operations under or pursuant to this Right of Entry and Possession, including, without limitation, losses, costs or damages associated with or related to any reconstruction, repairs, delays or damages. DCTA, by its acceptance hereof, stipulates to the City of Denton that nothing contained herein shall be construed to require the City of Denton to grant any permanent right to the Property to DCTA. This Right of Entry and Possession shall extend to DCTA, its employees and its contractors. This Right of Entry and Possession shall be valid and effective through November 6, 2009, at 5:00 p.m., thereafter it shall terminate and be of no further force and effect. From Sta 1839+00 thru 1849+50, the proposed ditch/concrete flume appears to be possibly in conflict with the existing 30" raw water line. In these cross sections, show existing location and depth of this line so that conflicts can be identified and improvements redesigned as necessary. 9. Near Sta 1879+45, the proposed ditch appears to possibly be in conflict with the existing 12" water main. Provide an additional cross section for this location, show existing location and depth of this main so that conflicts can be identified and the improvements redesigned as necessary. 10. From Sta 1883+50 thru Sta 1889+90, the proposed ditch appears to possibly be in conflict with the existing 30" raw water line. In these cross sections, show existing location and depth of this main so that conflicts can be identified and the improvements redesigned as necessary. 11. Near Sta 1885+50, Traffic Signal Design sheet shows a potential conflict between new Mast Arm Pole P-6 and the existing 30" raw water line. 12. From Sta 1892 thru Sta 1894, the proposed concrete flume appears to possibly be in conflict with the existing 30" raw water line. In these cross sections, show existing location and depth of this main so that conflicts can be identified and the improvements redesigned as necessary. The City will not accept Plans showing a proposed retaining wall being built over an existing raw water line. 13. Near Sta 1893, a retaining wall is shown built atop 30" raw water line for approx. 200 ft. in this area; this will not be allowed. 14. Near Sta 1896, a retaining wall is shown built atop water line for approx. 1700 ft. in this area; this will not be allowed. From Sta 1896 thru Sta 1898, the proposed ditch appears to possibly be in conflict with the existing 30" raw water line. Sheets T-06 (Typical Signal Foundation Installation), T-08 (Typical Bracket Mast Signal Foundation Installation), T-11 (Typical Crossing Gate Foundation Installation), T-13 (Typical Cantilever Foundation Installation 12 to 26 Foot Main Arm), and T-14 and T-15 (Typical Cantilever Foundation Installation 36 to 44 Foot Main Arm) show general foundation requirements with unknown impacts on City utilities. Engineer of Record needs to provide drawings with sufficient detail to address site-specific conditions. Transportation: General Comments that are required to be addressed or coordinated with the City: 1. City Traffic Signal Specifications and Schematics are not attached with this submittal. 2. The applicant is required to submit a written agreement for review by the City with regard to access rights by DCTA to City signal controllers/cabinets. 3. The applicant is required to submit a written agreement for review by the City with regard to maintenance of DCTA equipment located inside COD signal controllers/cabinets. 4. The applicant is required to submit a written agreement for review by the City with regard to maintenance of rail and bike path signage. 5. The applicant is required to submit a written agreement for review by the City with regard to maintenance of street and bike path pavement markings. 6. The applicant is required to discuss with the City with regard to right-of-way acquisition for the proposed signal equipment at the intersection of Bell Avenue and Sycamore Street (in private property). 7. Sheet C-664 (SHADY SHORES ROAD INTERSECTION LAYOUT): 1. The Old US Hwy 77 right turn lane onto Shady Shores Road does not appear to facilitate a truck turn radius. Sheet C-671 (COLORADO/MAYHILL INTERSECTION LAYOUT): 1. Adjust the southern bike path ramp to align with the northern bike path ramp. 2. Provide recordation information for the existing easement where the bike path encroaches private property. Sheet C-674 (BRINKER ROAD INTERSECTION LAYOUT): 1. The applicant is required to discuss with the City with regard to discontinuity of the bike path at Brinker Road along with the alignment of the future bike path crossing of Brinker Road. Sheet C-691 (ROAD AND RAILROAD PAVING DETAILS): 1. Label the hole for the pad lock on the bollard details. Sheet C-754A (COLORADO BLVD SIGNING AND STRIPING PLAN): 1. Revise title of the plan to state "Signs and striping plan for proposed signal when installed" 2. Remove all left turn pavement markings. 3. Provide summary input and output of all hydrologic modeling. 4. 100-year water surface elevations for the bridges as printed on the construction plans should match cross section at the upstream face of the bridge. 5. Provide Floodway models for Revised Existing (Pre-Project) and Post-Project conditions for PEC- 4. 6. Additional comments may be issued upon receipt and review of requested data and models. 7. Provide runoff and storm pipe calculations for all culvert profiles. 8. There are multiple culverts that are not profiled and utility crossings are not shown on storm drain profiles along street intersections. 9. There appears that there are existing culverts that cross the existing rail that are not shown on plan and not addressed. 10. There is general concern over numerous flat longitudinal slopes for both proposed earthen and concrete swales along the DCTA ROW. Stream PEC-1 1. See general comments. 2. 100-year velocities increased upstream of proposed bridges at cross section 16475 from existing conditions of 2.16 ft/s to an erosive velocity for proposed conditions of 8.93 ft/s. Issue of erosive velocities shall be addressed. 3. 100-year WSEL's increased in proposed model versus existing model for cross sections 16300 and 16347 downstream of the proposed bridges. City of Denton subdivision regulations does not allow any increases in 100-year WSEL's. Stream PEC-5 1. See general comments 2. Proposed Floodplain boundary is wider than effective floodplain boundary immediately downstream of the bridge due to the bridge widening. 3. 100-year water surface elevation (WSEL) at the upstream face of the railroad bridge is 689.25 under proposed conditions which is less than 12 inches from the low chord elevation of 689.08 and does not meet City of Denton clearance requirements between 100-year WSEL and Low Chord. 4. 100-year velocities increased downstream of proposed bridges at cross section 9121 from existing conditions to an erosive velocity for proposed conditions of 8.80 ft/s.
