AN ORDINANCE EXTENDING A CONTRACT AWARDED BY COUNCIL ON
SEPTEMBER 22, 2005 FOR ONE ADDITIONAL YEAR BY WAY OF AN INTERLOCAL
COOPERATIVE PURCHASING PROGRAM PARTICIPATION AGREEMENT WITH THE
DALLAS INDEPENDENT SCHOOL DISTRICT UNDER SECTION 271.102 OF THE
LOCAL GOVERNMENT CODE, FOR THE PURCHASE OF PRODUCTS AND SERVICES
FOR AN ONSITE VEHICLE PARTS FACILITY; PROVIDING FOR THE EXPENDITURE
OF FUNDS THEREFOR; AND PROVIDING AN EFFECTIVE DATE (FILE 3405-
INTERLOCAL AGREEMENT FOR THE PURCHASE OF PRODUCTS AND SERVICES
FOR AN ONSITE VEHICLE PARTS FACILITY WITH THE DALLAS INDEPENDENT
SCHOOL DISTRICT, CONTRACT AWARDED TO GENUINE PARTS COMPANY IN THE
ESTIMATED AMOUNT OF $1,344,000).
THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS:
SECTION 1. The City Manager, or his designee is hereby authorized to purchase vehicle
parts and services in the estimated amount of $1,344,000 from Genuine Parts Company under
competitive bids received by the Dallas Independent School District in accordance with an
Interlocal Cooperative Purchasing Program Participation Agreement under Section 271.102 of
the Local Government Code which is on file in the office of the Purchasing Agent.
SECTION 2. The City Manager, or his designee is authorized to expend funds pursuant
to the agreement for the purchase of various goods and services.
SECTION 3. This Ordinance shall become effective immediately upon its passage and
approval.

Integrated Supply Addendum Between
The City of Denton
And
Genuine Parts Company
Addendum
THIS ADDENDUM TO AGREEMENT ("Addendum") is executed this 6`h day of January, 2009
by and between the City of Denton (hereinafter referred to as the "City") and Genuine Parts
Company, dba NAPA (hereinafter referred to as "NAPA"). The City and NAPA shall
collectively be known herein as the "Parties".
WHEREAS, NAPA and the City are parties to that certain Master Agreement for Products and
Services dated September 20`h, 2005, for the supply and sale of automotive parts and related
supplies through an On Site parts facility operated by NAPA on the City's location(s) (the
"Agreement");
WHEREAS, NAPA and the City desire to add to the Agreement according to the terms set forth
below;
NOW THEREFORE, in consideration of the mutual promises and covenants contained herein,
and other good and valuable consideration, the receipt and sufficiency of which are hereby
acknowledged, NAPA and the City hereby agree to add to the Agreement as follows:
• The Parties agree to an extension of the Agreement between the City and NAPA until
January 6th, 2010.
Except as stated herein, all terms and conditions of the Agreement shall remain in full force and
effect.
IN WITNESS WHEREOF, each Party has caused this Addendum to be executed in its name by a
duly authorized party as of the day and year first above written.
