A o " J` AN ORDINANCE ACCEPTING COMPETITIVE BIDS BY WAY OF AN INTERLOCAL AGREEMENT WITH TARRANT COUNTY AND AWARDING A CONTRACT FOR THE PURCHASE OF CELLULAR PHONE SERVICES; PROVIDING FOR THE EXPENDITURE OF FUNDS THEREFORE; AND PROVIDING AN EFFECTIVE DATE (FILE 3064-INTERLOCAL AGREEMENT WITH TARRANT COUNTY FOR THE PURCHASE OF CELLULAR PHONE SERVICES, CONTRACT AWARDED TO PROGRESSIVE CONCEPTS, INC. IN THE ESTIMATED AMOUNT OF $175, 000). WHEREAS, pursuant to Ordinance 2001-001, Tarrant County, Texas has solicited, received and tabulated competitive bids for the purchase of necessary materials, equipment, supplies or services in accordance with the procedure of state law on behalf of the City of Denton; and WHEREAS, the City Manager or a designated employee has reviewed and recommended that the herein described materials, equipment, supplies or services can be purchased by the City through the Tarrant County Cooperative Purchasing programs at less cost than the City would expend if bidding these items individually; and WHEREAS, the City Council has provided in the City Budget for the appropriation of funds to be used for the purchase of the materials, equipment, supplies or services approved and accepted herein; NOW THEREFORE, THE COUNCIL OF THE CITY OF DENTON HEREBY ORDAINS: SECTION 1. That the numbered items in the following numbered purchase order for materials, equipment, supplies, or services, shown in the "Purchase Orders" listed hereon, and on file in the office of the Purchasing Agent are hereby accepted and approved as being the lowest responsible bids for such items: FILE NUMBER VENDOR AMOUNT 3064 Progressive Concepts, Inc. That by the acceptance and approval of the above numbered items set forth in the attached purchase orders, the City accepts the offer of the persons submitting the bids to Tarrant County for such items and agrees to purchase the materials, equipment, supplies or services in accordance with the terms, conditions, specifications, standards, quantities and for the specified sums contained in the bid documents and related documents filed with Tarrant County (Bid 2001-001), and the purchase orders issued by the City. SECTION 3. That should the City and persons submitting approved and accepted items set forth in the attached purchase orders wish to enter into a formal written agreement as a result of the City's ratification of bids awarded by the Tarrant County, the City Manager or his designated representative is hereby authorized to execute the written contract which shall be attached hereto; provided that the written contract is in accordance with the terms, conditions, specifications and standards contained in the Proposal submitted to the Tarrant County, quantities and specified sums contained in the City's purchase orders, and related documents herein approved and accepted. SECTION 4. That by the acceptance and approval of the above numbered items set forth in the attached purchase orders, the City Council hereby authorizes the expenditure of funds therefor in the amount and in accordance with the approval purchase orders or pursuant to a written contract made pursuant thereto as authorized herein. All quotes must be clearly marked with the RFO Number and due date. Original quote must be clearly marked "ORIGINAL" and contain all original signatures. Any quote received after the date and/or hour set for opening will be returned unopened. If quotes are sent by mail to the Purchasing Department, the bidder shall be responsible for actual delivery of the quote to the Purchasing Department before the due date and time. If mail is delayed either in the postal service or in the internal mail system of Tarrant County beyond the due date and hour, quotes thus delayed will not be considered and will be returned unopened. II RFO 2002-075 ANNUAL CONTRACT CELLULAR TELEPHONE AIRTIME SERVICE -1I CONTINUING NON-PERFORMANCE Continuing non-performance of the vendor in terms of Specfications shall be basis for the termination of the contract by the County. The County shall not pay for work, equipment, or supplies which are unsatisfactory. Vendors will be given a reasonable opportunity before termination to correct the deficiencies. This, however, shall in no way be construed as negating the basis for termination for non-performance. The contract may be terminated by either party upon sixty (60) days notice prior to cancellation. Quotes will be considered irregular if they show any omissions, alteration of form, additions or conditions not called for, or irregularities of any kind. However, Tarrant County reserves the right to waive any irregularities and to make award in the best interest of the County. Tarrant County reserves the right to accept or reject in part or in whole any quotes submitted, and to waive any technicalities for the best interest of the County. Quotes may be rejected, among other reasons, for any of the following specific reasons: • Quotes received after due date. • Quotes containing any irregularities. • Unbalanced value of any items. Bidders may be disqualified and their quotes not considered, among other reasons, for any of the following specific reasons: • Reason for believing collusion exists among the Bidders. • Reasonable grounds for believing that any Bidder is interested in more than one Bid for the work contemplated. • The Bidder is being interested in any litigation against the County. • . The Bidder being in arrears on any existing contract or having defaulted on a previous contract. • Lack of competency as revealed by a financial statement, experience and equipment, questionnaires, etc. • . Uncompleted work, which in the judgment of the County, will prevent or hinder the prompt completion of additional work, if awarded. Due care and diligence has been used in preparation of this information, and it is believed to be substantially correct. However, the responsibility for determining the full extent of the exposure and the verification of all information presented herein, shall rest solely with the. proposer. Tarrant County and its representatives will not be responsible for any errors or omissions in AIRTIME SERVICE these specifications, nor for the failure on the part of the proposer to determine the full extent of the exposures. The successful bidder may not assign their rights and duties under an award without the written consent of the Purchasing Agent. Such consent shall not relieve the assignor of liability in the event of default by the assignee. SPECIAL TERMS AND CONDITIONS: Tarrant County has the lead role in developing and encouraging Cooperative Purchasing efforts among the governmental entities that are listed on attachment "A", Tarrant County Interlocal Agreements, Entities Currently Participating. It would be in the vendor's best interest to help Tarrant County facilitate this cooperative effort. A "NO" Answer could result in complete rejection of bid. Should other Governmental Entities decide to participate in this contract, would you, the Vendor, agree that all terms, conditions, specifications, and pricing would apply? Yes X No OVERVIEW: The County of Tarrant is soliciting quotes for a contract to provide digital wireless cellular telephones and digital wireless cellular telephone "AIRTIME" service meeting no less than the following minimum requirements: The County requires the services of an experienced provider of digital cellular telephone "AIRTIME" Services. Bidders must submit coverage maps thatshows primary coverage contour locally and nationally. With the exception of recurring monthly service fee, there shall be no charge for adding new cellular telephones to the service for Tarrant County. Currently the County has approximately 570 cellular phones.. Current model used as base phone is Nokia Model 5165. Bidder will supply equipment that meets or exceeds specification and functionality of Nokia Model 5165. CONTRACT TERM: Successful vendor(s) will be awarded a two (2) year contract, effective from date of award or notice to proceed as determined by Tarrant County Purchasing. At Tarrant County's option and approval by the vendor, the contract may be renewed for (3) additional one (1) year periods, as further explained in Renewal Options. PRICES MUST REMAIN FIRM FOR THE ENTIRE CONTRACT: Only price adjustments resulting in a price decrease will be accepted. The County reserves the right to re-negotiate rates at the end of each contract period. RENEWAL OPTION: Tarrant county reserves the right to exercise an option to renew the contract of the vendor for three (3) additional one (1) year periods, provided such options are agreed upon by both parties. If the County exercised the right in writing, the Bidder shall update and submit any legal documents required during the initial solicitation by no later than thirty (30) calendar days prior to the commencement of the option period. These documents, if applicable, will include, but are not limited to, Insurance Certificates and Performance Bonds and must be in force for the full period of the option. If the updated documents are not submitted by the Bidder in complete form within the time specified, the County has the right to rescind its option and seek a new bid solicitation. 11 RFO 2002-075 ANNUAL CONTRACT CELLULAR TELEPHONE AIRTIME SERVICE II EQUIPMENT: The County desires to maintain a high level of quality and consistency in equipment Currently the base model is the Nokia 5165. Note: other models are currently in use, and were ordered to meet special needs. Bidders will offer equipment equivalent to or superior to the base model listed above. Bidders are to include technical brochures with bid. Bidders will supply only new equipment with new service activations. New service includes AC charger. ACCESSORIES: It is the intent of the County to purchase digital cellular telephone associated accessories as needed. When accessories and equipment is requested, the vendor shall submit a quote for this equipment. Such equipment shall include but not be limited to, In-Car Kits, Cigarette Lighter Charger, AC Chargers and DC Chargers. REPAIR AND INSTALLATION SERVICES: The bidder must provide time and material rate pricing for repairing existing cellular telephones. Labor. $40 /per hour Materials: /cost plus or (explain) "Parts for each brand and model of phone vary with prices averaging from $25 to $65 per part. WARRANTY: The vendor is to warrant cellular telephone equipment, supplied under this contract, against defects, for a period of not less than one (1) year. Defective equipment will be replaced immediately at not cost to the County. Vendor will warrant accessories against defects based on manufacturers standard warranty. Defective accessories will be replaced immediately, at no charge to the County. AIRTIME SERVICE BILLING: Services shall be billed monthly. Two (2) copies of the flat, (unlimited usage), rate monthly statement and one (1) copy each of the basic, (monthly and hourly plan) & (monthly and limited minutes), statements shall be delivered directly to the Tarrant County Auditor's office, 100 East Weatherford, Room 506, Fort Worth, Texas, 76196, or unless other wise requested. All bills are itemized. Any charges anticipated for statements will be included in the monthly airtime charges. The successful Bidder must. agree not to publish in any telephone directory or otherwise distribute any of the County's cellular directory numbers without express written permission of the County Purchasing Agent. ADDITIONS/CHANGE ORDERS: The County reserves the light, at no charge, to transfer cellular telephones from one rate plan to another at its discretion and in the best interest of the County. These changes may result from quarterly usage reviews conducted by Vendor and coordinated through Information Technology, Telecommunications Department or as requested by the user. During the course of this contract, additional rates may be requested, which address special needs of County personnel. These special rates are not part of the base rate contract. These rates will be based on Vendor's published rates as listed with the State of Texas, Qualified Information Systems Vendor, (QISV) catalog program. 10 2002-075 ANNUAL CONTRACT CELLULAR TELEPHONE AIRTIME EQUIPMENT REFRESH and UPGRADES: It is the County's desire to maintain current hardware technology. At the County's request, the Vendor may be requested to replace old equipment with new equipment. This replacement will be considered as a "standard upgrade". Please indicate in the space below, associated charges for standard upgrades. Also state when equipment becomes eligible for these upgrades. Certain departments/personnel, such as but not limited to Law Enforcement, Senior Management and Elected Officials, may deem it necessary to upgrade hardware from base equipment at any time. Call Forwarding Call Waiting Three-Way Calling Messaging/Paging It is understood that, while these features are included, they may affect airtime usage charges and may require special activation considerations. TRANSFERABLE CELL PHONE NUMBERS: Currently the County utilized Cingular airtime. Are Cingular numbers inter-changeable with your firms numbers? Yes X No If NO please explain: REPRESENTATION: 12 II RFO 2002-075 ANNUAL CONTRACT CELLULAR TELEPHONE AIRTIME SERVICE N The County currently experiences a high level of customer service. The County expects the vendor to supply a single point of contact for "all" its needs. This person will be responsible for all levels of customer service and act as liaison with other vendor departments. such as billing and customer service. These services will include, but are not limited to, delivery of equipment, setting up new service, programming/de-programming, coordinating installations/de-installations, facilitating upgrades, quarterly statement reviews and billings. This representative will service County at customer sites unless other wise requested. Customer will not conduct business at Vendors outlets including Vendor's office or distribution centers or outlets. OTHER: The County currently has eight (8), eight (8) non-billable numbers. Attorney's Office, District Attorney I Read and Understood. DISASTER RECOVERY: able numbers. Vendor will be expected to provide numbers are currently supplied to the District lJnit and the Sheriffs Department. Initialed and dated. Tarrant County is a 24-hour, 7 day a week, 365 days a year, provider of governmental services. The County cannot afford to experience any interruption in services. These include uninterrupted services during a disaster, whether natural or man-made. Please explain your firms program for guaranteeing uninterrupted services should a disaster occur. Progressive Concepts keeps on hand 120 emergency wireless phones. These.phones are available at no charge 24 hours a day. During business hours they can be issued through our customer service department. After hours they can be obtained via the security monitoring station at our corporate office on Airport Freeway in Fort Worth. In case of community power outages Cingular has available emergency generators to supplement electricity to their cellular towers. In the event towers are destroyed portable cells on wheels are used. e.g. In the aftermath of the tornado which incurred in March of 2000, Cingular brought in a cell site on wheels.
