OBLIGATIONS OF ORGANIZATION In conaderataon of the receipt of funds from Caty, Orgamzatlon agrees to the following terms and conditions A Twenty two thousand five hundred ($22,500 00) Dollars may be pad to Organization by City, and the only expenditures reimbursed from these funds, shall be those an accordance with the project budget, attached hereto as Exhibit B and incorporated herein by reference, for those expenses hsted m the scope of services as provided herem Orgamzataon shall not utilize these funds for any other purpose B The Orgamzatlon will establish, operate, and maintain an account system for this program that wall allow for a tramng of funds and a revaew of the financial status of the program C The Organazataon wtll permat authorized officmls of City to review its books at any time D The Orgamzation wtll reduce to wntmg all of its rules, regulations, and policies and file a copy w~th Caty's Community Development Office along with any amendments, additions, or revlaons whenever adopted E The Organization will not enter mto any contracts that would encumber Caty funds for a pc}nod that would extend beyond the term of this Agreement The Organization will promptly pay all bills when submitted unless there is a discrepancy an F a ball, any errors or diserepanmes in balls shall be promptly reported to City's Executive Darector of Finance, or her authorized representative, for further dlrectaon G The Orgamzataon wall appoint a representative who will be avalable to meet with City's Executave Darector of Finance and other City officials when requested H The Organization will mdemmfy and hold harmless City from any and all clams and suits ansmg out of the activities of Orgamzation, its employees, and/or contractors I The Organizataon wall submit to City copies of year-end audited financial statements 3. Organ~zataon agrees that the funds and resources prowded OrgamzaUon under the terms of thus Agreement will m no way be substituted for funds and resources from other sources, nor m any way serve to reduce the resources, servaces, or other benefits winch would have been avmlable to, or provided through, Orgamzat~on had thus Agreement not been executed 6 _CO _VENANT_S A Dunng the period of t~me that payment may be made hereunder and so long as any payments remaan unhqmdated, Organ~zatxon shall not, wathout the prior written consent of the Commumty Development Adm~mstrator or her anthonzed representatave (1) Mortgage, pledge, or otherwxse encumber or suffer to be encumbered, anY of the assets of Orgamzat~on now owned or hereafter acqmred by xt, or permit any pre- ex~st~ng mortgages, hens, or other encumbrances to remam on, or attached to, any assets of Orgamzat~on winch are allocated to the performance of tins Agreement and wxth respect to winch C~ty has ownersinp hereunder Page 3 of 18 Sell, assign, pledge, transfer or otherwise dispose of accounts receivables, notes or (2) elaams for money due or to become due (3) Sell, convey, or lease all or substantial part of its assets (4) Make any advance or loan to, or recur any liability for any other finn, person, entity or corporation as guarantor, surety, or accommodation endorser Sell, donate, loan or transfer any equipment or item of personal property (5) purchased with funds paid to Organization by City, unless City authorizes such transfer B Should Orgamzatlon use funds received under this Agreement to acquire or improve real property under Organization's control, Organization agrees and covenants (1) That the property shall be used to meet one of the national objectives stated in 24 CFR 570 until August 31, 2006 (2) That should Organization transfer or otherwise dispose of said property on or before August 31, 2006, Organization shall reimburse City in the amount of the fair market value of this property less any portion of the value attributable to expenditures ofnon-CDBG funds for acquisition of, or improvement to, the property C Organization agrees, upon written request by City, to require its employees to attend tratmng sessions sponsored by the Community Development Office Page 4 of 18 + PAYMENTS_ A PAYMENTS TO ORGANIZATION City shall pay to Organization a maximum amount of money not to exceed Twenty Two Thousand Five Hundred ($22,500 00) Dollars for services rendered under tins Agreement City will pay these funds on a reimbursement basis to Orgarnzatlon within twenty days after City has received supporting documentation Organization's failure to request reimbursement on a timely basis, may J eopardrze present or future funding B ExcEss PAYMENT Orgamzatlon shall refund to City wltinn ten (10) working days of City's request, anY sum of money winch has been paid by City and which City at any time thereafter deterrmnes (1) has resulted in overpayment to Organization, or (2) has not been spent strictly m accordance w~th thc terms of this Agreement, or (3) is not supported by adequate documentation to fully justify the expenditure C Orgamzatlen's reimbursement request for any one month period will not exceed one-fifth (1/5) of any budgeted line Items for costs as specified m Exhibit B D DEOBLIGATION OF FUNDSfREVERSION OF ASSETS In the event that actual expenchtures deviate from OrgamzaUon's provision of a corresponding level ofperfonnance, as specified m Exinblt A, City hereby reserves the right to reappropnate or recapture any such under expended funds If City finds that Organization is unwilling and/or unable to comply with any of the t~rrns of this Contract, City may require a refund of any and all money expected pursuant to this contract by Organization, as well as any remaining unexpended funds, which shall be refunded to City within ten working days of a written request to organization to revert these financial assets The reversion ofthcse frnanclal assets shall be m addition to any other remedy available to City either at law or m equity for breach of tins contract E CONTRACT C~.OSE OUT OrgamzaUon shall submit the contract close out package to City, together with a final expenthture report, for the time period covered by the last mvmce requesting reimbursement of funds under this Agreement, within fifteen (15) working days following the close of the contract pen°d Orgamzataon shall uUhze the form agreed up°n bY C~ty and Organization 8 MAINTENANCE OF RECORDS. A OrganlzaUon agrees to maintain records that will provide accurate, current, separate, and Page $ of 18 complete disclosure of the status of the funds received under this Agreement, in compliance wxth the provisions of Exhibit B, attached hereto, and with any other apphcable Federal and State regulations estabhsh~ng standards for financial management Organization's record system shall contain sufficient documentation to provide in detail full support and justification for each expenditure Nothing in this Section shall be construed to relieve Organization of fiscal accountabdlty and habihty under any other provision of tlus Agreement or any applicable law Organization shall include the substance of this provision in all subcontracts B Orgamzatlon agrees to retain all books, records, documents, reports, and written accounting procedures pertmmng to the operation of programs and expenditures of funds under tins Agreement for five years and under the conditions specified by City C Notlung m the above subsections shall be construed to relieve Organization of responsibility for retmmng accurate and current records that clearly reflect the level and benefit of services provided under tbas Agreement D At any reasonable time and as often as City may deem necessary, the Orgamzat~on shall make avmlable to City, HUD, or any of their anthonzed representatives, all of its records and shall permit City, HUD, or any of their anthonzed representatives to audit, examine, make excerpts and copies of such records, and to conduct audits of all contracts, invoices, materials, payrolls, records of personnel, conditions or employment and all other data requested by said representatives 9. REPORTS AND INFORMATION_ At such times and in such form as City may reqmre, Organization shall furnish such statements, records, data and information as City may request and deem pertinent to matters covered by this Agreement Organization shall submit quarterly beneficiary and financial reports to City no less than ^~ h,three months The beneficiary report shall detml client information, including race, once income, female head of household and other statistics required by City The financial report shall include Information and data relative to all programmatic and financial reporting as of the beginning date specified m Section 1 of this Agreement Unless the City has granted a written exemption, Organization shall submit an audit conducted by independent examiners with ten days after receipt of such 10. EVALUATION Orgamzatlon agrees to participate in an lmplcnnentatlon and mmntenance system whereby the servlcas can be continuously momtored Orgamzatlon agrees to make available Its financial rec°rds Page 6 of 18 for revieW by City at City's discretion In addition, Organization agrees to provide City the following data and reports, or copies thereof A All external or internal audats Organization shall submit a copy of the annual ~ndepenflent audit to Cxty within ten (10) days of receipt B All external or internal evaluation reports C Quarterly performance/benefimary reports to be submitted in January, April, July and September, to mclude the following data number of persons served, number of households served, race, income, female head of household, d~sabflmes and other lnformat~on if requested by City Organization will prowde the above information on beneficiary report form prowded by City D Orgamzat~on agrees to submxt quarterly financial statements in January, April, July, and September Each statement shall mclude current and year-to-date period accounting of all revenues, expendxtures, outstandmg obhgat~ons and beglnmng and ending balances E An explanation of any major changes xn program services F To comply w~th th~s sectxon, Organizat~on agrees to mamtmn records that will provide accurate, current, separate, and complete d~sclosure of the status of funds received and the services performed under this Agreement Organization's record system shall contain sufficient documentation to provide xn detail full support and 3ustlficatlon for each expenchture Organ~zatxon agrees to retmn all books, records, documents, reports, and wnXten accounting procedures pertmmng to the services provided and expenditure of funds under th~s Agreement for five years G Nothing in the above subsections shall be construed to relieve Organization of responsibilitY for retarnmg accurate and current records, which clearly reflect the level and benefit of servxces provided under this Agreement 11. DIRECTORS' MEETINGS During the term ofthxs Agreement, Organization shall deliver to City copies of all notices of Board of Directors, setting forth the time and place thereof Such not,ce shall be meetangs of ~ts grve adequate notice, and shall include an agenda and abner dehvered to Cxty m a timely manner to description of the matters to be d~scussed Organization understands and agrees that City's representatives shall be afforded access to all meetings of its Board of Directors Minutes of all meetings of Orgamzation's governing body shall be available to City within ten (10) working days of approval Page 7 of 18 12 SUSPENSION OR TERMINATION_ A The City may terminate this Agreement for cause if the Organization molates any covenants, agreements, or guarantees of this Agreement, the Organization's insolvency or filing of barflcruptey, dissolution, or receivership, or the Organization's violation of any law or regulation to which it is bound under the terms oftMs Agreement The City may terminate this Agreement for other reasons not specifically enumerated in this paragraph B The City may terminate this Agreement for convenience at any time If the City terminates this Agreement for convemence, Organization will be paid an amount not to exceed the total amount of accrued expenchtures as of the effective date °f termmatl°n In no event will tMs compensation exceed an amount, which bears the same ratio to the total compensation as the servmes actually performed bears to the total services of Organization covered by the Agreement, less payments prevmusly made In case of suspension, City shall advise Organization, in writing, as to conditions precedent to the resumption of funding and spemfy a reasonable date for compliance In case of termination, Orgamzation will remit to City any unexpended City funds Acceptance of these funds shall not constitute a wmver of any clmm City may otherwise have arising out of this Agreement 13. p_PERSONNEL POLICIES Personnel policies shall be estabhshed by Organization and shall be available for examination Such personnel policies shall Be no more liberal than City's personnel policies, procedures, and practices, including A pohmes with respect to employment, salary and wage rates, working hours and holidays, fnnge benefits, vacation and sick leave pnmleges, and travel, and B Be in writing and shall be approved by the governing body of Orgamzat~on and by City 14. EOUAL OPPORTUNITY AND COMPLIANCE WITH LAWS A Organizat~on will submit for City approval, a written plan for comphance with the Equal Employment and Affirmative Action Federal promslons, within one hundred twenty (120) days of the effective date oftlus Agreement B Organization shall comply with all applicable equal employment opportunity and affirmative action laws or regulations Page 8 of 18 C Orgamzatlon will furmsh all mformat~on and reports requested by City, and will penmt access to ~ts books, records, and accounts for purposes of investigation to ascertain compliance w~th local, State and Federal rules and regulations D In the event of Organization's non-comphance with the non-chscnmmation requirements, the Agreement may be canceled, terminated, or suspended ~n whole or in part, requested by C~ty and fumtshed to C~ty, are complete and accurate as of the date shown on the ~nformat~on, data, or report, and, s~nce that date, have not undergone any s~gmficant change w~thout written notme to C~ty B Any supportmg financial statements heretofore requested by Ctty and furmshed to C~ty, are complete, accurate and fairly reflect the finanmal condttlons of OrgamzaUon on the date shown on smd report, and the results of the operation for the period covered by the report, and,that since smd date, there has been no material change, adverse or otherwtse, m the financml condition of Orgamzat~on C No ht~gatlon or legal proceedings are presently pending or threatened agmnst Orgamzat~on D None of the promslons harem contravene or are in confhct w~th the authority under winch OrgamzaUon ~s doing business or w~th the prov~s~ons of any existing ~ndenture or agreement of Organization E Organ~zaUon has the power to enter rote ttus Agreement and accept payments hereunder, INDEMNIFICATION Page 11 of 18 A It ~sl expressly understood and agreed by both part~es hereto that City is contracting with Organization as an independent contractor and that as such, Orgamzat~on shall save and hold City, its officers, agents and employees harmless from all liability of any nature or kind, including costs and expenses for, or on account of, any claims, audit exceptions, demands, suits or damages of any character whatsoever resulting m whole or in part from the performance or omission of any employee, agent or representanve of Organization B Organization agrees to provide the defense for, and to mdemmfy and hold harmless City its agents, employees, or contractors from any and all clmms, stats, causes of action, demands, damages, losses, attorney fees, expenses, and iiabihty arising out of the use of these contracted funds and program administration and implementation except to the extent caused by the willful act or omission of C~ty, ~ts agents or employees. 19 INSURANCE A Orgamzatlon shall observe sound business practices with respect to prowdmg such bonding and insurance as would provide adequate coverage for services offered under this Agreement B The premises on and in which the activities described in Exhibit A are conducted, the employees conducting these aetlwtles, shall be covered by premise habfllty insurance, commonly referred to as .Owner/Tenant" coverage with C~ty named as an additional insured Upon request of Organization, City may, at its sole discretion, approve alternate ~nsurance coverage arrangements Organ~zation will comply with apphcable workers' compensation statutes and will obtain C employers' laabxhty coverage where available and other appropriate habfl~ty coverage for program participants, if apphcable D Orgamzatmn will maintain adequate and continuous habfllty insurance on all vehicles owned, leased, or operated by Organ~zauon All employees of Orgamzat~on who are a veluele m the normal scope and course of their employment must possess required to drive a vahd Texas Driver,s heense and antomobfle habfllty insurance Evidence of the employee s current possession of a vahd heense and insurance must be moantamed on a current basis m Organization's files E Actual losses are not covered by insurance as reqmred by th~s Section are not allowable costs under this Agreement, and remain the sole responsibility of Organization F The policy or policies of insurance shall contain a clause which requires that City and Organization be not~fied m writing of any cancellation or change in the policy at least thirty (30) days prior to such change or cancellation Page 12 of 18 20.
